A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SANTA MONICA
AUTHORIZING EXECUTION OF AN EASEMENT AGREEMENT FOR PROPERTY
AT 1541-1551 OCEAN AVENUE
WHEREAS, Ordinance Number 1244 (CCS) adopted on January 26,
1982, approved a development agreement providlng for a multiuse
development on 1541-1551 Ocean Avenue in the City of Santa
Monicai and
WHEREAS, consistent with the development agreement, the
developer deSlres to provide outdoor seatlng for a restaurant
within the development~ and
WHEREAS, in order to provide outdoor seating the use of
public right-af-way 15 required: and
WHEREAS, the developer deslre5 that the Clty grant an
easement for the use of the publ1C right-of-waYi and
WHEREAS, the City Councll flnds that an easement can be
granted without dimlnishlng publlc access and right-at-way; and
WHEREAS, the Easement Agreement provides that developer
shall pay a fair and Just easement fee.
NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF SANTA MONICA
DOES RESOLVE AS FOLLOWS:

SECTION 1.
The grant of easement to Kendall Investment
Company is approved and the City Manager is authorized to execute
an easement agreement that is substantially similar in form to
the one attached hereto.
SECTION 2. The City Clerk shall certify to the adoptlon of
this Resolution and thenceforth and thereafter the same shall be
in full force and effect.

EASEMENT AGREEMENT
TffiS EASEMENT AGREEMENT (thIS "Agreement") IS made as of thIS 9th day of
October, 1982, by and between the City of Santa !\Aomca, California, a Chartered City
orgomzed and existIng under the laws of the State of Cali forma (heremafter the
"Grantor"), and Kendall Investment Company, a California corporatIon (hereinafter
the tlGranteell).
RECITALS
A. Grantee is the owner of that certam real property located at 1541 and 1551
Ocean Avenue, Santa Monica, California, which real property is more particularly
described In ExhIbit nA" attached hereto (the "Dominant Tenement").
B. Grantor is the owner of that certain real property located adjacent to the
Dominant Tenement, which real property is more partIcularly described in Exhibit "B"
attached hereto (the "SerVIent Tenement").
C. Grantor and Grantee deSIre to create an easement in, over and upon the
SerVient Tenement and to prOVide for mamtenance and related obligatIons pertaming
to such easement.

(c) The InstallatIOn, maintenance, pepair and replacement of
furniture, fixtures and equipment m connectIOn wIth, incidental to, and
related to the serving of food and beverages and otl1er approved
commercIal uses.
3. Easement Fee. Grantee shall pay to Grantor an easement fee of fIfty cents
(5W) per square foot per month, representmg an aggregate easement fee of $768.00
per month. SaId easement fee IS payable in advance on the fir5t day of each month of
the term hereof, com mencing the lIrst day of the next calendar month followmg the
month in WhICh the CertIfIcate of Occupancy for the ProJect is issued (heremafter the
lfCommencement Daten). Payment to the Grantor shall be made to the order of the
CIty of Santa ''lomca and made at the offIce of the DIrector of FlOance, CIty Hall,
1685 \lam Street, Santa Momca, California 90401.
4. Adjustments to Easement Fee. The monthly easement fee provIded for In
Paragraph 3 of thIS Agreement shall be subject to annual adjustment 111 the followmg
manner:
(a) On the first day of the month WhICh is the first anmversary of
the Commencement Date, and for each and every anniversary thereafter
during tt1e term hereof (IIAdju':itment Dateslf), the Consumer PrIce Index,
All Urban Consumers, All Items, Los Angeles -Long Beach - AnaheIm,
Califorma (1967 ::: 100) publIshed by the United States Department of
Labor, Bureau of Labor StatIstics (the "Index") for the month preceding the
applicable Adjustment Date, shall be compared WIth the Index for the
month WhICh IS one year prior to the appllcable Adjustment Date (the !lBase
Index").
(b) In the event the Index as of such Adjustment Date IS higher
than the Base Index, the monthly easement fee until the next Adjustment
Date shall be Increased by the amount derived by multIplying the monthly
easement fee for the month ImmedIately preceding the applicable

denomInator of which IS the Base Index. In no event shall the monthly

parties cannot agree upon a fmanClal periodICal as a source of comparable
statistic::. after attemptmg tor twenty (20) days to reach such agreement,
the percentage increase for the ensuing perlOd shall be determmed by
arbltl'atlOll accordmg to the rules of the AmerIcan ArbitratiOn ASSOCiatIOn.
(d) Grantee shall be entitled to offset and deduct from the
easement fee prOVided for 10 Paragraph 3, abovct a sum equal to the actunl
co::.t of the Improvements to the Servient Tenement to be made by Grantee
pUI'::.uant to subparagraph 5, below, along Colorado Boulevard and the
ProJect'::. driveway area along Ocean Avenue less the estimated cost of
pav1l1g SaId areas at the CIty standard. Grantee shall proVIde to Grantor a
wntten statement settmg forth the cost for such Improvements actually

area oi thE> ::lervIent Tenement adJacent to the E.asement Area without the approval of
the Grantor.
O. Maintenance and Repairs.
b.l. Grantee's Obligation. Grantee shall keep m good order,
condItIOn and repaIr the Easement Area and every part thereof, structural
and nonstructural mcluding, WIthout lImitmg the generahty of the
foregomg, all fIxtures, walls, foundatlOns, electrICal, and lIghtmg facihties
withm the r..asernent Area.
b.l. Surrende.... Un the last day of the term hereof, Of on any sooner
termmatlon, Grantee shall surrender the r.a.."ement Area to Grantor m the
same conditIOn as when receIved, broom clean, ordmary wear and tear
excepted. Grantee shall repair any damage to the Easement Area

occupancy or maIntenance of the Easement Area. Sueh msurance shall be
a Comb1l1cd Smgle Lunrt Polley in an amount not less than one mIllIon
dollars ($1.000,000.00). fhe polley shall contam cross hublhty
endorsements and shall insure performance by Grantee 01 the indemnIty
pl'OVlSIons of thiS Paragraph 7. The hmrts of saId m~UI'l:lllCe shall not,
however, lllTIlt the habIllty at Grantee hereunder. If Grantee shull 1,111 to

to procure and maintain the same, but at the expense of Grantee.
7.2. Insurance Pol1cies. Insurance requIred hereunder shall be m

forth 10 the most current i::.sue of l'Best's Insurance GUlde". Grantee ::.ha11
deliver to Grantor copies of poliCIes of such insurance or certifICates
eVIdencmg the existence and amounts of such Insurance with loss payable
clauses satisfactory to Grantor. No such polley shall be cancellable or
subject to reductiOn of coverage or other modIfications except after ten
(10) days pnor WrItten notice to Grantor.
7.3. Waiver of Subrogation. Grantor and Grantee each hereby walVe
any and all nghts of recovery agamst the other, or agamst the offiCers,
employees, agents or representatIves ot the other, for loss of or damage to
such WaiVing party or Its property or the property of others under l ts
control to the extent that such loss or damage IS Insured agamst or under
any Insurance polley In force at the hme of such loss or damages. The
msurmg party shall, upon obtammg the poliCIes of Insurance required
ner~under gIve notIce to the msurance carrIer or carrIers that the
foregomg mutual waiver of subrogatIOn 18 contamed In thIS Agreement.
7.4. Indemnity. Grantee shall indemmfy and hold harmless Grantor
from and agamst any and all claIms arising from Grantee's use of the
t:asement Area or from the conduct of Grantee's business and from any
actIVIty, work or things done, permItted or suffered by Grantee In or about
the Easement Area or elsewhere and shall further Indemmfy and hold
harmless Grantor from and agamst any and all claIms arlsmg from any
breach or default In the performance of any obligatIOn on Grantee's part to
be performed under the terms of thIS Agreement, or arIsing from any
negligence of the Grantee, or of any of Grantee's agents, contractors or
employees and from and against all costs, attorneys' fees, expenses and
liabllItles mcurred In the defense of any such claIms or any actIOn or
proceedmg brought thereon, and In case any achon or proceedmg be
brought agamst Grantor by reason of any such claIm, Grantee upon notice

9. Law and Ordinances. Grantee shall conduct its business 10 accordance WIth
all the laws, ord1Oances, rules and regulatIOns apphcable to such busmess, as from tune
to tune shall be adopted, and Grantee sha!l not use the Easement Area nor any part
thereof, nor permIt them to be used for any purpose other than those speCIfied In thls
Agreement.
1U. Permits and Licenses. Grantee shall be reqUlred to obtam any and all
bUilding permits that may be required in connectiOn WIth the constructiOn of any
unprovements to the Easement Area.
11. Relationship of Parties. It is understood that the contractural relationshIp
between t ""Ulltor and Grantee IS such that the Grantee IS an mdependent contractor
and not the agent of the Grantor.

12. Attorneys! Fees and Costs. If legal action by eIther party 15 brought
becausc of breach of thIS Agrecment or to enforce a provlslon ot thiS Agreement, the

14. Heading. The htles and headings of the various paragraphs hereof are
Intended solely for convenIence of reference and not intended for any purpose
whatsoever to explam, modIfy or place any construction upon any of the provlSions of
thIS Agreement.
15. Assignment. ThIS Agreement shall not be severable from Grantee's lOterest
10 the Dommant Tenement. Any transfer of the Dommant Tenement shall
automatIcally operate to transfer the benefIts and burdens of thlS Agreement.
Property owner may freely sell, transfer, exchange or otherWise dispose of Its mterest
m the Dommant Tenement or the Project without the consent of Grantor.
16. Waivers. WaIver by any party hereto of any breach of any term, covenant,
or condItIOn contained herem shall not be deemed to be a walVer of any subsequent
breach of the same or any other term, covenant or condition contained herem whether
of the same or different character.
17. Governing Law. ThIS Agree ment shall be governed by and construed 10
accordance wIth the laws of the State of Cal1forma.
18. Nondiscrimination. NeIther Grantee nor any tenant or subtenant of the
Easement Area shall discriminate because of sex, race, color, religLOn, ancestry or
national origIn aga10st any person by refusing to furmsh such person any serVIce or
prIvilege offered to or enjoyed by the general public.
19. Taxes. This Agreement may create a possessary interest in public property
WhlCh 15 subject to taxation. In the event such interest is created, Grantee shall pay
any and all taxes levied on such 1Oterest.
Grantee shall pay any and all taxes upon personal property and
improvements belongmg to Grantee and upon its possessory interests, If any, and
Grantee or lts tenants or subtenants shall pay all sales and other taxes levied against
the operatlOn of any busmess conducted in the Dominant Tenement.
20. Incorporation of Exhibits. Exhibits "A", "B", "GII, and "DlI attached to this
Agreement are hereby incorporated as if fully set forth herem.

21. Duration of Easement. The easement contained in thIS Agreement shall run
with the DomInant Tenement, shall be binding on, and enforceable by, Grantee for a
perlOd of time extendmg until October 31, 2003.
22. Recording of Easement. The partles hereto s~all cau<;e this Agreement to
be re('oT'rled In the official records of the County of Los Angeles.
23. Character of Easement. The easement ~ranted herem 1S .'mpurtenant to the
