to render legal services in connection with the-Lincoln Properties
Co~pany matter, on the terMS expressed in the letter dated September
3, 1981, ~'lhJ..ch is attached and Made a part hereof.
SECTION 2. The 1I!ayor shall sign and the City Clerk shall
attest to the adopt10n of this Resolution and thereafter it shall
be in full force and effect.

Ladles and Gentlemen:
We have been advised that you wish to employ
our firm to render legal services in connection wlth the
proposed development of certain property ln the Ocean
Park area of Santa MonJ..ca by the Llncoln Propertles
Company and posslble lltlgatlon regardJ..ng sald development.
We would propose to be compensated on an hourly
basls, at the rate of $175 per hour for partners' tlme,
$110 per hour for aSsoclatesl time, and $60 per hour for
paralegal tJ..me. In addltlon to the foregolng fees, we
would be relmbursed for out-af-pocket expenses (excludlng
overhead) incurred by us in connect1on wlth this employ-
ment, such as long dJ..stance telephone calls, outslde
messenger serVlce and travel at the City's request.
It would be recognized that this firm may have
cllents WhlCh may from tlme to time have interests adverse
to the C~ty, and thlS flrm reserves the r~ght to repre-
sent such clients In matters not connected with the services
hereunder.
