RESOLUTION APPROVING AGREE~lliNT BETIvEEN THE CITY, THE
REDEVELOPMENT AGENCY OF THE CITY OF SANTA MONICA A~D
HFH SETTLING VARIOUS LEGAL ACTIOXS AND DISPUTES AND
AUTHORIZING THE t-m.YOR TO EXECUTE THE AGREEiolENT

DispOSltlon Agreement on or about August 8, 1972, WhlCh prOVlded
WHEREAS, the Redevelopment Agency and HFH entered lnto a Land
for the sale of HFH of Parcels 2, 3, 4 and 5 of the Ocean Park
Santa Mon~ca, and further provided for the development of such real
Redevelopment ProJects lea} and l(b) located withln the Clty of
property by HFH pursuant to the Redevelopment Plans adopted for
sald Projects and the scope of development set forth ln the Land

D1Sposltlon Agreement; and
3, 4 and 5 has been stymled by the uncertalnties surrounding the
WHEREAS, such dispositlon and development of said Parcels 2,
enactment of the Californla Coastal Zone Conservatlon Act of 1972
to grant to the Agency and HFH elther an exemptlon from the permlt
by the refusal of the Californla Coastal Zone Conservatlon Commission
and its appllcatlon; lf any, to the above-descrlbed development;
the above-descrlbed development; and by lltlgatlon arislng from
requlrements of such Coastal Act or a permit for all or a part of
such refusals of sald Coastal Commisslon; and
WHEREAS, the City, the Agency and HFH are involved ln further
under the Land D1Sposltlon Agreement at thlS tlille; and
lltigatlon and disputes regarding thelr respectlve rlghts and duties
WHEREAS, the partles hereto deslre to settle lltlgation and
dlsputes on an eqUltable baslS and to free the real property lnvolved.
NOW, THEREFORE, THE CITY OF SANTA MONICA DOES HEREBY RESOLVE
as follows:
1. The Agreement between the Agency, the Clty and HFH settllng
varlOuS legal actlons and dlsputes lnvolvlng the Ocean Park Redevel-

op~ent ProJect 1 (a) and l(b) and the Land Disposition Agreement
entered into between the Redevelopment Agency and HFH on August 8,
1972, a copy of which is on flle ln the offlce of the City Clerk,
is hereby approved and the Mayor and City ~anager are au~horized
to execute the same and the note called for thereby on behalf of
the City.
2. The City Attorney lS hereby authorized to execute each
o~ t~e other documents attached to the Agreement in substantially
the form attached thereto if all of the other parties involved in
each case execute the doc~~ent.
