Gentlemen:
1. The City of Santa Monica is hereby authorized to accept and record
Easement Deed covering Parcel No.4 of above named improvement, which
has been executed and delivered to Mr.A. Berest , Right of Way Agent of
the City of Santa Monica , Whe~pay to the undersigned grantor(s)
or their designates, the sum of ~ ~r theeasement as conveyed
by said instrument, within 30 da s a e ,alate title to saideasement vests
in the City of Santa Monicaree and clear of all (recorded and unrecorded)
liens, encumbrances, assessments, easements, leases and taxes, except:
Items 1,2 and 4 of above numbered title report dated May 14, 1969 issued
by Title Insurance and Trust Company
2. It is undetstood that the above payment includes, but is not limited
to payment in full by the City of Santa Monicao the grantor(s) for
yard improvements and landscaping, if any, which require removal by reason
of the construction of the above named improvement.
3. It is also understood that the grantor(s) reserve the right to remove
said yard improvements and landscaping located within the right of way
being conveyed to the City of Santa Monica on or before the construction
date of said project. If said improvements and landscaping are not removed
in their entirety, at the grantor(s) expense, on or before said construction
date for any reason whatsoever, the right to remove said improvements and
landscaping shall terminate and the City of Santa Monica shall dispose of
said improvements and landscaping as it may see fit, and in this connection
the City of Santa Monica or its authorized agent, is hereby granted the
right to enter upon the adjacent property of the grantor(s) for the purpose
of removing said improvements from the right of way area.
4. It is further expressly understood by the undersigned grantor(s) that
any or all moneys payable as set forth in Paragraph 1, up to and including
the total amount of unpaid principel and interest on any note(s) secured
by Deed(s) of Trust recorded or unrecorded, together with penalty, if any,
for payment in full in advance of maturity, shall upon demand, be made
payable to the beneficiary entitled thereunder.
5. It is understood and agreed that $1,680.00 is to be withheld from the
total payment referred to in Paragraph 1 and said sum shall be paid to owners
when the now existing sign located in the subject easement area has been re-
moved. If said sign has not been removed within the next 30 days, the City
is authorized to retain the above sum to be used for the cost and expense of
relocating the sign outside the easement area in accordance with the proposal
of C.F.B. Sign Co. dated May 27, li~attached heret and ma~e a art hereof.

Attached are originals of Easement Deeds which were sent to us
this week by the City Attorney' S ,office. You will note they were
recorded in 1970. .,We are sending them to you for permanentfUins.
On checking our records' we find that in March 1970 we fo~ded
you this original deed from the Sheridans, and in April 1970 we
forwarded you original deed from Humble OU, for your permanent fUes.
At our request in 1970, the County Auditor cancelled taxes on
both properties.
