CONTRACT
FOR PROFESSIONAL OR TECHNICAL SERVICES
:: AGREEMENT entered into .s of this J"'{ day
, 19 ~ by and between the Redevelopment
e City of Santa Monica, State of California,
hereinafter referred to as the ''Local Public Agency", and
the City Attorney of the City of Santa Monica, hereinafter
referred to as the "Contractor. (,'
WITNESSETH ~:
WHEREAS, the Local Public Agency has, under date of
~v ",c,< , 19 ~a entered into a Contract for Advance
with the United States of America providing for financial aid
to the Local Public Agency under Title I of the Housing Act
of 1949, as amended; and
WHEREAS, pursuant to such Contract the Local Public
Agency is undertaking certain activities necessary for the
planning of a Project, situated in the Project Area described
below; and
WHEREAS, the Local Public Agency desires to engage
the Contractor to render certain legal advice and assistance
in connection with such undertakings of the Local Public
Agency. .
NOW THEREFORE, the parties hereto do mutually agree
as follows:
1. Scope of Services: The Contractor shall perform,
but only as requested by the Local Public Agency, all legal
services in connection with the surveying and planning of
that certain urban renewal project, identified as Project
No. Ib (Ocean Park) for the Project Area described as follows:

Such services shall be with respect to and in connection with
the Local Public Agency's preparation of and the Federal
Government's acceptance of a Project Eligibility and Relocation
Report and, thereafter, of a Final Project Report including
an Urban Renewal Plan together with all hearings and local
actions required by Federal, State or local law; PROVIDED
that the Contractor shall not perform any services in
connection with or respecting the preparation of the Final
Project Report, Urban Renewal Plan or subsequent matters re-
lating to approval of said Plan, and the Local Public Agency
shall not be obligated to pay for such services, unless and
until the Local Public Agency notifies the Contractor of the
Federal Government's acceptance of the Project Eligibility
and Relocation Report and the Agency's appointment of Legal
Counsel for the preparation of the Final Project Report.
Services to be performed under this Contract may include, but
not be limited to, the rendering of legal advice and consulta-
tion as required by the Local Public Agency, furnishing written
legal opinions as may be required, drafting and preparation of
all legal documents as necessary, legal review and approval of
all Local Public Agency contracts, requisitions for Federal
funds, and such other documents and Local Public Agency actions
as may be required, assistance in the drafting of the Urban
Renewal Plan, legal review and approval of such Plan, and the
preparation of written legal opinions with respect to the Plan
and local approval thereof, representation of the Local Public
Agency at public hearings or other meetings held or called by
the LPA or other public bodies with respect to the project or
the Urban Renewal Plan, attendance at such meetings of the
Local Public Agency, and other conferences or meetings as re-
quired by the Local Public Agency, and representation of and

. . appearance for the Local Public Agency in connection with
any litigation in which the Local Public Agency ~y
become involved during any planning stage of the project.
2. ~ 2f Performance: The services of the
Contraotor are to commence upon the execution of this Contract,
and shall be undertaken and completed in such sequence as
to assure their expeditious completion in the light of the
purpose of this Contract. The servioes to be performed under
this Contract shall extend through the entire planning of
the project and the services to be performed hereunder shall
not be considered completed until the happening of either:
Ca) receipt of advice by the Local Public Agency that an
allocation of Loan and Grant funds to undertake and carry out
the project has been made by the Federal Government, or
Cb) termination of the project planning and project by action
of the Local Public Agency or the Federal Government; subject,
however to the proviso set forth in paragraph 1 above.
3. Compensation ~ Method 2f Payment:
(a) The Local Public Agency will pay monthly
the Contractor for the Contractor's services
performed hereunder:
(1) For all services, including services
rendered in connection with litigation,
but excluding court appearances, at a
rate of ~ per hour; and
(2) For court appearances, at the rate of
$175. per day for each day in court;
subject to the receipt, by the Local Public
Agency from the Contractor, or an appropriate,
requisition and voucher specifying the number
of hours and days of court appearances spent
with respect to specified legal services

performed under this Contract and that the
Contractor is entitled to receive the amount
requisitioned."
(b) In additicr. to the compensation provided
above, the L~cal Public Agency will reimburse
the Cont~actor monthly for travel and sub-
sistence expenses, authorized by the Local
Public Agency in connection with the perfor-
mance of his duties under this Contract outside
the City of Santa Monica the actual cost of
his transportation by common carrier or the
sum of ~ per mile if the travel is per-
formed by a privately-owned automobile, and
not to exceed $17.50 per day for subsistence
expense.
(0) It is expressly understood and agreed that in
no event will the total compensation and re-
imbursement, if any, to be paid hereunder
exceed the maximum sum of $3,375. for all of
the services required, PROVIDED, however,
that in the event of litigation, said maximum
sum may be increased, but only upon a written
supplemental agreement hereto by the parties.
