The trailers on the south side have been ~laced in a straibht row with a Dire fence &nd the trailers on the 1'lest side are in l~ne so that it would rr.ake it very easy for us to operate. I understand that the trallers were arranGed in t his manner so tha t baseball could je Jlayed and that ca~es are played every niGht or two. ;men you GO out you will notice that the track we use is still laid out, and we supnly at our own exnense a wood safety wall around the outside of the track. :=r. AGREEMENT t..~ THIS Agreement entered into this v - day of ~{'{7and between the City ot Santa IloDica, a mmJ.,. cip cor ration, hereinafter referred to as CITY, and International Motorcycle Association, a co-partnership here- inafter referred to as ASSOCIATION. In consideration of their mutual covenants the p~ ties hereto agree as follows: 1. City does hereby lease to Association the Santa Monica Stadium which is located upon that certain real pro- perty hereinafter referred to as premises in the City of Santa Monica, County of IDs Angeles, State of California, and p~ tlcularly described as follows: Bounded on the Northeast by Sixteenth Street; Southeast by Blook llAIl and Block 1 or Erken- brecher Syndicate and Flfteenth Street; South- west by Fourteenth Street; Northwest by Southern Pacific Right of Way; being approximately 7.81 acres of Ranoho San Vicente y Santa Monlca, for the sole purpose of conducting motorcyole raoes, between the hours of 7:00 o'clock p.m. and 10:30 o'clock p.m. on each Tuesdaydurlng the period beginning July 8, 194? and ending Ootober 14, 1947. Such races shall be held at such time un- le8s oancelled for the reaSODS set forth in Section 2 of this agreement. 2. The Association Shall pay City for the use of - the premises leased herein for each Tuesday on which motor- cycle raoes are held in said stadium ten per cent of the gross reoeipts, less federal tax, from all ticket sales; ten per cent of the gross receipts from the operation of the auto park on said premises and ten per oent of the gross receipts from the operation of all ooncessions on said premises. In n6 event shall the amount paid to City be less than $300.00 for each night on which suoh races are conducted. Said - 1 ... min1mum rental of $300.00 shall be paid in advanoe on eaoh Tues- day dur1ng the term of th1s Agreement. In the event the Asso- ciation pays said minimum rental and subsequently thereto 1s required to oancel the holding of a motoroyole raoe on the nlght for which said rental was paid beoause of Inclement weather, Clty shall refund said minimum rental to the Association; or In the event suoh race 1s canoelled for suoh reason prior to the payment of said minimum rental said m1nimum rental need not be paid. If such race be canoelled for any reason other than spe- c1fled hereln the said minimum rental shall be paid unless walved by the City Manager of the Clty of Santa Monica. 3. The Association shall maintain the sod, turf, land and structures 1n every part of said premlses in as good condition as the same Is at the time of the exeoutlon of thls Agreement. SUch ma1ntenanoe shall be at the expense of the Association. Provided, however, that Association shall have the right to remove a portion of the .sod as may be designated by the Director of Public Works of the City of that portlon of the premises whlch said Director designates shall be used for a track. \Uthin twenty days from the date of termination of this agreement, Associatlon shall replaoe the sod so that the stadium shall be In the same condition as it was prior to the removal of such sod. 4. Association shall have the right to erect po~ - .,. table bleachers or grandstands as may be required and shall provide a wooden sat'ety wall around the outside of the track sufflcient to protect the spectators. .Any suoh grandstands or bleachers ereoted and the ereotion of such sat'ety wall shall be at the expense of the Assooiatlon as shall the removal thereof. Any structures ereoted on said premises by Associa- tion whioh in any manner would interfere with the use of said premises for softball games or baseball games shall be removed -2- by Association by 2:00 p.m. of the day following the holding of any motorcycle race. All other structures erected by Association may remain; however, such remaining structures shall be removed within twenty days from the date of termination of thls Agree- ment. 5. Association shall clean up the premises and put them in a clean condition by 2:00 p.m. of the day following the day on which any event is held hereunder. 6. Upon the execution of this Agreement Associa- tion shall furnish to City a cash bond in the amount of $1,000.00, suoh bond shall be conditioned to guarantee faithful performance of all terms and conditions of thls Agreement. In the event Assoolation fails to remove any structures erected on the premises or to leave the premises in as good condition as they are at the time of execution of this Agreement or to clean up said premises atter each event, City may do or cause suoh things to be done and subtract the cost thereof from the cash bond. Upon the terminatlon of this Agreement and the per- formance of all conditions by Assooiation to the satlsfaction of City the oash bond, les8 any deductions therefrom as pro- vided for hereln, shall be returned to Assooiation. 7. Assooiation at ltsown expense shall prOVide ade- quate polioing, tlcket takers, ushers and other personnel ne- cessary to insure adequate proteotlon and service to the publio on eaoh night such races are held. ~ 8. It is agreed by Association that they will abide by all ordinances, laws, rules and regulations of any govern- mental agencies governing the use of the premises which are now in force or whlch may hereinafter be enaoted. In the event of any law, rule or regulation whioh prevents the use of said premises for the purposes named herein, this Agreement may be terminated by either party. - 3 - 9. Association agrees that they will not assign any right granted hereunder nor sublet the whole or any part of said premises without first obtaining the written consent ot Oi ty so to do. 10. Associat10n agrees to hold C1 ty harmless trOll any liability of whatsoever kind or oharacter arising during or resulting from the exercise of the rights granted hereunder. Association shall furnish satisfactory evidenoe of an insuranoe policy covering said liability and protect1ng City; said policy shall name as Assured the City of Santa Monica, 1ts OityCoun- Cll, officers, agents, servants and/or employees, while acting as such, which said policy shall be in the amount of $50,000.00 r for injury to or death of anyone person aris1ng out of anyone accident and 1n the amount of $100,000.00 for injury to or death " of more than one person arising out,of anyone accident, and in the amount of $5,000.00 tor injury or damage to any property arising out of anyone accident. - 11. It 1s understood by Association that said pre- mlses are used at other t111es by other organizations and Asso- ciation egrees that they will at no time use said premises in such a manner 80 that the same might not 'be used by other organi- zations at other tL.e8 than those granted to Association herein. 12. It is agreed that Oity shall not be oalled upon to make any repairs of any nature whatsoever to said premises nor shall Oi ty 'be requir-ed to prepare said ,relll1ses for the ~ exercise ot the rights granted hereunder and that any necessary repairs or preparat10ns shall be made by Association at their sole cost and expense. 13. It is further egreed that th1s.Agreem.n~ may be oanoelled and terminated by Oity giving a 21-day notice in writing to Assooiation of its intention so to terminate.
