THIS INDENTURE made this 19th day of Maroh,. 1945,
between PACIFIC ELECTRIC RAILWAY COMPANY, a California Corpora-
tion, party of the first part, and the SrATE OF CALIFORNIA,
party of the second part:
WHNESSSTH: That first party hereby grants to second
party (sub/ect to the conditions hereinafter contained) the
right to !onstruct and maintain a hi ghway upon and across that
certain parce 1 of land si tUB. ted in the Ci ty of Santa Monica,
jaunty of Los Angeles, State of California, and lying within the
railroad right of way of first party, and described as fQllows,
to wit:
HI that portion of the parcel of land described
iudeed to the Los Ang;eles Pacific C:ompany re.-
cprded in Deed Book 3469, page 309, in the Office
Jf the Recorder of Los Angeles County, lying within
strip of land 75 feet in width adjoining the
SouthernPaoific Railroad Company's 100-foot right
of way on the npr thwest, more particularly desori bed
as follows:
Beginning at the most southerly corner of said parcel
of land described in Deed Book 3469; said corner be-
ing at the int3Isection of t1:10 northeasterly line of
Cloverfield Avenue (fornnrly Twenty-third Street,
60 feet wide) with the northerly line of the Southern
Pacific Railroad Jompany's 100-foot right of way,
said l'ight of way line being a curve, concave sout herly,
the csnter of which bears South 250 43' 3711 East
11703.4 feet from said point of beginning; thence North
/440 45' West along the southwesterly side of said parcel
described in Deed Book 3469 (the sarno being also the
northeasterly line of Clov~rfield Avenue), a distance
of 79.36 feet to a point in a curve concentric wi th
above described curve and having a radius of 11778.4
feet; thence alon:;, the arc of last mentiore d curve
32.38 feet to a point in a curve. conoave northeasterly
a.nd having a radius of 185 feet~ said curve be1ng a
part of the easterly boundary of said parcel described
in Deed Book 3469. The center of last mentioned curve

southeasterly along the arc of last mentioned curve,
197.41 feet to a point in said northerly line of the

This grant is subject and subordinate to the prior and
cont inuing r ht and obliga ti on of first party and its successors
to use and maintain its entire rai lroad right of way and property
in pe rformance of its public duty as a common carrier and is
a1s.o subject to the right and power of first party and its
successors in ,interest or ownership of the said railroad right
of way and property, to construct, ma:intain, use and .operate,
on the present grade, or such p;rade as it may establish in the
future, existing or additional railroad tracks and appurtenances
thereto, including water and fuel pipe lines and conduits, and
te le graph, telephone, signal, power, transmission and other
electric lines, and other railroad facilities and structures of
any kind upon, along or across any or all parts of said land
above described, all or any of which may be freely done at any
time or time s by first party or its successors without liability
ta second party or to anyone else for compensation or darrJ8.ge,
provided said highway shall not be interfered with except as
necessary during wark on said rai lroad and appurtenances.
The rights and privileges hereby granted shall lapse
and become vaid if nat exercised within .one year frOm the date
l:iereof. Up an the termination .of the rights herein granted to
the party .of the secand part, as hereinafter prOvided, the said
party .of the second part shall thereupon remave said highway
and restore said premises, as nearly as passible, to the same
state and condition they were in priar to the construction
thereof, fai l:i.np; in which the party of the first part>rnay perfarm
such work, and the said party of the second part agrees ta reim-
burse the party of the first part for the c.ost and expense there .of
upon demand.

The grant hereby mAde is upon tp~ further condition
subsequent that the prerrJse s aforedaacribed shall at allt1.Il'16 S
be used by the party of the second part for hi F!f1way purposes and
none other, am if at any time such use shall be abl<\Ildoned or
discontinued, all rights and privileges hereby granted shall
forthwith cease and determine, and the party of the first part,
its successors or assigns shall be restored to its fOrmer estate
in the premises.
Second party shall maintain said highway and keep the
same in good condition and repair on the premises h~reinabove
described as long as the same shall be maintained thereon, in-
cluding the maintenance of any and all paving thereof at its
sole cost and expense, and in this behalf agrees to indemnify
and save harmless first party against any and all such cost or
expense, excepting, however, the first party shall maintain said
crossing between the rails of said tracks and for a distance of
not more than two ( 2) feet from the outside of said rails.
Thi s ins trument is subject to all valid. and existing

contracts, lease s, liens or encumbrances which may affect the
~ said property, and the word grant as used herein shall not be
construed as a covenant against the existence of any thereof.
