~~ in Baok 1~0, pages 64, 65 and 66 of Maps, in the office of the Couraty

wide, lying nartheasterly of and contiguous to the southeasterly pro-
longation af Lot 1 in Block A of the Tilden Tract, as per map recorded
in Baok 2, page 93 of' said Maps.
SUBJECT to easements, reatrictions, reservations, conditians anid

set forth in that certain railroad crossing agreement designated
PE-2011 made by and between PACIFIC ELECTBIC $AILWAY C~PAPIY, a
California Corporation, and THE CITY OF SANTA MONICA, dated January

2. This grant is made subject and subordinate to the prior and continuing right and obligation of
Railroad, i~ successoes and assigns, to use all the property d~cribed herein in the perfarmance of its duty tp
as a common carrier and for that purpoge'there is reserved unto Railraad, its successors and assigns, the right ~

pipe line facilities and appurtenances in, upon, over, under, across or along said property. ~
3. This grant is made aubject to all licenses, leases, easements, reah-ictions, conditions, ~venauts, '~

encumbrances, liens and claims of title which rnay affect said praperty and the word GRANT as used herein
shalI not be construed as a covenant against the escistence of any thereof. ~

4. The rights herein granted to Grant~ shall lapx and become void if the cunstruction or recon-
struction of said highway upon said property is not commenced within one (lj year fram the date 6rst herein
written.
5. This grant sha11 not be construed as canveying or otherwise vesting in Grantee the right ta install
or the power to authorize the installation of any ditches, pipes, drains, sewer or underground structures, or -
the facilities of any telegraph, telephone or electric power lines in, upon, over, under, acro~ or along said
property, eaccept as may be necessary for the mainteuance of said highway.
6. Grantee shall obtain any necessaiy authority and permission required to construct, reconstruct,
maintain and use said highway upon said property from the governmental body or bodies having jurisdiction
thereover.
7. Except as herein otherwiae provided, Grantee shall beaz the entire coat and expense of conatructing,
reconstructing and maintaining said highway upon said property, Ths crossing of sa,id highway over any
tracks of Railroad shall be constructed and maintained at the grade of eaid tracka now or hereafter existing.
After the construction or reconstruction of said highway has been completed, Railroad sha11 maintain the
portian of said highway between lines two (2) feet outside the raila of each track located thereon.
&. Grantee agrees to reimburse Railroad for any and all assesgments which may be levied by order of
any authorized lawful body against the property of Railroad {and wluch may have b~n paid by Railroad)
to defray any part of the c~t or espense incurred in connection with the construction or reconshuction of said
highway upon said pmperty commenced within one (1) year from the date firat herein written.
9. Should Grantee, its successors or assigns, at any time abandon the use of said property or any part
thereof, or faii at any time to use the same for said purpose for a continuoua period of one (1) year, the rights
granted sha11 cease to the extent of the uae so abandoned or discantinued, and Railroad, its successors or
aesigns, shali at once have the right, in addition to but not in qualification of the rights hereinabove reaerved,
to resume exclusive posse~ion of the said property, oc the part thereof the use of which is so discontinued or
abandnned. Upon termination of the rights hereby granted, Grantee agrees to remove said highway, in-
cluding the paving, from said property of Railroad, to restore said property as nearly as practicable ta the
same state and condition in which it existed prior to the canstruction of said highway, and to bear the expenae
thereof. Should Grantee in such event fail, neglect or refuse t,a so remove said hig6way and restore said
property, such removal and restoration may be performed by Railroad at the eFCCpens,e of Grantee, which
e~cgense Grantee agrees to pay to Rai(road upon demand.
10. This indenture sha7l inure to the benefit of and be binding upon the successors and aeeigns of the
parti~ hereta ,
