This GRANT OF RIGHT-OF-WAY EASEMENT is made and ent~red into. this' "7~ fH day of

corporation, w ose address is 350 S. Figueroa Street, Suite # 601 , Los Angeles, California 90071
(hereinafter called "Grantor), and CITY OF SANTA MONICA whose addr~ss is 1685 Main Street -
Room 111, Santa Monica, CA. 90401 (h~reinafter called "Grantee".
WITNESSETH
WHEREAS, Grantor owns and haS fee simple title to that c~rtain parcel of real property located
in the City of Santa Monica, County of Los Angeles, State of California, legally described as
follows:
SEE EXHIBITS "A" AS AND SHOWN ON EXHIBIT "B" AlTACHED HERETO AND
MADE A PART HEREOF.
WHEREAS, Grantee desires to acquire a Right-of-Way Easement over, und~r, across and through
that real property referenced hereinabove and Grantor has agreed to convey such an Easement.
GRANT OF RIGHT-OF-WAY EASEMENT
FOR VALUABLE CONSIDERATION, receipt of which is hereby acknowledged, Grantor,
does hereby grant to Grantee, its successors and assigns, a Right-of-Way Easement for ingress
and egress and right of way purposes to construct, use, maintain, repair, alter, add to, replace,
reconstruct, inspect, and remove at any time and from time to time thOse it~ms within and
pertaining to the right-of-way, including, but not limited to, street, sidewalk, retaining wall, and
support structures ("Improvements", in, on, over, above, through, under, across and along that
certain real property in the City of Santa Monica, County of Los Angeles, State of California,
described above in Exhibit "A", and as depicted on Exhibit "B", attached hereto and incorporated
herein.
To have and to hold said Right-of-Way Easement unto Grantee, its successors and
assigns, for the purposes and useS herein set forth, forever.
Grantee hereby agrees to indemnify Grantor, its employees and representatives and
Grantor's Successors-in-Interest against, defend, and save and hold them harmless from, any and
ailliabiHty, claims, d~m8nds, damages for injury to 01' death of any and all persons, including,
without limitation, employees or representatives of Grantor, Grantor's SLlccessors.in-lnter~st, of
Grantee, or any other person or persons, and for damage, destruction or loss to any and all
property, real or personal, including, without limitation, property of Grantor, Grantor's Succ~ssors-
in-Intaras; of Grantee, or of any other person or persons, in any manner arising out of or in
connection with Grant~e's possession, construction, use, maintenance, repair, alteration, addition,
replacement, reconstruction, inspection or removal of any of the Improvements referred to
hereinabove, within or pertaining to this Right-of-Way Easement area, except to the extent caused
by the negligence or willful misconduct of Grantor, its successors and assigns or its employees
or representatives.
