For a valuable consideration, receipt of which is hereby acknowledged,
McDonald's Corporation, dba Delaware McDonald's Corporation, a Delaware
Corporation, Grantor, hereby grants to The City of Santa Monica, Grantee, the
real property in the City of Santa Monica, State of California, described as
County of Los Angeles to wit:
That certain parcel of land in the City of Sdhta Monicd,
County of Los Angeles, State of California being those
portions of Lots 1, 2, 13 and 14 in Block 33 of East Santa
Monica per Map recorded in Book 17, Page 95 of
Miscelleanous Records, and Lots 1 & 2 of Tract No. 2922 per
Map recorded in Book 30, Page 13 of Maps, in the Office of
the County Recorder of said County described as follows:
Beginning at a point in the northwesterly line of said Lot
13, distant southwesterly along said line 49 feet from the
most northerly said Lot; thence parallel with the
northeasterly line of said Lot 125 feet to the true point
of beginning, thence northwesterly parallel with said

Subject to General and Real Estate Taxes for the year 1990 and subsequent
years: installments not due of any special tax or special assessments for
improvements heretofore completed; special taxes or special assessments for
improvements not yet completed; covenants, conditions, restrictions and
reservations of record; zoning and building laws or ordinances; public,
private and utility easements and roads and highways, whether or not of record.
As part of the consideration for the transfer of the above described
property from Grantor to Grantee, Grantee a{rees not to use the property for
restaurant purposes for a period of twenty 20) years from the date of this
Deed. The term II restaurant II as used in th i s Deed sha 11 mean a food serv i ce
establishment of any type selling pizza, chicken, deriving 25% or more of its
gross annual sales from the sale of hamburgers, ground beef products, and
french fries or a food service establishment of three (3) or more units
(including the unit to be placed on the property subject to this covenant)
that operates under the same trade name. If any portion of any product
includes ground beef, the entire price charged to the customer for the product
will be used for determining that product's gross receipts. This covenant
shall apply to any property used in conjunction with a restaurant, as

described above, even if the actual restaurant building is not located on the
subject property. Notwithstanding anything contained in this Oeed to the
contrary, the term "restauranttl specifically excludes those eating
establishments which have a liquor license and waiters and waitresses. This
covenant shall be a covenant which shall run with the land and be binding upon
. the Grantee, its heirs, administrators, successors and assigns.

SUBJECT: Lincoln/Ashland Loan Documents
You recently requested the state and McDonalds loan documents in
relation to the property owned by the City at 827-831 Asland /
2827 Lincoln. The McDonald's loan documents are held by their
offices and I have requested a copy from them. The state loan was
originally made to Community corporation of Santa Monica. The
status of that loan is unclear at this point. If it is reassigned
to the City I will forward you the originals once they are
executed.
I have attached the original Grant Deed for your files.
