IRREVOCABLE OFFER TO DEDICATE EASEMENT
J. H. SNYDER COMPANY II, ("Snyder") a California
limited partnership, does hereby irrevocably offer to dedicate
and grant to the CITY OF SANTA MONICA, ("City") a municipal
corporation, an easement for public sidewalk, street and parkway
purposes over that certain strip of land located in the City of
Santa Monica, County of Los Angeles, State of California,
adjacent to Olympic Boulevard, C10verfield Boulevard and Colorado
Avenue as more particularly described in Exhibit "A" attached
hereto. Such easement shall be effective upon the recording of
an acceptance by City of the easement offered herein.
The description of such easement may be modified by
agreement between Snyder and City based upon the final
engineering of the alignment of Cloverfield Boulevard.

An easement over that portion of Lot 5 of Tract No. 9774 as per
map recorded in Book 140 pages 64 through 66 inclusive of maps,
in the City of Santa Monica, County of Los Angeles, State of
California, and a portion of the Pacific Electric Right of Way as
established' by Deed recorded in Book 3469, Page 309 of Deeds,
both in the office of the Recorder of said county, described as
follows:
Beginning at a point on the southerly line of Colorado Avenue, 80
feet wide as shown on Map of Tract No. 9774, said point being
distant thereon South 45 degrees 14 minutes 35 seconds West
898.25 feet from the northernmost corner of said Lot 5;
Thence South 89 degrees 45 minutes 25 seconds East 23.33 feet;
thence South 45 degrees 14 minutes 35 seconds West, parallel with
and distant 16.50 feet southerly from the southerly line of
