GRANT OF EASEMENT
This Agreement made this 19th day of April, 1978,
by and between Ron McIntosh & Associates, Inc. , a California
corporation, and Sea Air Trailer Park, a limited partnership,
hereinafter referred to as "Grantors, " and the City of
Santa Monica, hereinafter referred to as "Grantee."
WHEREAS, Ron McIntosh & Associates, Inc. is the
owner of certain real property commonly known as 1832 Franklin
Avenue, City of Santa Monica, County of Los Angeles, State
of California, and described in Exhibit A, and Sea Air Trailer
Park, a limited partnership, is the owner of certain real
property commonly known as 1801 Centinela Avenue, City of
Santa ~1onica, County of Los Angeles, State of California,
and described in Exhibit B, hereinafter collectively referred
to as the "Servient Tenement:" and
WHEREAS, Grantee desires to acquire certain rights
in the Servient Tenement;
NOW THEREFORE, it is agreed as follows:
l. For valuable consideration, Grantors hereby
grant to Grantee a perpetual easement as hereinafter described.

2. The easement granted herein is an easement
in gross.
3. The easement granted herein is a right to build
and maintain a water line.
4. The easement granted herein is located as
shown on Exhibit: C and as described in Exhibit D.
5. The easement granted herein includes the
following use of the Servient Tenement: to construct,
maintain, repair, and replace a water distribution system.
6. The easement granted herein is exclusive but
Grantee hereby a.grees to give Grantors three (3 ) days
advance notice of any work, except emergency work, Grantee
will be performing on the Servient Tenement and further
agrees that Grantors will have unrestricted access to the
Servient Tenement even when said work is being performed.
Grantors agree that they will not allow any other utility
to be installed within the easement and that, if one is
installed, it will be moved at Grantors' expense in an
expeditious manner, that no building shall be constructed
closer than ten (10) feet to the centerline of the pipe,
and that no overhead power lines shall be installed over the
easement closer than forty (40) feet to the ground.
7. The easement granted herein includes incidental
rights of maintenance, repair and replacement, described as
follows: ingress and egress and unrestricted access to all
driveways containing the easement for such maintenance,
repair and replacement.
8. This instrument contains the entire agreement
between the parties relating to the rights herein granted
and the obligations herein assumed. Any oral represen-
tations or modifications concerning this instrument shall be
of no force and effect excepting a subsequent modification
in writing, signed by the party to be charged.
9. This instrument shall bind and inure to the
benefit of the respective heirs, personal representatives,
successors, and assigns of the parties hereto.
