WHEREAS, negotiations have been entered into between
the City of Santa Monica and Service Corporation International
for the purchase- of Hoodlawn Mausoleum Limited; and,
'iVHEREAS, these negotiations have resulted in agree-
ment for the procedure to be utilized for accomplishing such
purchase.
NO'i'1, THEREFORE, THE CITY COUNCIL OF THE CITY OF SANTA
MONICA DOES RESOLVE AS FOLLOWS AS FOLLOWS:
SECTION 1. That the City Manager is authorized to
enter into and consummate an escrow for the transfer of the
assets of Woodlawn Mausoleum Limited to the City of Santa
l>lonica.
SECTION 2. That the City Manager is authorized to
execute any and all documents necessary to perfect such purchase.
SECTION 3. That the City Council of the City of Santa
Monica does approve the terms and conditions of escrow estab-
lished for the purpose of consummating the purchase of Woodlawn
MausoleQ~ Limited assets, and does further authorize that such
escrow be closed.
SECTION 4. The City Clerk shall certify to the
adoption of this resolution, and thenceforth and thereafter the
