WHEREAS, the undersigned grantor, The Lankershim
Estate, a corporation, organized and existing under and
by virtue of the laws of the state of California, with its
principal office and place of business in the City of and
County of Los Angeles, state of california, and the City
of Santa Monica, a municipal co~poration, the grantee
herein, made and executed a certain agreement dated April
1,3th, 1926, which is recorded in the office of the County
Recorder of Los Angeles County, in Book 5675, page 88,
Official Records, in '."fhich said agreement it is provided
among other things that said The Lankershim Estate would
~ prepare and execute a deed granting to said City of Santa
;~~ Monica that land of The Lankershim Estate lying westerly
and seawards of the seawards edge of the sidewalk and
,.~ promenade described in said agreement, and
\'JREREAS, said City performed those conditions of
83id agreement on its part to entitle it to the delivery
of said deed on or prior to the 29th day of January 1927,

WHEREAS, said grant deed has not been recorded and
can not be found and the narties hereto are mutually desirous

RESOLUT~01J OF BOARD OF DIRECTCR S OF THE LANKER SHIM
ESTATE, A CORPORATION, AUTHORIZING EXECUTION AND
DELIVERY OF GRANT DEED TO CITY OF SANTA MONICA.
At a special meeting of the Board of Directors of The
Lankershim Estate, a corporation, duly held at the office of
J. Wiseman Macdonald, 614 Higgins Building, 108 West Second
Street, in the City of Los Angeles, Los Angeles County, Cal-
ifornia, at lO:30 o'clock a.m. on the 3rd day of December,
1930, at which meeting the following named directors, viz.,
John I. Lankershim, J. Wiseman Macdonald and A. E. Tufts, who
constitute a quorum, were present, the following resolution was
unanimously passed and adopted:
That lA1J1ereas, the Grant Deed from The
Lankershim Estate to the City of Santa Monica,
a municipal corporation, of the lands herein-
after described, and provided for in paragraph
'l'enth of that certdn agreement dated the. l3th
day of April, 1926, between said The Lankershim
Estate and said City of Santa Monica, recorded
in Book 5675, Page 88, Official Records, in the
office of the County Recorder of Los Angeles
County, has apparently been lost or misplaced,
or through inadvertence not delivered to said
grantee, and cannot be located, and
Whereas, the delivery of said deed was,
or should have been made on or prior to the 29th
day of January, 1927, and
Whereas, said parties desire that said grant
be confirmed and appear of record,
Now, Therefore, Be It Resolved that said The
Lankershim Estate make, execute and deliver to the
City of Santa Monica, a municipal corporation,
a Grant Deed conveying all of its right, title
and interest in and to the real property in the
City of Santa illonica, County of Los Angeles, state
of California, described as:
All that parcel of land lying southwesterly
and seawards of the southwesterly line of
