That Parties of the First Part in oonsideration of the

hereinafter set forth, and in consideration of the grant from

14 park purposes only, a perpetual easement upon and over that
15 certain real property situate in the City of Santa Monica,

in Book 107, Page 96 of ldaps, Los Angeles County Records,
described as follows:

Tract #7718, thence N. 44 deg. 45' W. 140.25 feet to a
21 point; thence S. 62 deg. 21' Ion W. 47.08 feet to a
point; thence S. 44 deg. 45' E. 188.99 feet to a point;
22 thence N. 7 deg~ 27' IOn E. 56.95 feet to the point of
beg,inning, J:>eing a strip of land 45 feet in wid:th measured
23 at right angles from the southwesterly line of ~cean
Avenue as shown on the map of Tract #7718. The basis of
24 bearings used in the above description was taken from the
basis of bearings shown upon map of said Tract ~':77l8.
25 which said easement shall, however, relate only to the use of
26 said premises for park purposes at the grade, or substantially

28 adjacent thereto on each side thereof. Said grant is also
29 made subject to the right which is hereby expressly reserved to
30 the Parties of the First Part, their successors and assigns, to
31 use the said premises, or any portion thereof, below the said

4 It is also expressly understood. and agreed that although
5 the Oity of Santa :Monica shall have the right to fill said
6 premises so as to raise the level thereol tf the said grade of I

7 the existing adjoining park, said righj(at all times be subject
8 to the reserved right of the Parties of the First Part, their

10 build therein or thereon suoh structures as may be desirable and
11 as may not subStantially interfere with the use of the said
12 premises for park purposes at the grade hereinbefore described;

17 It is expressly understood. and agreed that the party of the
18 seoond part after giving parties of first part ~velve months'
19 notice in writing, mailed to their last known address, or by
20 personal service, shall have the right at the expiration of said
21 twelve months, to enter in and upon said premises and fill or
22 improve said premises in keeping with the adjoining park; and
23 parties of the first part hereby waive any and all claims for
24 damages or extra expense that may accrue to them because of said
25 improvement.
26 This grant of easement is subject to the right which is
27 hereby expressly reserved to the Parties of the First Part,
28 their sucoessors and assigns, to cross the above described
29 premises at any and all convenient places, and to that end and
30 for that purpose to construct, maintain and use sidewalks and
31 driveways to the end that the acoess of Parties of the First
32 Part, their successors and assigns, to the above described

1 premises, shall at no time be substantially impaired by reason
2 of the use thereof for park purposes.
3 This grant of easement is also made upon the following
condition subsequent, to-wit:
5 That said above described premises shall at no time be used
6 by the said Party of the Second Part, or its successors, for any
7 purpose or purposes other than that of a public park, and that
8 said Party of the Seoond Part, and its successors in interest,
9 shall, after the grade of the said premises shall have been
10 'Qrought substantially to the same grade las the adjoining parks
11 and same shall have been planted with grass, trees, and other
12 plants or shrubbery, thereafter maintain and use the same, and
13 all grass, trees, shrubbery and other plants thereon, for park

19 upon the said premises and take possession thereof without demand
20 or notice, and upon demand the Party of the Second Part, its
21 successors or assigns, shall be obligated forthwith to convey
22 the sa.id premises to the Parties of the First Part, their
23 suocessors or assigns.
24 Inconsidera.tion of the foregoing grant of easement, the
25 Party of the Second Part does hereby grant to the Parties of
26 the First Part, their successors and a.ssigns, a perpetual right
27 and easement for the benefit of, and as an appurtenance to,
28 Lot flAIf, of Tract l~umber 711.8, as per rVlap thereof
recorded in Book 107, at page 96 of 1raps, Records of
29 Los Angeles County, California.
30 to cross at any and all convenient places that certain fifteen
31 (15) foot strip of land lying adjacent to and Northea.sterly of
