THE RAND CORPORA'I'ION, a corporation organized under the laws of
the State of California and having its principal place of business in
the City of Santa Monica, 1n said State, hereby grants to the CITY OF
SANTA MONICA, a municipal corporation, its successors and assigns, an
casement and right of way to construct, use, maintain, altt=1", add to,
repair, replace, and/or remove in, on, and over the real property
hereinafter described, situated in the County of Los Angeles, State
of California, underground sewer mains, together with necessary
appurtenances for the purpose of conveying sewage.
Reserving to the Grantor the right from time to time to constru~t,
reconstruct, maintain, repair, and use in, on and over said easement
and right of way the proposed RAND Building shown on the Allison &
Rible drawing #102 revised Feb. 12, 1960, a copy of which is attached
hereto and marked as Exhibit 3. Further reserving to Grantor the right
from time to time to exercise all rights of ownership in, under, on,
and over said easement and right of way that do not conflict with
Grantee's exercise of its rights hereunder, including but not limited
to (1) the rL;ht to plant and cultivate flowers, trees, shrubs, zrass,
and/or any other vegetation, (2) the right to construct, reconstruct,
install, maintain, repair, renew, operate and use any and all types of
structures and/or other improvements, and (3) the right to grant
easements and rights of way.
Said underground sewer mains shall be installed and maintained
within a strip of land 5 feet wide, lying within a portion of
First Court, as shown on the map of Scott's Addition to Santa

Fifth: The easement and right of way and all ri3ht s h(jl"'?in
-- granted shall for'thwi th cease and determine upon the hnpPGning
of anyone or more of the following events:
(a) In the event the Grantee shall abandon or discontinue
for a period of three consecutive years the use for the
purposes hereinabove stated of said underground sewer
mains installed in the easement and right of way herein
granted; or
(b) In the event the Grantee completes the installation
of underground sewer mains in the easement and right of
way designated as Parcel G-3 on TheaAND Corp:>ration
drawing dated 18 November 1959, a copy of which drawing
is attached as Exhibit 2, and uses such new underground
sewer mains for a period of six consecutive months.
Upon the ceasing and determining of the ee,sement and ribht of
way herein granted, as aforesaid, the Grantor without prejudice
to any other remedy it may have may take possession of the
easement and right of way herein conveyed and may remove or not
remove thel'efr'om said underground sewer mains and appurtenances
of Grantee, which sewer mains and appurtenances shall be deemed
abandoned by the Grantee.
Sixth: All said underground sewer mains which Grantee shall at
any time install or maintain hereunder shall be buried so that
the top thereof sh~ll at all times be at or lower than the
elevations provided for on the Allison & Rible drawing #102,
revised Feb. 12, 1960, (a copy of which is attached hereto and
marked as Exhibit 3), at those points where said underground

mains pass under the proposed RAND Building and at all other points the
top of said mains installed after the effective date of this Grant shall be
buried at least 24 inches below the natural surface of the ground.
The respective rights, covenants and conditions herein contained

the successors and aiJsigns of tl'1e respective p2rties hereto.

Each and both of these conveyances is made subject to the foregoing and
the following conditions and obligations:
First: Each Grantee shall at all times until repossession of its easement
and right of way by Grantor in the manner hereinafter provided keep and
maintain said underground water mains, sewer mains, and electrical

system and appurtenances installed by or belonging to such Grantee in
good condition and repair for the safety of the persons and/or property
within the proximity of said underground water mains, sewer mains, and
electrical system and appurtenances.
Second: Each Grantee shall indemnify and save harmless the Grantor
from any and all actions, suits, claims, liabilities, and expenses
(including attorneys' fees), whether for injuries, damages, or other-
wise, caused by or resulting from the sole negligence of the Grantee,
its officers, employees, contractors or servants, in the exercise of
any right herein conveyed or in the performance of any of the Grantee's
obligations herein, provided however that the foregoing shall not be
construed as limiting in any way Grantors right to indemnity or contri-
bution from Grantee according to applicable law either statute or other-
wise.
Thir d: Each Grantee, its employees and agents, shall at any time when
necessary and at all reasonable times have free access to said underground
water mains, sewer mains and electrical system, together with their
appurtenances, installed by or belonging to such Grantee, and all portions
thereof (except at those points where said underground mains and conduits
pass under the proposed RAND Building as shown on Exhibit 3), for the
purpose of exercising the rights herein granted, provided, however. that
in making an excavation on any part of said property of the Grantor, each

Grantee herein shall make the same in such a manner as will cause the
least injury to the surface of the earth and/or paving around such excava-
tion and (1) shall replace the earth and/or paving so removed by it in as
near the same condition as it was prior to such excavation as is possible.
and (2) shall backfill in such manner as to comply with the City of Santa
Monica's backfill requirements for street excavation.
Fourth: Each Grantee shall repay the Grantor, on demand, the reasonable
value of flowers, trees, shrubs. grass, buildings, structures, or other
property, injured. damaged or destroyed by such Grantee, its officers.
employees, contractors or servants, in the exercise of any right herein
conveyed,
Fifth: In the event that either Grantee shall abandon or discontinue the

installed by or belonging to such Grantee for the purposes hereinbefore
stated for any period of three consecutive years. the rights herein granted
to such Grantee shall forthwith cease and determine. and Grantor without
prejudice to any other remedy it may have may take possession of the
easement and right of way herein conveyed to such Grantee and remove
or not remove therefrom said underground water mains, sewer mains
and electrical system and appurtenances of Grantee, which underground
water mains. sewer mains and electrical system and appurtenances
shall be deemed abandoned by such Grantee.
Sixth: All such underground electrical systems, water mains. and sewer

mains which either Grantee shall at any time install or maintain here-
under shall be buried so that the top thereof shall at all times be at or
lower than the elevations provided for on the Allison & Rible drawing
#102, revised February 12, 1960, (a copy of which is attached hereto ,

( and conduits pass under the proposed RAND Building and at all other
points the top of said mains and conduits installed after the effective
date of this Grant shall be buried at least 24 inches below the natural surface

The respective rights, covenants, and conditions herein contained shall

SANTA MONICA, a municipal corporation, its successors and assigns, an
easement end right of way to construct, use, maintain, alter, add to,
repair, replace, and/or remove in, on, and over the real property
hereinafter described, situated in the County of Los Angeles, St.s.te of
California, underground sewer mains, together with necessary appurtenances
for the purpose of conveying sewage.
Reserving to the Grantor the right from time to time to construct,
reconstruct, maintain, repair, and use in, on and over said easement
and right of way the proposed RAND BuildIng shown on the Allison &
Rlble drawing #102 dated 4 December 1959, a copy of which is attached
hereto and marked as Exhibit 3. Further reserving to Grantor the right
from time to time to exercise all rights of ownership in~ under, on,
and over said easement and right of way that de not conflict with
Grantee's exercise of its rights hereunder, including but not limited
to (1) the right to plant and cultivate flowers, trees, shrubs, grass,
and/or any other vegetation, (2) the right to construct, reconstruct,
install, maintain, repair, renew, operate and use any and all types
of structures and/or other improvements, and (3) the right to grant
easements and rights of way.

Commencing at the most northerly corner of Lot 1 of Scott's Addition
per map recorded in Book 7, Pages 58 and 59 of Miscellaneous Records
of said County; thence northwesterly along the northwesterly prolonga-
tion of the northeasterly line of said lot. a distance of 28 feet to a
point; thence northeasterly. parallel with the northeasterly prolongation

when necessary and at all reasonable times have free access to
said underground sewer mains, together with their appurtenances,
and all portions thereof (except at those points where said under-
ground sewer mains pass under the proposed RAND Building as shown
on Exhibit 3), for the purpose of exercising the rights herein
granted, provided, however, that 1n making an excavation on any

Fifth: The easement and right of way and all rights herein
granted shall forthwith cease and determine upon the happening
of anyone or more of the following events:
(a) In the event the Grantee shall fail to complete the
installation of an underground sewer main in the easement
and right of way herein granted within a period of one
year after the Grantee has abandoned or discontinued the
use for a period of one year of the underground sewer
mains installed in the easement and right of way designated
as Parcel G-l on The RAND Corporation drawing dated 18
November 1959, a copy of which drawing is attached as
Exhibit 2; or
(b) In the event the Grantee shall abandon or discontinue
for a period of three consecutive years the use for the
purposes hereinabove stated of said underground sewer malna
installed in or on the right of way and easement herein
granted.
Upon the ceasing and determining of the easement and right of way
herein granted, as aforesaid, the Grantor without preJud1ce to
any other remedy it may have may take possession of the easement
and right of way herein conveyed and may remove or not remove
therefrom said underground sewer mains and appurtenances of Grantee
which sewer mains and appurtenances shall be deemed abandoned by
the Grantee.

Sixth: All said underground sewer mains which Grantee shall
at any time install or maintain hereunder shall be buried 80
that the top thereof shall at all times be at or lower then the
elevations provided for on the Allison & Rible drawing 1102
dated 4 December 1959, (a copy of which is attached hereto and
marked as Exhibit 3), at those points where said underground
sewer mains pass under the proposed RAND Building, and at all
other points the top of said mains shall be at least 24 inches
below the natural surface of the ground.
The respective rights, covenants and conditions herein contained
shall inu~e to the benefit of, may be exercised by, and shall bind,
the successors and assigns of the respective parties hereto.

Fifth: In the event that Grantee shall abandon or discontinue the

use of said underground water ma1ra and s~wer maln3 for the
purposes hereinbefore stat~d for any per~od of three ~on3ecutive
years, the ri~hts herein granted shall forthwith cease and
determine, and Gpantor, without prejudicE to any other remedy
it may have, may take possession of the easement and right of
way herein conveyed and remove or not remove therefrom said
underground water mains and sewer mains and appurtenances of
Grantee, whi8h underground water mains and sewer mains and
appurtenances shall be deemed abandoned by Grantee.
Sixth: All said underground water mains and sewer mains which
Grantee shall at any time install hereunder after the effective date of this Grant
shall be buried at the time of installation so that the top thereof shall be at least
24 inches below the natural surfece of the ground.
The respective rights, covenants and conditions herein contained
shall inure to the benefit of, may be exercised by, and shall bind,
the successors and assigns 01' the respective parties l1ereto.
