As consideratian for said real property including land and improvements, City agrees to pay to Seller the sum of ~ 50.00 3. The consideration herein se~ forth shail be pa~d to Seller within ten days a~'ter City has received at its expense a policy of title insurance showing titile ~o said property vested in the City of Santa Monica', a municipal corporation, free and clear of all liens, encumbrances, assessments, easements and leases (recorded and~or unrecorded), and taxes, except covenants, conditions restricGions and reservations of record, if any. 4. City agrees to pay al3 eserow, partial reconveyance, and recording fees incurred in this transaction, including dacumentary stamp tax, if required. 5. Any or all rnoneys payable under this contrac'c, up to and ineluding the total amount of unpaid prineipal and interest on note(s} secured by mortgage(s), or deed(s), of trust, if any, together with penalty (if any) for payment in full in advance of maturity, shall, upon demand(s~ be made payable to the rnortgagee(s) ar beneficiary{s), entitled thereunder; said mor~gage(s) or beneficiary(s} to furnish Se11er with good and sufficient receipt showing said moneys credited against ~he indebtedness secured by said mortgage(s) or deed{s) of trust. 6. Gity agrees at its expense to adjust any existing underground utilities which may be disturbed by the widening and to adjust any presently existing sprinkler system. 7. City agrees at its expense to re-install any exis~ing curb, gutter and sidewalk at the time the street itnprovement is made, ~o re-install the existing driveway with Portland cement con~rete l~+ feet in width and located 7 feet southerly from the northerly line of said Lot 19, and if necessary, to adjust the sidewalk and driveway on Seller's premises to meet the new sidewalk grade for a reasonable 2. ~ , , ~ ~ ~ ~ distance ~'rom the new property line, as determined by the City Engineer and Superintendent of Streets. 8. Where necessary, City agr~;es at its expense to slape the ground at the new property line to meet the new sidewalk grade. Said slope shall not be flatter than 2 ta l.
