Subject: Award a Professional Services Agreement to ADS Corporation for Flow
Monitoring & Data Analysis at the City's Two Wastewater Outfalls
Recommended Action
Staff recommends that the City Council authorize the City Manager to negotiate and
execute an agreement with ADS Corporation for sewer flow monitoring for the Public
Works Department. This recommended award is made as an exception to the
competitive bidding process pursuant to Section 2.24.250 (b) and is for a five-year
agreement with a total amount not to exceed $130,000 with future year funding
contingent on Council budget approval.
Summary
The City’s Public Works Department – Water Resources Division manages two outfalls
within the City as part of the City’s agreement with the City of Los Angeles for the
conveyance, treatment, and disposal of wastewater. Sewer monitoring at the two
outfalls support accurate billing for wastewater generated within the City that is treated
at the City of Los Angeles’ Hyperion Treatment Plant. Staff recommends that ADS
Corporation (ADS) be awarded a five-year professional services agreement for this
service as an exception to the competitive process.
Discussion
Santa Monica’s two wastewater outfalls, LA-1 and SM-1, are located at the Annenberg
Beach House and in front of 3110 Main Street, respectively. The purpose of the outfalls
is to measure the difference in strength and flow of the wastewater entering the City

from the City of Los Angeles’ amalgamated system against the flow that is leaving the
City to be treated at the City of Los Angeles’ Hyperion Treatment Plant.
ADS has specialized equipment required to access the two outfalls and knowledge of
the City’s sanitary sewer system that allows them to measure the wastewater accurately
and in the manner required by the City of Los Angeles. ADS’ specialized equipment
includes flow monitoring devices and sensor equipment to measure the strength of the
wastewater that are unique to ADS and not common to any other manufacturers of
similar equipment. These specialized equipment and techniques used by ADS are
important for accurately measuring the wastewater flows passing through the
established outfalls, as this data is shared with the City of Los Angeles for determining
the cost of conveyance and treatment of the City’s wastewater at the City of Los
Angeles Hyperion Treatment Plant.
Exception to Competitive Bidding
Staff recommends ADS Corporation to perform sewer monitoring and data analysis as
an exception to competitive bidding per Muni Code 2.24.250(b).
b. when a good or service is copyrighted, patented or only available from one license
holder, including, proprietary goods, original equipment manufacturers and/or
exclusive distributors;
Vendor Justification
ADS continues to be the only manufacturer that produces the unique, patented
technologies to measure the wastewater flow accurately. In order to maintain control
and operating efficiencies of these highly accurate instruments, ADS has developed
proprietary techniques, procedures, and software tools for maximizing data accuracy
and uptime to meet City of Los Angeles’ requirements.
Financial Impacts and Budget Actions
Staff seeks authority to approve available funding from the Wastewater Fund to award a
professional services agreement with ADS Corporation for flow monitoring and data
services at the City of Santa Monica’s two wastewater outfalls. Future year funding is
contingent on Council budget approval.

OAKS INITIATIVE DISCLOSURE FORM
In order to facilitate compliance with the requirements of the Oaks Initiative, the City
compiles and maintains certain information. That information includes the name of any
person or persons who is seeking a “public benefit.” If the “public benefit” is sought by
an entity, rather than an individual person, the information includes the name of every
person who is: (a) trustee, (b) director, (c) partner, (d) officer, or has (e) more than a ten
percent interest in the entity.

1. Personal services contracts in excess of $25,000 over any 12-month period;
