Brown Act which may jeopardize the legality of all actions taken by the Santa Monica City Council since December 10, 2020. During its meeting of December 10, 2020, the Council selected the Mayor and Mayor Pro Tem by a formal vote. Prior to this public meeting and vote, Councilmember McCowan communicated her position on the pending matter of selection of Mayor and Mayor Pro Tem to a majority of Councilmembers in a series of individual conversations, known as “hub-and-spoke” serial meetings. During those serial meetings, Councilmember McCowan had individual separate conversations with three Councilmembers where she communicated her interest in serving as Mayor Pro Tem, and her support for Councilmember Sue Himmelrich for Mayor. The Ralph M. Brown Act states, in pertinent part: 54952.2. (b) (1) A majority of the members of a legislative body shall not, outside a meeting authorized by this chapter, use a series of communications of any kind, directly or through intermediaries, to discuss, deliberate, or take action on any item of business that is within the subject matter jurisdiction of the legislative body. 2.B.a Packet Pg. 12 Attachment: 20201218.Email.ZurawskatoCouncil (4408 : Mayor and Mayor Pro Tem Selection) 2 Councilmember McCowan’s public statement about her “hub-and-spoke” serial meetings does not cure the violation of the Brown Act because there is no reason to believe that the effect of the serial meetings on the majority of the Council was erased by her public statement. During the selection of the Mayor and Mayor Pro Tem on December 10, 2020, after Councilmember McCowan issued a statement about her “hub- and-spoke” serial meetings, not a word of comment or discussion was uttered by the Interim City Attorney Cardona, the other six Councilmembers, Interim City Manager Dilg or City Clerk Anderson-Warren — all of whom are expected to be well acquainted with the Brown Act and the City of Santa Monica Code of Ethics. It is not known if Interim City Attorney Cardona had conducted any investigation of the serial meetings. Furthermore, it is not known if Interim City Attorney Cardona advised Councilmember McCowan to recuse herself from the vote or to refrain from accepting a nomination. Councilmember McCowan participated in the vote and accepted a nomination for Mayor Pro Tem. The outcome of the Council’s December 10, 2020 vote mirrored Councilmember McCowan’s wishes as stated in her “hub-and-spoke” serial meetings, i.e. Councilmember McCowan was selected as Mayor Pro Tem and Councilmember Himmelrich was selected as Mayor. In order to cure and correct what I understand was an illegally taken action, pursuant to California Government Code Section 54960.1, I demand that the Santa Monica City Council commit to the following: 1. Conduct a new vote to select Mayor and Mayor Pro Tem; 2. Councilmember McCowan refrain from participating in the new selection of Mayor and Mayor Pro Tem; 3. Councilmember McCowan not be nominated or accept a nomination for Mayor or Mayor Pro Tem during her current term; 4. Obtain a legal opinion from Interim City Attorney Cardona by the next Council meeting on whether the Brown Act violation discussed herein affects the validity of the actions taken by the Mayor, Mayor Pro Tem and City Council since December 10, 2020; 2.B.a Packet Pg. 13 Attachment: 20201218.Email.ZurawskatoCouncil (4408 : Mayor and Mayor Pro Tem Selection) 3 5. All current Councilmembers complete the League of California Cities New Mayors and Councilmembers Academy within 90 days of this letter; 6. As provided by Government Code Section 54960.1, you have 30 days from the receipt of this demand to either cure or correct the challenged action or inform me of your decision not to do so. If you fail to cure or correct as demanded, such inaction may leave me no recourse but to seek a judicial invalidation of the challenged action pursuant to Section 54960.1, in which case I would also ask the court to order you to pay my court costs and reasonable attorney fees in this matter, pursuant to Section 54960.5. When reviewing this demand, please take into consideration the Legislature’s intent as stated in the initial section of The Ralph M. Brown Act: “In enacting this chapter, the Legislature finds and declares that the public commissions, boards and councils and the other public agencies in this State exist to aid in the conduct of the people’s business. It is the intent of the law that their actions be taken openly and that their deliberations be conducted openly.” “The people of this State do not yield their sovereignty to the agencies which serve them. The people, in delegating authority, do not give their public servants the right to decide what is good for the people to know and what is not good for them to know. The people insist on remaining informed so that they may retain control over the instruments they have created.” As you know, during the recent election, Santa Monicans sent a clear message to the City Hall: no more business as usual. The people expect the new City Council to first and foremost serve the residents, and conduct itself lawfully, ethically and with transparency. Not addressing a Brown Act violation during the very first meeting of the new Council is not the new start Santa Monicans had been hoping for. This issue must be cured by the Council to demonstrate the Council’s respect for the law and the value the Council places on public trust. In a subsequent email also sent on December 18, 2020, however, you corrected your demand, noting that the action in question took place on December 8, 2020, not December 10, 2020. 2 On December 30, 2020, I emailed you to see if we could talk in an effort to work out a mutually agreeable resolution of your demand. In a series of subsequent emails, you asserted that I had a conflict in participating in any such negotiations, that there was a good chance I had committed wrongdoing when I remained silent at the meeting on December 8, 2020 following Councilmember McCowan’s disclosure, that I was likely attempting to negotiate a deal which could be favorable to me in light of that wrongdoing, and that you did not think it appropriate for the City to attempt to negotiate with you through me. In light of your position, on January 3, 2021, I advised you by email that I did not think negotiations would be fruitful and that the City would simply prepare and provide a response to your December 18, 2020 demand to cure or correct. You responded that you remained willing to negotiate, and I advised you that I would get back to you either to see if negotiations made sense or with a response to your demand. With respect to your allegations of a conflict, as discussed in the text below, Councilmember McCowan’s statement at the December 8, 2020 meeting indicated that she had spoken with me and was making her disclosure in accordance with my advice. For the reasons set forth below, I believed at the time, and continue to believe, that the disclosures by Councilmember McCowan resulted in substantial compliance with the Brown Act, rendering unnecessary any further comment from me. I do not believe I have engaged in any wrongdoing or that I have any conflict in continuing to represent the City in this matter. Cardona, Interim City Attorney Email: george.cardona@smgov.net 2.B.b Packet Pg. 16 Attachment: 20210106.Zurawska.BrownActResponse (4408 : Mayor and Mayor Pro Tem Selection) Olga Zurawska Re: Brown Act Demand to Cure or Correct January 6, 2021 Page 2 As you know, at the start of the December 8, 2020 council meeting, prior to any discussion or voting for the selection of the Mayor and Mayor Pro Tem, Councilmember McCowan stated on the public record that, out of concern that she may inadvertently have violated the Brown Act, she had called the Interim City Attorney and advised him regarding certain conversations she had with other Councilmembers regarding the election of a Mayor and Mayor Pro Tem that she was concerned that she might have violated the Brown Act. She continued that, in accordance with the Interim City Attorney’s advice, she would disclose these conversations on the record, in advance of the Council’s discussion and vote. She then disclosed that: (1) over the last week, in separate individual conversations, she told three other councilpersons that she would be willing to serve as Mayor Pro Tem, something that she had also stated publicly; and (2) over the last week, in separate individual conversations, she also told three other councilpersons that she would be supporting Sue Himmelrich to serve as Mayor, something that she also had stated publicly. After this statement, discussion and voting for the Mayor and Mayor Pro Tem was conducted, with various Councilmembers stating their support for, nominating, and voting for particular candidates for Mayor and Mayor Pro Tem. Councilmember McCowan participated in the discussion, nominations, and voting. Government Code Section 54952.2(b)(1), on which your demand relies, prohibits, with certain exceptions, a majority of the members of a legislative body from, outside an open and public meeting, using “a series of communications of any kind, directly or through intermediaries, to discuss, deliberate, or take action on any item of business that is within the subject matter jurisdiction of the legislative body.” To the extent Councilmember McCowan discussed certain information with more than two other councilmembers, therefore, the discussion of that information might have resulted in Councilmember McCowan having engaged in a serial meeting regarding that information in violation of Section 54952.2(b)(1).3 Councilmember McCowan, however, disclosed the information she had discussed with three other councilmembers on the record at the December 8, 2020 council meeting. That disclosure resulted in both the public and all councilmembers being aware of the information she had discussed prior to any proceedings to select the Mayor and Mayor Pro Tem. All councilmembers, therefore, could take the disclosed discussions into account when acting to nominate and vote for the Mayor and Mayor Pro Tem, and had the ability, if they so chose, to raise these discussions as a basis for supporting or opposing any particular candidate for Mayor or Mayor Pro Tem. Moreover, the subject matter of the discussions disclosed by Councilmember McCowan, that is, the positions of the various councilmembers regarding the 3 There is no allegation that any other councilmember engaged in discussions with more than two other councilmembers that might have resulted in a violation of the serial meeting prohibition of Government Code Section 54952.2(b)(1). Though Councilmember McCowan had additional discussions with two of the three councilmembers with whom she spoke regarding the selection of the Mayor and Mayor Pro Tem, such discussions among less than a majority of the council are not precluded by the Brown Act; it is only the discussion that Councilmember McCowan had in common with all three of the councilmembers with whom she spoke, and the information that she disclosed in these common discussions, which she disclosed at the start of the December 8, 2020 council meeting, that might result in a possible violation of the Brown Act’s prohibition on serial meetings. 2.B.b Packet Pg. 17 Attachment: 20210106.Zurawska.BrownActResponse (4408 : Mayor and Mayor Pro Tem Selection) Olga Zurawska Re: Brown Act Demand to Cure or Correct January 6, 2021 Page 3 selection of the Mayor and Mayor Pro Tem, also became public through the discussions and series of votes that took place, in public, at the December 8, 2020 council meeting. As a result, we believe the selection of the Mayor and Mayor Pro Tem at the open and public December 8, 2020 council meeting occurred in substantial compliance with the Brown Act, and that there is, therefore, no basis to nullify the selection of the Mayor or Mayor Pro Tem. See Government Code Section 54960.1(d)(1). Nevertheless, in the interests of providing still further assurance that the selection of the Mayor and Mayor Pro Tem has occurred at an open and public meeting, the City will conduct a reselection of the Mayor and Mayor Pro Tem at the January 12, 2021 council meeting. This will address any concern that either the public or the other councilmembers did not have sufficient time to respond to the disclosures made by Councilmember McCowan at the December 8, 2020 meeting. The reselection will occur after public comment at which members of the public will be able to comment on both the disclosures by Councilmember McCowan and the positions taken by the councilmembers with respect to selection of the Mayor and Mayor Pro Tem at the December 8, 2020 meeting. The reselection will occur after all councilmembers can consider and take into account both the disclosures by Councilmember McCowan and the positions of the other councilmembers with respect to selection of the Mayor and Mayor Pro Tem as expressed both at the December 8, 2020 council meeting and at the subsequent January 12, 2021 council meeting. All councilmembers have been directed and have agreed that, prior to the January 12, 2021 council meeting, they will not discuss with any other councilmember, either directly or indirectly, the selection of the Mayor and Mayor Pro Tem. Given all this, it should be clear that the reselection of the Mayor and Mayor Pro Tem at the January 12, 2021 meeting will occur at an open and public meeting in compliance with the Brown Act. For the reasons set forth above, we believe that compliance with the Brown Act does not require that Councilmember McCowan be precluded either from participating in the reselection of the Mayor and Mayor Pro Tem or from being a candidate for or accepting either position. A number of public comments received from others in advance of the Council’s December 29, 2020 meeting suggested that Councilmember McCowan should be precluded from participation to ensure that there is punishment, and not a reward, for her engaging in the discussions alleged to have resulted in a serial meeting in violation of the Brown Act. Councilmember McCowan, however, promptly and voluntarily disclosed the discussions once she realized that they might have violated the Brown Act. Such voluntary disclosure is something that should be encouraged to provide public transparency and further the goals of the Brown Act. There may be instances where punishment remains appropriate despite such a voluntary disclosure, but this does not appear to be such a case. To the contrary, imposing a punishment here would most likely serve only to chill such voluntary disclosures, making it more difficult to ensure that any potential Brown Act violations are brought to public light and steps taken to cure those violations and ensure that actions are taken in open and public meetings as required by the Brown Act. /// /// 2.B.b Packet Pg. 18 Attachment: 20210106.Zurawska.BrownActResponse (4408 : Mayor and Mayor Pro Tem Selection) Olga Zurawska Re: Brown Act Demand to Cure or Correct January 6, 2021 Page 4 In light of the discussion above, the City’s response to the six specific demands set forth in your December 18, 2020 email (set out in italics below) is as follows: 1. Conduct a new vote to select Mayor and Mayor Pro Tem. As set forth above, the City will be conducting a new vote to select the Mayor and Mayor Pro Tem at the January 12, 2021 council meeting.4 2. Councilmember McCowan refrain from participating in the new selection of Mayor and Mayor Pro Tem. For the reasons set forth above, we do not believe that this is necessary to ensure compliance with the Brown Act and do not agree to this demand. 3. Councilmember McCowan not be nominated or accept a nomination for Mayor or Mayor Pro Tem during her current term. For the reasons set forth above, we do not believe that this is necessary to ensure compliance with the Brown Act and do not agree to this demand. 4. Obtain a legal opinion from Interim City Attorney Cardona by the next Council meeting on whether Brown Act violation discussed herein affects the validity of the actions taken by the Mayor, Mayor Pro Tem and City Council since December 10, 2020. All actions taken by the Mayor, Mayor Pro Tem, and City Council at council meetings conducted since December 8, 2020 have occurred at open and public meetings in which the matters acted upon, whether in closed or open session, have been properly agendized. Moreover, at such meetings, pursuant to Section 604 of the City Charter and Rules 9 and 10 of the City Council Rules of Order and Procedure (Resolution No. 11172 (CCS), May 28, 2019), the Mayor and Mayor Pro Tem have only procedural roles that may, in their absence, be filled by any other councilmember selected by the council to serve as a temporary presiding officer; neither the Mayor nor Mayor Pro Tem has any more voting power than any other councilmember. As a result of all of the above, even assuming for the sake of argument that a Brown Act violation occurred in the selection of the Mayor and Mayor Pro Tem at the December 8, 2020 meeting, we believe this would not affect the validity of actions taken by the Mayor, Mayor Pro Tem, and City Council at subsequent council meetings conducted in accordance with the Brown Act. See Government Code Section 54960.1(d)(1). This constitutes the legal opinion you have requested. 5. All current Councilmembers complete the League of California Cities New Mayors and Councilmembers Academy within 90 days of this letter. All of the current councilmembers have already received training on the Brown Act. Several of the current councilmembers have already signed up to attend the referenced academy, which is being offered virtually in different sessions on January 21 and 22, and 28 and 29, 2021. Mayor Pro Tem McCowan was transparent and forthcoming about her communications regarding the prior vote. Her disclosure increases my confidence in her integrity, and I believe she is more than capable of leading in her role as Mayor Pro Tem. The effort to revote on her position appears to be an illegitimate effort to seize on an easily-made human misunderstanding. Mayor Pro Tem McCowan must not be subjected to baseless harassment on minor procedural missteps, especially given that she has made every effort to correct and be transparent about the issue. To make Santa Monica an inclusive, welcoming, and fair place for all, it is critical that we not allow this form of harassment to continue. The Brown Act is a crucial element of California’s governmental process, but as anyone who has been subject to it must  admit, it’s easy to make innocent mistakes. I’ve read Ms. Zurawska’s complaint about the votes for mayor and mayor  pro tem, and it seems to me that she elevates form over substance.    According to the City Attorney’s analysis, what Kristin McCowan informed three other council members of was  information that she’d made public. The purpose of the Brown Act is to prevent decisions from being made in private, or  on the basis of information only shared in private. Furthermore, Council Member McCowan, as soon as she realized she  had violated the Act, contacted the City Attorney and followed his instructions on how to disclose the violation. As the  City Attorney says in his response to Ms. Zurawska, not allowing a cure of the violation would only encourage future  violations by council members to be kept quiet. My understanding is that the City Council will redo its selection of a Mayor and Mayor pro tem due to concerns raised  after the initial vote that provisions of the Brown Act were violated.      Whether Council member McCowan intended to violate the Brown Act is not relevant at this point.   Regardless of her  intent, her negotiations with other Council members with respect to the election of a Mayor and Mayor pro term in  private were a mistake and not appropriate.     The City Attorney, Mr. Cardoza has gone on record alleging that her disclosure resulted in “substantial compliance” with  the Brown Act. Frankly, I find this position spurious at best and I challenge the City Council to challenge Mr. Cardonza’s  opinion by asking what purpose is a law if enforcement can be avoided by a simple “didn’t mean it.”  The intent of the  law was to keep these kind of conversations and the discourse that follows in a public forum...something that did not  happen because of Council member McCowan’s last minute disclosure. (You should note that the last minute disclosure  operated as a clear impediment to any such discussion...in fact, the chamber seemed so shocked by the revelation that  no one knew how to proceed).     Mr. Cardoza goes on to state that precluding Council member McCowan from participating in Tuesday’s vote would chill  rather than encourage such disclosures.  In response, I would argue that Mr. Cardoza’s position would instead actually  encourage further such violations of the Brown Act since any such violation could be “remedied” by a last minute  disclosure that “technically” satisfies Mr. Cardoza’s flawed interpretation of the law.     Council member McCowan is a newly appointed  council member who was re‐elected without opposition.  At Tuesday’s  meeting, I challenge Council member McCowan to demonstrate her integrity to the Santa Monica community in this  matter by publicly admitting her error, assuring the electorate that she will do everything she can to avoid any future  violation and recusing herself from the redo of the selection for Mayor and Mayor pro tem.     The Santa Monica electorate demonstrated that it will not tolerate elected council members who ignore its residents.  Council member McCowan made a mistake and her voluntary recusal would demonstrate to our community that she  does not view herself above the law. To do otherwise is to be tone deaf to our community and will be well remembered  the next time she is up for election.     Marc Primiani The City Staff made a diligent effort in developing this robust Ordinance based on the Public Safety Reform Advisory Committee’s recommendations.   I strongly urge the Council to approve the Ordinance to Establish a Public Safety Reform and Oversight Commission. Creation of an Oversight Commission that is diverse and inclusive of Santa Monica’s varied communities is a crucial first step in addressing continued issues of implicit and explicit bias, racial profiling, and microaggression that our community often experiences when dealing with SMPD. If anyone has a rightful claim to the position, it is Kristin.  That said, I think there's more to this issue. I find it really difficult to not to see the parallels between Republicans in DC trying to overturn the presidential election and certain people (and maybe Councilmembers?) in Santa Monica trying to overturn the selection of Mayor and Mayor Pro Tem. It's on a different scale but the impulse is the same - undermining our democratic process because you don't like who was put in charge.  The City Attorney made it very clear that no law was violated in December. That should have been the end of this but what's lawful or not is seemingly not good enough for everyone. I find that to be very regrettable. Specifically Kristin Mc Gowan’s  first act on December 8,2020 as an elected council person was to admit she violated the  Brown Act by engaging with more than 2 other council members in discussing positions for the mayor and mayor pro  tem.  Kudos to her for the admission,  but the City Attorney’s advice then was substantially faulty by allowing her to  proceed to vote on the issue and ultimately benefit by an appointment. She should have been instructed by the City  attorney to recuse herself when that issue came up. Instead the attorney essentially told her the “confession" was  enough and to proceed as if nothing happened.    This manifest violation and lack of consequence tells us why people are so cynical and disbelieving of the City’s  leadership. It also  shows  residents, who all should be able to rely on their elected and appointed officials probity and  honesty, have to again, unfortunately, sue the City just to get them to follow the law. And again in this time of financial  crisis, civic resources are being wasted on battles that should not have to be fought had officials simply followed the law  to begin with. Compounding the error of course would be to just repeat the contaminated election all over again  pretending this is a perfect  remedy to the two wrongs. Residents expect more transparency and accountability from  their City leaders.  This is especially critical now when at a national level we have leaders who knowingly mislead their  constituents for publicity gain and then fake  surprise at the consequences.    Fortunately there is a simple remedy to avoid a cynical repeat charade vote. She can follow Council  person  Gleam Davis’s potential conflict of interest example on the Miramar project and proactively recuse herself from  the repeat vote. The recusal would not prevent her from possibly retaining her pro tem position should the other  members agree. But it would send a clear signal of her  willingness to clean up the mess she and the City  attorney  created,  and thus start the new year with her and the Council’s credibility intact. We should aways take the  opportunity to do the right thing particularly when we get a second chance. We strongly disagree with Mr. Cardona's position The conversations Councilmember McCowan had during her unlawful serial meetings have already had an effect on the majority of the Council. The effect cannot be undone simply through Councilmember McCowan's public disclosure that these unlawful serial meetings had occurred. The only remedy is for Councilmember McCowan to recuse herself from the new vote on January 12. The suggestion to recuse is not intended to be punitive. It is intended to be a good faith step towards the restoration of the public's trust. Mr. Cardona's concern about a potential chilling effect results from a faulty, if not backwards logic. After all, what is the more important goal: preventing the chilling effect on a would-be violator, or preventing that violation from occurring in the first place? Mr. Cardona's reasoning, if followed by the Council on January 12 and onward, will set a dangerous precedent. It will open the door to massive Brown Act violations. It will normalize the making of deals and agreements by Councilmembers outside of public view. The Councilmembers will know that as long as they publicly disclose the unlawful communications at a Council meeting, they simply will be allowed to move on as if the violation did not occur. This will effectively turn various Council deliberations and votes before the public into a for-show-only routine. Mr. Cardona's position flies in the face of the very premise of the Brown Act. It could ultimately cause an erosion of transparency and democracy in the Santa Monica government. Santa Monicans must not allow this. Councilmember McCowan's opportunity to show leadership on January 12 The choices the Council and Councilmember McCowan will make on January 12 will be a reflection of their commitment to ethical standards. Councilmember McCowan has a chance to display her leadership skills and respect for civic accountability by at the very least not accepting a nomination for the position of Mayor or Mayor Pro Tem. For purposes of transparency and to stimulate a debate on this leadership selection, we propose that prior to the public comment, a brief description of the duties and responsibilities of the Mayor and Mayor Pro Tem be stated by The City Clerk or Interim City Attorney. We see no reason why this could not become customary for all future Council leadership selections. Further, we propose that each councilmember who offers a nomination accompany it with a brief justification for nominating that particular councilmember. We also propose each councilmember accepting a nomination offer a brief statement on what qualifies them for the leadership position. Without this, the selection of Mayor and Mayor Pro Tem appears to be mechanical at the least, or fueled by motives unclear to the public at worst. Olga Zurawska and Michael Louis A note from Olga Zurawska regarding email communications with Interim City Attorney Cardona: The above material is being published as an open letter because I was deprived of the opportunity to communicate it to Mr. Cardona and the Council during the negotiations regarding my Demand to Cure and Correct. Mr. Cardona suddenly broke off the negotiations before we started discussing the substance of the matter. This premature and abrupt termination of our negotiations occurred after I asked Mr. Cardona via email whether he was in a position to negotiate on behalf of the City.
