SR 02-14-2017 13C 13.C February 14, 2017 Council Meeting: February 14, 2017 Santa Monica, California 1 of 1 CITY CLERK’S OFFICE - MEMORANDUM To: Mayor and City Council From: Denise Anderson -Warren, City Clerk , Records & Elections Services Department Date : February 14, 2017 13.C Request of Councilmembers O’Day and Vazquez that the Council direct staff to examine its investment practices and consider divesting all City funds from Wells Fargo, due to their business practices and their involvement in financing the Dakota Access Pipeline. SMCLC Support for Item 13 -C on 2/14/17 City Council Agenda The Santa Monica Coalition for a Livable City (SMCLC) supports Item 13 -C which call s for a review to determine whether to dives t City funds from Wells Fargo Bank “due to their business practices” and their involvement in financing the Dakota Pipeline. The essence of this proposal is the City’s responsibility to require that th ose with whom it does the p eople ’s business engage in sound legal and ethical business practices. Otherwise the City and the public are at risk. Santa Monica must carefully consider with whom it does business ; it must continue to monitor them through out the course of the relationship ; and refus e to renew contracts or enter new ones where there is a clear disrega rd of the law . City agreements should have broad clauses related to the continued l awful conduct of contractors. The City also has social and environmental responsibilities. In the case of Wells Fargo, the ba nk created millions of bogus accounts without the knowledge or consent of its clients , presumably including in Santa Monica, and it is a lender to the Dakota Pipeline project , raising both legal and social responsibility issues. In divesting its funds from Wells Fargo , Santa Monica would join cities such as Davis and Seattle , whic h voted to pull their $124 million and $3 billion respectively in annual cash flows from Wells Fargo as the result of the bank ’s reprehensible business practices. Over the course of l ast year our City had over $425 million with Wells Fargo . (See Santa Monica Lookout , 2/9/17 ). NMS’ “Business Practices” are Unacceptable and Put Us at Even Higher Risk Santa Monica should not do business with those whose business practices are illegal, un sound or un ethical to the full extent permitted by law . To do so would put the City, its businesses and residents at high risk. SMCLC believes that even more pressing and urgent for Santa Monica is NMS , whose business practices have been found by the Los Angeles Superior Court to be fraudulent and to have committed “massive, intentional, coordina ted efforts to destroy evidence ” and forgery. These findings relate to NMS ’ business practices , including 6 buildings in Santa Monica . Over t wo month s ago, the Council authorized an investigation into NMS, including the accuracy of its representations and its compliance with all its obligations. Given the importance of this matter, the investigation should be thorough, rigorous, and full y staffed. For ensic experts should be used as they were central to the C ourt ’s discovery of NMS ’s massive scheme of forgery and hiding documents from investigators . Not only has Wells Fargo been caught practicing fraudulent ba nking activities numerous of times after having been bailed out by the government bailout, it has also been found that they're on e of the primary backers of Energy Transfer Partners and its key proj ect, the Dakota Access Pipeline. Not only is this project going to be endangering our environment and polluti ng the entire Missouri River for the sake of 15~ permanent jobs, it is blatantly practicing environmental racism at its best - the Standing Rock Sioux will be directly affected by it first, and soon to follow, anybody that drinks water out of the Missouri River basin. I moved to Santa Monica in September and after living and working here for five months, I feel incredibly moved by the sense of community and respect for diverse voices, and dignity for human rights, displayed by the leaders of the city & the people w ho live here. Whether it's providing solu tions for the homeless, defeating measure LV, or taking environmental in itiatives, Santa Monica is leading the country in its inclusiv e policies. With the Dakota Access Pipeline (DAPL), Santa M onica has the opportunity to again be a leader. I have been working in the environmental movement si nce graduating college, first as a community organizer, and I currently work as an environm ental attorney in Santa Monica. I feel strongly that in the current climate of political a dversity and subversion of democracy, there is a heightened responsibility for state and local governments to use their authority to govern responsibly. In California, we are particularly suit ed to provide model policies that can guide the country. This is our responsibility over the next four years. For the indigenous communities affected by the pipeline project, the political process has failed them. They were not consulted with about the siting of the pipe line; and just recently the Army Corps withdrew its environmental review. The executive branch, and the st ate government, does not demonstrate accountability to these people, despite thei r continuous fierce and remarkable resistance. People and institutions around the country are waking up to the fact that the government does not act accountable to the people at Standing Rock. And people and institutions ar e realizing that participation in business as usual helps to prop up the exploitation of this community. The fact that the pipeline could have been delayed this long, incurring huge costs to the developers, but that the pipeli ne can still be financially viable, shows that in this case, the car ds are stacked against people. It is the enormous resources invested in this fossil fuel infrastructure th at allows the company to sustain the project despite overwhelming public rejection. By divesting from this system , we have the opportunity to make a statement about the nature of our democracy -- that we believe in a system wh ere accountability to people trumps corporate greed.  time  to  come  home . I  was  in  line  waiting  to  check  my  bags  and  board  my  plane  back  from  South  America. Having   been  away  for  a  while, I  had  that  feeling  when  you  are  suddenly  around  a  large  number  of  Americans  and  start  slipping   back  into  speaking  English  and  talking  about  ‘ba ck  home’.    Standin g  next  to  me  was  a  guy  from  Indiana, originally  from  North  Dakota. We  struck  up  a  conversation  and  I  shared  my   own  family’s  North  Dakota  roots. My  great ‐grandfather  Adolph  Feinstein  — a  Jewish  immigrant  from  Odessa, Russia  —  had  travelled  from  New  York  City  to  North  Dakota  in  a  wagon  train  in  the  1880s, toget h er  with  a  band  of  Mennonites. A   few  years  later, he  opened  the  first  general  store  in  North  Dakota; and  when  the  village  of  Zeeland  formally  organized  in   1905, was  elected  to  its  first  Town  Board.    Why  stand  with  Standing  Rock?    Soon  my  min d  drifted  to  modern  day  North  Dakota. Only  sixty  miles  as  the  crow  flies  from  Zeeland  is  the  Standing  Rock   Sioux  Reservation. There, a  historic  gathering  of  indigenous  peoples  and  supporters  has  come  together  to  oppose  the   Dakota  Access  Pipeline  (DAPL) – a  pipeline  proposed  to  be  built  under  the  Missouri  River, which  borders  the  Stan ding   Rock  Sioux  Reservation, and  u nder  Lake  Oahe, which  is  the  Standing  Rock  Sioux’s  primary  source  of  water.    Early  in  2016, DAPL  was  rerouted  near  Standing  Rock  with  little  public  notice  or  meaningful  environmental  review, after   an  earlier  proposed  route  near  Bismarck  (the  state  capital) was  ju dged  too  risky  for  local  wa ter  supplies  – but  apparently   not  too  risky  for  the  water  supply  of  the  indigenous  Sioux; nor  for  the  tribe’s  sacred  lands, which  are  to  be  protected   under  an  1851  U.S. treaty.    In  response, the  U.S. Environmental  Protection  Agency, U.S. Department  of  Interior, and  the  Advisory  Council  on  Histor ic   Preservation  all  requested  a  full  Environmental  Impact  Statement  (EIS) of  the  pipeline  — but  were  ignored  by  the  U.S.  Army  Corps  of  Engineers, which  has  jurisdiction  over  the  project. The  Standing  Rock  Sioux  Tribe  has  since  filed  a  lawsuit   challenging  the  environmental  review  process  itself, claimi ng  trib al  members  were  never  meaningfully  consulted  before   construction  began, and  that  local  impacts  and  sufficient  alternatives  were  not  considered. That  lawsuit  is  pending.    During  this  same  period, non ‐violent  resistance  to  DAPL  began  to  grow. On  April  1, 2016, LaDonna  Brave  Bull  Allard, an   Standing  Rock  Sioux  tribal  elder, and  he r  grandchildr en  established  the  Sacred  Stone  Camp  to  oppose  the  DAPL. Other   camps  formed, including  the  largest, the  Oceti  Sakowin  (Seven  Council  Fires) Camp. They  have  since  been  joined  by   dozens, then  hundreds, then  thousands  of  people  who  have  become  known  as  ‘water  protectors’, seeking  to  non ‐ violently  prevent  the  pip eline’s  constru ction.    But  during  the  fall  of  2016  tensions  increased, with  heated  and  tense  confrontations  initiated  by  the  ‘security’ hired  by   Energy  Transfer  Partners  (the  company  behind  DAPL) — and  by  taxpayer ‐funded  soldiers  and  police  in  riot  gear. Pepper   Item 13-C 02/14/17 33 Item 13-C 02/14/17 2 spray, attack  dogs  and  water  hoses  have  been  unleashed  on  the  water  protectors  — recalling  some  of  the  worst   moments  of  U.S. civil  rights  struggles  in  the  South  in  the  1960s  — and  in  North  Dakota  the  water  hoses  have  been  used   in  sub ‐freezing  weather, putting  people  into  hypothermia.    After  these  horrors, then  President  Ob ama  worked  behin d  the  scenes  and  the  Corps  reversed  course  and  declined  to   grant  an  easement  to  drill  underneath  the  river  and  lake. Instead, the  Corps  committed  to  the  full  EIS  that  should  have   occurred  in  the  first  place.  But  then  the  Trump  Administration  signed  an  executive  order  to  disregard  the  EIS  and  grant   the  easement.  At  this  poi n t  its  not  clear  how  legal  challenges  to  DAPL  will  fare; and  there  is  justifiable  apprehension   about  imminent  and  massive  police  force  to  clear  the  tribes  and  their  supporters  off  the  land.    I  was  thinking  about  all  of  this  as  I  was  waiting  in  li ne  to  che ck  my  bags. Would  Standing  Rock  be  the  site  of  first   government ‐sponsored  widespread  violence  against  non ‐violent  Americans  during  the  Trump  administration? I   expressed  this  concern  to  the  guy  from  Indiana  — and  how  the  sight  of  non ‐violent  indigenous  peoples  being  violently   removed  fro m  their  historic  lands  could  be  a  hideous  modern  day  ‘Bull  Connor’ moment  broadcast  to  the  nation.  (Connor  was  the  white ‐supremacist  Commissioner  of  Public  Safety  in  Birmingham, Alabama  who  directed  the  use  of  fire   hoses  and  police  attack  dogs  against  civil  rights  activists  in  the  1960s; these  tactics  were  covered  by  th e  na tional  media,  horrifying  the  nation  and  ultimately  helping  lead  to  the  Civil  Rights  Act  of  1965.)    His  reply  shocked  me. “It’s  OK  if  there  has  to  be  violence. This  is  economic  development. Under  Trump, it’s  not  going  to   take  years  to  get  projects  approved  like  under  Obama. Tru m p  is  going  to  get  things  done. That’s  one  of  the  reasons  ‘we’  won  the  election.”  He  then  went  off  on  a  rift  about  liberals, schools  and  political  correctness, about  the  Environmental   Protection  Agency  and  too  much  regulation  of  business, the  evils  of  Obama  Care, etc. At  that  point  my  brai n  shut  down .  After  weeks  of  gentle  naturaleza  in  South  American  deserts, mountains, rivers  and  beaches, I  just  wasn’t  ready  for  that   kind  of  culture  shock.  It  was  a  harsh  welcome  back  to  America  in  the  era  of  Trump.    Divesting  from  destruction     Does  economic  development  really  have  to  depend  up on  oppressi ng  indigenous  peoples  and  exploiting  scarce  natural   resources  for  short ‐term  economic  gain, all  while  polluting  the  environment  and  contributing  to  long  term  climate   change?    Santa  Monica  has  long  thought  otherwise, and  has  a  history  of  pursuing  environmentally ‐sustainable  and  socially ‐just   practices. Tonight  a  City  Council  agenda  item  spons ored  by  Coun cilmembers  Terry  O’Day  and  Tony  Vazquez  seeks  to   “consider  divesting  all  City  funds  from  Wells  Fargo, due  to  their  business  practices  and  their  involvement  in  financing  the   Dakota  Access  Pipeline.”    Our  City’s  Investment  Policy  states  that  “Investments  are  to  be  made  in  entities  that  support  clean  and  healthy   environment, incl udin g  following  safe  and  environmentally  sound  practices” and  that  “no  investments  will  be  made  in   fossil  fuel  companies  as  defined  by  the  organization  350.org”.  It  is  true  that  Wells  Fargo  is  not  a  fossil  fuel  company  itself. But  too  often  the  investment  policies  of  big  banks  undermine   public  policy  goals. If  the  C o uncil  gives  staff  direction  to  divest  from  Wells  Fargo  – the  cities  of  Seattle, WA  and  Davis, CA   have  just  passed  similar  resolutions  – the  Council  will  be  enhancing  what  we  mean  by  ‘no  investing  in  the  fossil  fuel   industry’,  such  that  banks  will  have  to  revise  their  own  investme nt  poli cies  to  be  more  in  line  with  our  own, if  they  want   our  money.    What  about  ‘flyover  America’?    Here  in  Santa  Monica, we  are  used  to  such  cutting  edge, transformative  public  policy.  But  in  my  discussion  with  the  guy   from  eliminate  valuable   environmental  protections, de ‐regulate  dangerous  industries, and  take  the  pu bl ic  out  of  the  planning  process  — all  in   the  name  of  economic  development.    Trump  has  cynically  exploited  economic  hardship  to  deregulate  the  economy  and  scapegoat  immigrants  and  racial   minorities. But  such  hardships  actually  have  their  roots  in  more  complicated  long  term  macro ‐economic  trends  and   practices, including  autom a tion, globalization, excessive  military  spending  and  the  concentration  of  wealth  and  power  in   the  1%. Trump  and  his  cabinet  of  billionaires  are  unlikely  to  address  these  issues, and  at  some  point, people  will  again  be   looking  for  alternatives.    That’s  where  Santa  Monica  comes  in. Municipalities  can  spur  change  from  the  b ottom  up . Santa  Monica  is  also  a  prime   example  that  a  city  can  value  social  justice  and  the  environment  — and  also  have  a  thriving  local  economy, a  healthy  city   budget  and  provide  a  high  and  diverse  level  of  municipal  services.  Tonight’s  proposal  to  further  align  our  investment Once Wells Fargo receives the independent consultant’s report, we will work with regulators to develop a plan address ing any outstanding sales practices issues and implementing the consultant’s recommendations. Efforts will focus on:   Continuing to refund any fees related to unauthorized accounts  Closing any unauthorized accounts, and working with credit bureaus to correct the reporting of credit accounts  Contacting customers who obtained credit products with Wells Fargo or another lender while an unauthori zed credit inquiry or credit account may have impacted their credit score. The bank’s intent is to err on the side of customers and compensate them for impacts on their other credit products Preventing Future Problems Wells Fargo is developing a risk mana gement and oversight program designed to detect and prev ent sales integrity issues. This project violates the sacred land and treaty rights of the Standing Rock Sioux Tribe, and endangers the water supply and health for the Sioux and for countless others downstream. Santa Monica has long been a leader in sustainabi lity. Countless communities look to us for innovation in sustainable development and environmental protection. Embracing sustainable investment by placing our funds with banks that value human and envir onmental health is the next step. Motivated by the possibility of divestment, a fellow Santa Monica resident, Flavia Cahn, and I wrote a petition to support this effort. Since going onl ine yesterday morning, more than 350 people have signed in support. Many live or work in Santa Monica, but others are simply bystanders w ho admire what we are doing, from neighboring Venice to as far away as Japan. One issue of policy that I think the City needs to review is who they bank a nd invest with. Wells Fargo has demonstrated through fraudulent banking practices (creating accounts for people with out their knowledge), and funding projects that impact indige nous people's rights and the right to clear wa ter, that they are a financial institution who's values are out of alignment with those of the City.
