APRIL 26, 2016
A special meeting of the Santa Monica City Council was called to order by Mayor Vazquez at 5:34 p.m., on
Tuesday, April 26, 2016, at City Council Chambers, 1685 Main Street.

CONVENE/PLEDGE On order of the Mayor, the City Council convened at 5:34 p.m., with all
members present excepting Councilmembers O'Day and O'Connor to a
Councilrnember O'Connor combined meeting with the regular Council meeting concurrently taking
arrived a! 5:38 p. in. place to consider closed sessions. The City Council recessed to consider
closed sessions at 5:36 p.m. and returned at 6:53 p.m., to report the following:
CLOSED SESSIONS: LA. Conference with Legal Counsel - Existing Litigation - Litigation
has been initiated formally pursuant to Government Code Section
54956.9(d)(1): City of Santa' Monica v. Justice Aviation, Los Angeles
Superior Court Case Number 16R00754
The City Attorney advised that Items 1-A, 1-B, and 1-C were heard and the
City of Santa Monica and Justice Aviation have reached a tentative
agreement to resolve all of their disputes in litigation. Specifically, Justice
Aviation will cease all operations at Santa Monica Airport (SMO) no later
than 5111/2016, and will vacate all premises it now occupies at the airport no
later than 6/10/2016. Additionally, Justice Aviation will dismiss or
withdraw, as a plaintiff or complainant, from its district cotu-t action, two part
16 actions, and the class action lawsuit with prejudice, and release and hold
the city harmless from any liability or responsibility for any actions,
omissions, or conduct by it. The City will dismiss its unlawful detainer

action against Justice Aviation and will pay them the full and final sum of
$450,000, as compensation for the closure of its business operations at SMO.

The City Attorney advised that this matter was heard with no reportable
action taken.
ADJOURNMENT: On order of the Mayor, the special City Council meeting was adjourned at
6:55 p.m.
