SR 03-22-2016 8A6 negotiated as part of the lease. Any Tenant Improvement Credit that exceeds two months’ worth of tenant monthly rent must be approved by the Airport Director. 3. Each tenant or licensee will be responsible for interior maintenance and repair at its sole expense, and the City generally will retain responsibility for maintenance and repair of roofs, building exteriors, landscaping and common use parking for all Airport-managed leaseholds unless otherwise specified in the lease or license. Tenants who lease whole buildings from the City will be responsible for any and all maintenance, repair and improvements including roofs, building equipment and exteriors of the facilities as well as interior maintenance and repairs. 4. Tenants shall respond to the City’s written inquiries regarding any complaints or issues. Tenant will provide an action plan for improvement if so requested by the City. 5. As applicable, the above requirements may be incorporated in leases, licenses and other agreements. In addition, the City may add to any Lease or License further or different or additional operational and performance standards as the City concludes are appropriate to the particular Tenant’s operation. 6. Upon confirmation that the proposed tenancy is consistent with this Leasing Policy, a lease agreement will be prepared for review by the City Attorney and execution by the prospective tenant before being referred to the City Manager for approval. Leases for terms greater than terms specified in these guidelines require City Council approval. SECTION E: LEASE APPROVALS AND & DELEGATION OF AUTHORITY 1. The City Manager has the authority to negotiate and execute month-to- month leases and leases that expire prior to June 30, 2018 provided the City Manager finds the proposed use is consistent with this Leasing Policy. To be valid, such leases must be on the basis of written agreements prepared and approved as to form by the City Attorney. Leases for terms of 7 occupancy beyond June 30, 2018, or otherwise outside the parameters established by this Policy, will require City Council approval. 2. The City may cooperate with commercial real estate brokers who are authorized to negotiate leases on behalf of prospective tenants. Closing the airport or greatly toning it down would be the best thing you can do for the City and its residents, and passing the airport leasing policy is the necessary first step. On March 11 in Pasadena, the 9th Circuit Court of Appeals heard our appeal in Santa Monica v. US. The federal government leased the airport during World War II and returned it with a “reverter clause.” Most of the oral argument in Pasadena concerned what that clause actually means. We say that title to the real property never left the City, and it cannot “revert” to the US. The City also argued that the 1984 settlement agreement has now run its twenty-year term, and the use of the land is now governed by local land-use policy. Judge Paez and Judge Pregerson both made comments indicating that the Instrument of Transfer created some covenants, restrictions, and clouds on title that make a straightforward quiet title declaration unlikely, at least for now. The Court is concerned that it lacks jurisdiction over the dispute unless and until the City actually decides to close the airport. The District Court below said, “the City admits . . . that it has not yet decided, or declared its intention, to cease operating SMO as an airport in 2015. Indeed, the City has not passed any additional resolutions, since its resolution in June 1981 . . . Accordingly, the City’s claims rest upon contingent future events that may not occur as anticipated, or indeed may not occur at all.” Both Judge Nguyen and Judge Paez mentioned this apparent lack of jurisdiction. Judge Paez said that “if the City decided that, look, we’re through with this airport,” and the US government tries to keep the airport open, the City can then raise all its arguments about the defective “reverter clause” and the 1984 settlement agreement. But until the City takes action, it’s all hypothetical. There is no actual dispute, and the Court has no jurisdiction to render an opinion. The Judge was giving the City a blueprint on how to handle this case. The first step is for the City Council to stop pussy-footing around and take a firm stand. The proposed leasing policy is an important first step. There are already substantial efforts underway to clean up the airport , and the City Manager and the City Attorney’s Office need a leasing policy now. If the Council rejects the leasing policy or delays its consideration, it might as well hand the keys to the airport and title to the real property the federal government. At one point at the hearing in Pasadena, Judge Pregerson served our attorney from Morrison Foerster attorney a beautiful softball, asking her to tell the court what is really going on here. This was an obvious invitation to mention the unsafe, unhealthy, overused, and overbuilt operation at SMO, in Add to 8-A 03/22/2016 6 one of the densest residential areas in the Country. Judge Pregerson even asked her to show him a map of the area. At another point he asked if the airport is still in operation. Judge Paez, too, seemed to be under the impression that SMO was abandoned at the end of the war and is now an empty lot. After our attorney’s inarticulate reply, Judge Paez continued to describe it as a “low-level airport.” Morrison Foerster’s attorney was unprepared and uninformed and wasted these valuable opportunities to educate the Court on the real-world impact of the airport. She misused the word “revert” every time she uttered it, which substantially blunted the argument. Morrison Foerster misframed the case in the first place so that it was thrown out before it even got off the ground, and I think the City should stop paying them immediately. It must assert its proprietor rights as the undisputed owner of the airport land and take lawful measures to terminate tenancies that are inconsistent with the health, safety, and welfare of the community. The residents demand action from our elected officials and City staff to reduce flight operations over homes and schools, even without closing the airport or runway to aviation use at this time. Meanwhile, the remaining legal issues with the FAA related to the Western Parcel and the Instrument of Transfer Parcel should be resolved as quickly as possible. Current Situation Beginning July 2015, existing aviation tenants at the Airport (including Atlantic Aviation, American Flyers, Justice Aviation, and Krueger Aviation) have had no rights to continued leases. Their leases are now expired, but their month-to-month holdover tenancies are perpetuating harmful impacts on the community. No laws, agreements, or federal obligations require the City to continue any leasing to these holdover aviation tenants. To bring relief to the community, the City must order and organize use of the land and buildings at the Airport pursuant to written Airport Leasing Policy, lease agreements, and other land use rights. Demanded Actions 1. The City must lawfully act on its proprietor rights and immediately: (a) give Notice to Vacate to any tenant who does not have a written lease agreement as of April 1, 2016; (b) refuse future rent payments from such tenants for any occupancy after March 31, 2016; (c) establish a non- discriminatory Airport Leasing Policy that prohibits any future leases for tenant uses that are incompatible with the neighborhood community; (d) invite all tenants in writing to apply for a lease at Santa Monica market rates that are the same for both aviation and non-aviation uses pursuant to the Airport Leasing Policy. These actions should begin with Atlantic Aviation, the largest Fixed Base Operator and worst polluter at the Airport. These actions will maintain proper and legal order at the Airport and are well within the proprietor rights of the City. Tenants who remain without a current lease are not in lawful possession of the property and should be the subject of immediate legal action. 2. The City Manager should issue a written Airport Policy Memo to make clear that: (a) consistent with the FAA’s 2000 Director’s Determination and 2003 Final Agency Decision (Docket Number 16-99-21), both the continued operations and potential future closure of the airport are a “local land use matter”; ( b) the airport runway and FAA tower presently remain open for aviation; (c) FAA safety and access regulations presently govern the runway; (d) tie-downs and hangar spaces are presently available to support operations by transient aircraft; (e) no guarantee of future availability is made nor implied. 3. There have been several studies that have shown irrefutably the incredible negative environmental impacts that SMO aircraft operations have on the surrounding neighborhoods. In particular, the Los Angeles neighborhood of North Westdale that is adjacent to the east end of SMO. It is right for the City of Santa Monica to fight the FAA and break the ties of involuntary servitude that has been imposed on Santa Monica (and Los Angeles) since the end of World War 2. The community is not only standing strongly behind you as you know, they are pushing you forward (sometimes rather rudely). Please know that it is because the community is very concerned about their health and safety, and for very good reason. The community is not willing to endure more of the same until 2023, and they should not be asked to do so. The community is against any extension of leases that will allow for the toxic clouds of air pollution to continue. The community will not rest and neither should the City. Please, do not kick this critical issue down the road. The time is ripe to put an end to it. To bring relief to the community, the City must order and organize use of the land and buildings at the Airport pursuant to written Airport Leasing Policy, lease agreements, and other land use rights. Demanded Actions 1. The City must lawfully act on its proprietor rights and immediately: (a) give Notice to Vacate to any tenant who does not have a written lease agreement as of April 1, 2016; (b) refuse future rent payments from such tenants for any occupancy after March 31, 2016; (c) establish a non- discriminatory Airport Leasing Policy that prohibits any future leases for tenant uses that are incompatible with the neighborhood community; (d) invite all tenants in writing to apply for a lease at Santa Monica market rates that are the same for both aviation and non-aviation uses pursuant to the Airport Leasing Policy. These actions should begin with Atlantic Aviation, the largest Fixed Base Operator and worst polluter at the Airport. These actions will maintain proper and legal order at the Airport and are well within the proprietor rights of the City. Tenants who remain without a current lease are not in lawful possession of the property and should be the subject of immediate legal action. 2. The City Manager should issue a written Airport Policy Memo to make clear that: (a) consistent with the FAA’s 2000 Director’s Determination and 2003 Final Agency Decision (Docket Number 16-99-21), both the continued operations and potential future closure of the airport are a “local land use matter”; ( b) the airport runway and FAA tower presently remain open for aviation; (c) FAA safety and access regulations presently govern the runway; (d) tie-downs and hangar spaces are presently available to support operations by transient aircraft; (e) no guarantee of future availability is made nor implied. 3. The City should engage outside counsel who shall report directly to the City Manager to begin work now on: (a) tenant evictions and (b) anticipated filing for a federal injunction against the City by aviation interests. Once again it is time for a March Council meeting and an associated major decision point on SMO policy.  Once again  there has been considerable positive progress since the last meeting (thank you to Council and staff, for that!), so once  again let me offer my 5 cents worth as far as the issues before you.    Like virtually all that oppose SMO’s continued aviation use, I strongly support the leasing policy prepared by staff and  urge you to adopt it.  The fact that the policy has brought most radical anti‐aviation activists back into alignment with  moderates, and with the City and staff, is a testament to the diplomatic skills of Nelson Hernandez (the policy’s principal  architect), and to the wisdom of both the City Manager and Council in appointing him.  For the first time since 2014, only  a small and rapidly shrinking intransigent fringe element remains opposed.  This in itself is an accomplishment.    At the recent Airport Commission meeting, the leasing debate ended in what was recorded as a 2:2 draw (one  commissioner being absent).  In fact, by my reckoning it was a 2:1 victory for the policy with one abstention because  commissioner Mark’s response during the roll call vote was “I’d better stay out of this” which I take to be an abstention,  not a no vote.  Either way, the required 3 vote level was not achieved.  I believe that a large part of the reason for the  Commissioner’s concerns was due to the speed with which the policy was created (by virtue of the critical need to deal  with Gunnel’s subtenants who are effectively squatting at this time).    A compounding factor at the A/C was the commissioner’s desire to define exactly what is, and what is not, “compatible”  uses.  Unfortunately to explicitly define this would likely require many months (if not longer), and ultimately such a tome  would likely provide increased opportunities for frivolous litigation by aviation supporters in furtherance of their clear  strategy of piling on lawsuits over every subject other than the key matters of the 1948 agreement and the term or the  1994 grant assurances.  I believe you will be discussing a total of 5 SMO legal proceedings in closed session prior to this  meeting, so aviation advocate policy goals are clear and undeniable:  keep the fight about everything except the key  issues so we can wear ‘em down and delay as long as possible.  For these reasons I believe Council should proceed with  the policy regardless of the A/C deadlock.    The leasing policy is scrupulously impartial, and nowhere does it explicitly discriminate against aviation uses, indeed  aviation is barely mentioned, appearing only where absolutely necessary.  At the same time the policy creates the  Add to 8-A 03/22/2016 8 necessary backdrop and lays the ground rules required to allow Council and staff to continue the gradual and orderly  mitigation of the negative impacts of SMO aviation, while simultaneously ensuring economic viability of the airport, and  attracting more desirable tenants into a space that in its present state many such tenants would find less than desirable.   To that end the allowance of longer leases up to June 2018 (consistent with what would have been a 3‐year term had  that issue not inexplicably blown out of control) is critical to ensuring that alternate tenants are motivated to make the  significant tenant improvements that will be necessary in many of the spaces offered.    Lastly, and perhaps most importantly, because the policy does not explicitly mention or discriminate against aviation  uses, this means that for aviation advocates to allege overt anti‐aviation discrimination, they must rely on the final  clause in Section A.1 namely:  “and b) uses required by law”.  In other words they must prove that aviation uses are  required by law, and to do so they have no choice but to prove that either or both of the 1948 agreement or the grant  assurances require the City to retain them.   This of course is exactly where we want the matter to be decided, and the  faster we get to a resolution of these basic issues the better.   Furthermore, it occurs to me that though doubtless  unintended; since aviation tenants seeking to prove they must be retained requires them to accelerate the resolution of  the key issues, this puts their tactical interests in directly opposition to those of the NBAA and FAA who seek to avoid  these issue for as long as possible.  I have no idea what discord these divergent tactics might lead to, but it seems to me  this can only be to our benefit, particularly since I suspect NBAA and others may be directly or indirectly funding aviation  tenants to fight the City.    In summary, I urge Council to approve the leasing policy essentially as written.    On another matter before you in the same meeting, as a board member of Airport2Park I concur with staff’s  recommendation not to slow down progress on park development of the 12 acres by creating “a multi‐use recreational  facility there with two ice rinks” as advocated by the Parks Commission.  By now you have no doubt received A2P’s  official response to this idea, but the key point is that making such a tie will likely bring forward momentum of park  development to a grinding halt for at least 5 years as all the issues of such a development are debated and resolved.  Far  better to place such a development in the context of the larger park development at SMO where it properly belongs, not  on the very first visible step towards LC compliance.    Sincerely, As you know, NBAA represents over 10,000 member companies which own and operate over 11,000 general aviation aircraft to facilitate the conduct of their businesses or which are otherwise involved with business aviation. Those members include numerous tenants and users of the Santa Monica Municipal Airport (“SMO” or “Airport”), who continue to be strongly interested in the Airport’s future accessibility and viability. On March 15, 2016, a draft leasing policy for SMO was presented at a meeting of the City’s Airport Commission – a policy which the Commission declined to endorse. Among other issues, in the course of the meeting it became clear to all in attendance that the the proponents of that policy were unfortunately misinformed about the Airport and its federal obligations. In particular, the presentation conveyed to the members of the Commission and the public that the FAA prohibition on “discrimination” at an airport such as SMO implicated only discrimination based on factors such as race and gender. In fact, as your City Attorney, Marsha Moutrie, repeatedly has informed the Council, the FAA’s grant assurances (as well as the 1948 federal Instrument of Transfer (“IOT”)) applicable to SMO specifically prohibit economic discrimination – i.e., SMO must be accessible on reasonable terms to all types of aeronautical users, irrespective of factors such as the size of aircraft, frequency of operation, etc. This misunderstanding of the City’s legal obligations fundamentally taints the draft leasing policy. Specifically, the policy’s delegation to the City Manager of unbridled discretion to remove or deny access to aeronautical tenants without any standards or criteria, or on an undefined and equally impermissible notion of “compatibility” with the surrounding community would, if implemented, be a per se violation of grant assurance no. 22 and the equivalent language of the IOT. Proceeding with a policy that fails to comply with federal requirements will inevitably result in expensive and lengthy litigation, and will not serve the interests of the Airport, its tenants, or the citizens of Santa Monica. I would also like to emphasize the importance of offering leases on appropriate terms to all current tenants that are engaged in aeronautical businesses – e.g., at fair market rents (consistent with the appraisal recently conducted by the City), multi-year terms rather than month-to-month and without restrictive terms on their activities (e.g., on business hours, types and numbers of operations, or irrelevant insurance mandates). Add to 8-A 03/22/2016 Finally, I urge you to understand that non-compliance with the federal obligations that continue to require the operation of the Airport (at a minimum through 2023, based on the FAA’s December 4, 2015 ruling) may lead the federal government to impose severe sanctions, such as the termination of all federal transportation grants to the City. NBAA does not desire that outcome – many of its members are, or employ, City residents who utilize the City’s transportation infrastructure. However, that consequence may occur if the City continues to make poor choices, such as the open defiance of legal obligations that it voluntarily assumed – and drafting airport policy with the apparent intent of evicting airport tenants in good standing. That outcome can easily be avoided by the City instead acting as a good steward of its Airport in compliance with long-standing and widely understood federal requirements.
