502i cep lob . 5b)-- CCe9 EASEMENT AGREEMENT THIS EASEMENT AGREEMENT ( "Agreement "), effective October 2o, 2014, is entered into by and between the City of Santa Monica ( "City "), and the Exposition Metro Line Construction Authority ( "Expo "). City and Expo are sometimes collectively referred to herein as the "Parties" and each individually as a "Party." RECITALS A. City is the owner of the real property located at 1800 Stewart Street in the City of Santa Monica, California ( "Property). B. Expo is in the process of developing and constructing certain public improvements, and in particular, the Exposition Light Rail Transit Line ( "Project "). C. In connection with the Project, Expo needs to acquire an exclusive, permanent easement on a portion of the Property, consisting of approximately 160 square feet (the "Easement "). The Easement is more particularly described in the legal description and plat map which are included with the Grant of Easement attached to this Agreement as Exhibit "1 ". Expo and City previously entered into a Right of Entry Agreement pursuant to which Expo's contractor secured temporary rights to perform work in the Easement area. D. By this Agreement, City and Expo seek a full and final resolution of all past, present and potential claims, controversies, actions and disputes between them arising out of or related to the Expo's acquisition of the Easement. E. As used in this Agreement, the term "City" shall mean, both collectively and individually, the City of Santa Monica, a public entity of the State of California, and all of its former, present and future partners, directors, officers, shareholders, trustees, advisory board, advisory board members, employees, servants, representatives, agents; contractors, subcontractors, assigns, attorneys, predecessors, successors, subsidiaries, divisions, subdivisions and parents. F. As used in this Agreement, the term "Expo" shall mean, both collectively and individually, the Exposition Metro Line Construction Authority, a public entity of the State of California, and all of its former, present and future partners, directors, officers, shareholders, trustees, advisory board, advisory board members, employees, servants, representatives, agents, contractors, subcontractors, assigns, attorneys, predecessors, successors, subsidiaries, divisions, subdivisions and parents. 1 EXPO Easement Agreement.doe 366667.v2 TERMS In consideration of the above terms, conditions, and releases set forth below, the Parties agree as follows: 1. PAYMENT TO CITY. Expo will pay City the total sum of Forty Four Thousand Eight Hundred and no /100 Dollars ($44,800.00), inclusive of attorneys' fees, costs, and interest, as payment of the total amount of just compensation for the Expo's acquisition of the Easement and any other claims the City could have raised should Expo have acquired the Easement through an eminent domain action. Said payment shall be made by check, payable to "the City of Santa Monica," and shall be made within thirty (30) days of both parties' execution of this Agreement and the Grant of Easement, and City's securing the requisite subordinations described in Paragraph 2, below. Upon City's receipt of the payment, Expo shall be entitled to record the Grant of Easement. 2. SUBORDINATION OF OTHER INTERESTS IN EASEMENT AREA. To the extent any tenant or other party has any leasehold or other interest in the Easement area, or any other interest in the Property (including, but not limited to, Agensys, Inc.), City hereby agrees to secure, in favor of Expo, waivers, consent agreements or subordinations of such interests -- or any claims that any such party may have -- to the Easement area or Expo's acquisition of the Easement area, and otherwise agrees to defend and indemnify Expo from any claims by third parties claiming an interest in the Easement. 3. REPRESENTATIONS AND WARRANTIES. (a) City represents and warrants that it has not assigned or transferred, or purported to assign or transfer, to any person, firm, partnership, corporation or entity whatsoever, any rights, claims, demands, damages, debts, liabilities, accounts, reckonings, liens, attorneys' fees, costs, expenses, actions and causes of action released, compromised and settled in this Agreement. (b) City represents and warrants that it is the party who has all of the interest in any of the released, compromised and settled matters referenced in this Agreement, and that it has the full right, power and specific authority to enter into, execute and consummate this Agreement. 4. PERSONS AND ENTITIES AFFECTED. To the fullest extent legally possible, and except as specifically provided herein, this Agreement and the covenants, terms and conditions contained herein shall apply to, be binding upon and inure to the sole benefit of Expo and City. 2 366667.v2 5. CONSTRUCTION OF AGREEMENT. This Agreement shall not be construed against the party preparing the same, and shall be construed without regard to the identity of the person who drafted such and shall be construed as if all parties had jointly prepared this Agreement and it shall be deemed their joint work product, and each and every provision of this Agreement shall be construed as though all of the parties hereto participated equally in the drafting hereof; and any uncertainty or ambiguity shall not be interpreted against any one party. As a result of the foregoing, any rule of construction that a document is to be construed against the drafting party shall not be applicable. 6. ADVICE OF COUNSEL AND VOLUNTARY EXECUTION. Each party has freely and voluntarily read and executed this Agreement. Each party has had this Agreement, its meaning, effect, significance and consequences fully explained to them by their attorneys of choice and acknowledge that they fully understand the meaning, effect, significance and consequences thereof. 7. PERFORMANCE OF ADDITIONAL ACTS. Each party agrees that it shall execute and deliver any and all documents and perform any and all acts required on their part or those which may be reasonably necessary to effectuate and complete and facilitate the provisions of this Agreement. 8. MODIFICATION IN WRITING. This Agreement may be modified only by written agreement of each party affected by such modification. 9. EXECUTION IN COUNTERPARTS. This Agreement may be executed in multiple counterparts, each of which shall be deemed an original, and all of which shall constitute one agreement to be effective on the date first above written. 10. GOVERNING LAW. This Agreement is made and entered into in the State of California and shall in all respects be construed, interpreted, enforced and governed under and by the laws of the State of California. 11. ENFORCEMENT OF AGREEMENT. Nothing contained herein, including, but not limited to, provisions relating to releases or waiver of provisions of section 1542 of the Civil Code, is intended to, or shall, affect or limit any party's right to enforce any provision of this Agreement. This Agreement is admissible in any judicial proceeding to enforce its terms. Any party to this Agreement shall be entitled to enforce its terms pursuant to Code of Civil Procedure Section 664.6. 12. INTEGRATED AGREEMENT. This Agreement contains the entire understanding and agreement between the parties hereto with respect to the matters referred to in it. No other representations, covenants, undertakings, or prior or contemporaneous agreements, oral or written, regarding such matters which are not specifically contained and /or incorporated into this Agreement by reference, shall be deemed, in any way to exist or bind any of the parties. Each party acknowledges that it has not been induced to enter into the Agreement and has not executed the Agreement K3 366667A in reliance upon any promises, representations, warranties or statements not incorporated by reference into the Agreement. Should Grantee's Board of Directors decide to no longer operate the Rail Line such that Grantee will no longer need the Easement, Grantee shall provide 30 days' prior written notice to Grantor terminating the easement and Grantee shall cause the Easement Area to be restored from any damage or material change caused by Grantee to substantially the same condition as the Site was in prior to Grantee's entry onto the Easement Area. III. MAINTENANCE OF EASEMENT AREA Grantee; at its own expense, shall be solely responsible for the maintenance of the Easement Area and Facilities during the Term of this Easement, and shall cause the Easement Area to be maintained at all times in a safe, good, and clean condition and repair. Grantee undertaking such maintenance shall take all measures reasonably necessary to minimize any disruption or inconvenience caused by such work to the Grantor, and any neighboring tenants, and/or occupants located at 1800 Stewart Street, in the City of Santa Monica. IV. INDEMNIFICATION a. Neither Grantee nor any of its successors and assigns shall be responsible for any damage or liability occurring by reason of anything done or omitted to be done by Grantor and its successor and assigns under or in connection with any work, authority, or jurisdiction delegated to Grantor and its successors and assigns under this Agreement. It is also understood and agreed that, pursuant to Government Code Section 895.4, Grantor and Grantor's successors and assigns shall fully indemnify, defend, and hold Grantee harmless from liability imposed for injury (as defined by Government Code Section 810.8) occurring by reason of anything done or omitted to be done by Grantor and its successor and assigns under or in connection with any work, authority, or jurisdiction delegated to Grantor and its successor and assigns under this Agreement. b. Neither Grantor nor any officer or employee of Grantor nor any of its successors and assigns shall be responsible for any damage or liability occurring by reason of anything done or omitted to be done by Grantee and its successor and assigns under or in connection with any work, authority, or jurisdiction delegated to Grantee and its successor.and assigns under this Agreement.
