This Agreement is made and entered into this 15th day of ,Tune , 2007 by and between THE
ROMAN CATHOLIC ARCHBISHOP OF LOS ANGELES, a CORPORATION SOLE (hereinafter called
"Grantor ") and THE CITY OF SANTA MONICA, whose address is 1685 MAIN STREET, SANTA
MONICA, CA 90401 (hereinafter called "Grantee "),
WITNESSETH:
WHEREAS, the Grantor owns and has fee simple title to that certain parcel of real property located in the
City of Santa Monica, County of Los Angeles, State of California, legally described as follows:
See attached Exhibits A, B, and C
AND WHEREAS, the Grantee desires to use said real property for the purpose of
Sidewalk Right -of -Way
NOW, THEREFORE, it is hereby agreed between the parties hereto as follows:
The Grantor does hereby grant, assign and set over to the Grantee:
A Sidewalk Easement
Except as to the rights granted herein, the Grantor shall continue to have the full use, occupancy and
enjoyment of said real property. The Grantee hereby agrees to hold and save the Grantor harmless from
any and all claims, liability and damages arising from the use, possession and occupancy of the real
property as herein granted and hereby further agrees to pay for any and all damage or damages which
may occur to the real property or rights to the Grantor or any other person or property through Grantee's
use, occupation and possession of the real property or the rights herein granted.
TO HAVE AND TO HOLD said easement, right, and right -of -way unto the Grantee, its successors, or
assigns for a period of unlimited time subject to the following specific conditions and restrictions:

This agreement shall be binding upon and inure to the benefit of the Parties hereto, and their respective
heirs, administrators, executors, successors and assigns.

This is to certify that the interest in an easement over real property conveyed by the
grant dated June 15, 2007, from The Roman Catholic Archbishop of Los Angeles, a
corporation sole, to the City of Santa Monica, a municipal corporation and governmental
