Subject: Third Modification to License Agreement 61543 with the County of Los
Angeles for the use of parking spaces in the Civic Auditorium Parking lot
or the Civic Center Parking Structure.
Recommended Action
1. Authorize the City Manager to negotiate and execute a Third Modification to
License Agreement 61543 with the County of Los Angeles for the use of 325
parking spaces in either the Civic Auditorium Parking lot or Civic Center Parking
Structure (on level three or above) at a license fee of $7.27 per space or
$583,599.25 per year for a one year term ending November 14, 2010, with an
option to extend the term at the City's sole discretion, for a period of 15 additional
months, from November 15, 2010 through February 29, 2012, at a license fee of
$751,354.50 for the option term.
2. Approve modification of operational policies and responsibilities.
Executive Summary
On or about June 27, 1989, the City and County entered into License Agreement 61543
for the use of parking spaces in the Santa Monica Civic Auditorium lot, which was
amended pursuant to a First Modification dated November 15, 2004, and a Second
Modification dated June 27, 2006.
This Third Modification to License Agreement 61543 extends the term of the license for
another year, adds the Civic Center Parking Structure as an approved location for non
reserved County parking, establishes an option to extend the License Agreement for a
period of 15 additional months from November 15, 2010 through February 29, 2012,
and provides an opportunity for apro-rata reduction in the License Agreement due to
mandatory employee furloughs by the County or State.

Background
The Santa Monica Civic Auditorium parking lot serves a variety of customers including
City employees, County employees and jurors, visitors to the Courthouse and City Hall,
Auditorium event parking, and Santa Monica High School evening special event
parking. The current public daily parking rate is $8.00 per space
The Santa Monica Courthouse was constructed without its own parking facilities. To
provide parking for Courthouse employees, jurors, County law enforcement personnel,
judges and commissioners, the County of Los Angeles entered into an agreement with
the City of Santa Monica in 1989 to provide 450 parking spaces in the Santa Monica
Civic Auditorium parking lot, adjacent to the Courthouse. Over the next few years
Courthouse operations changed significantly. Criminal cases were transferred to other
jurisdictions, a new efficient jury reporting system was initiated thereby reducing the
number of jurors called at one time, and the Culver City Courthouse was transferred to
Santa Monica in 2005. In light of these changes the County reduced its request from
450 to 325 parking spaces. The Second Modification to the License Agreement, dated
June 26, 2006, reflected the reduced demand.
The Third Modification maintains the number of parking spaces at 325 and permits
parking in the Civic Parking Structure (third level or above) as an additional approved
parking location for non-reserved spaces. This change is consistent with the current
practice of providing City and County employees the same parking location choices.
This modification also establishes an option, at the City's sole discretion, to extend the
term for an additional 15 months, from November 15, 2010 through February 29, 2012.
During the option term the City may designate an alternate parking location within the
Civic Center area, if necessary, after consultation with the County.
The Third Modification also provides an option for apro-rata reduction of parking fees if
the County or the State imposes mandatory furlough days for their employees, reducing
their parking demand.

Previous Council Actions
On November 9, 2004, City Council approved Settlement Agreement No. 8416 (CCS)
with the County of Los Angeles for the release of the covenant related to the
Courthouse property and the building of the City's parking garage, and a First
Amendment to License Agreement 61543.
This agreement called for the City to extend the parking agreement with the County to
allow the use of parking spaces for 5 years or one year after the State of California took
over the Courthouse property, whichever occurred first, and authorized the City
Manager to negotiate and execute the First Modification to License Agreement 61543.
On June 27, 2006, City Council authorized the City Manager to negotiate and execute
the Second Modification to License Agreement 61543. This modification reduced the
number of parking spaces from 450 to 325, increased the license fee, and revised
operational policies and responsibilities.
Financial Impacts & Budget Actions
Approval of this agreement will have no net effect on parking revenue; revenue from
Courthouse parking was included in the FY09-10 Adopted Budget.
