SUBJECT: Recommendation to Amend Agreement to Increase Number
of Voting Members on the Main Street Parking and
Business Improvement Area Committee
Introduction
The purpose of this report is to recommend that the City Council
authorize an amendment to the agreement between the City and the
Santa Monica Area Chamber of Commerce to increase the number of
voting members of the Main Street Parking and Business
Improvement Area Committee from five to seven.
Background
In April 1984, by Ordinance 1303 the Main Street Parking and
Business Improvement Area was created by the City Council. The
ordinance called for the proceeds of the assessment district to
be utilized for general business promotion in the area by way of
a contract between the City and an organization approved by the
City. Businesses in the area indicated their desire to have the
Santa Monica Area Chamber of Commerce assume the administrative
responsibility for promotion. By separate agreement with the

Chamber, a five voting and two ex-officio member Main Street
Parking and Business Improvement Area Committee was established.
Membership composition is as follows:
1) Four voting members who are subject to and paid the
assessment, selected by the Main Street Committee of the
Chamber.
2) One voting member selected by the Main Street Committee
of Chamber, in consultation with the City Manager, and
who is from the neighborhood immediately adjacent to the
Main Street Parking and Business Improvement Area.
3) One ex-officio member selected by the City Manager and
who is an employee of the City. This representative
shall serve on an as-needed basis.
4) One ex-officio member appointed by the Board of Directors
of the Santa Monica Convention and Visitors Bureau.
On April 7, 1986 a letter was received from the Committee
requesting that voting membership in the committee be increased
from five to seven by increasing the Chamber of Commerce
appointees from five to six and by changing the designation of
the Convention and Visitors Bureau representative from ex-officio
to full voting member. The Committee has two reasons for making
this request. With only five official members there has been

difficulty at times achieving a quorum. Also, there has been
concern on the part of the members that the voting quorum of
three members is too few to make appropriate financial decisions
affecting Main Street merchants.
Budget/Fiscal Impact
There is no budget/fiscal impact in this staff report.
Recommendation
Staff respectfully recommends that the City Council authorize the
City Manager to negotiate and execute an amendment to the
agreement between the City and the Chamber of Commerce to
increase the number of voting members on the Main Street Parking
and Business Improvement Area Committee from five to seven.
