Santa Monica, California TO Mayor and Council members FROM: City Staff SUBJECT: Recommendation to Approve the Pier Restoration Corporation's Conflict of Interest Code and Amendments Thereto INTRODUCTION This Staff Report recommends that the City Council approve the Pier Restoration Corporation's (PRC's) Conflict of Interest Code and an amendment thereto, BACKGROUND On April 7, 1993, the PRC Board of Directors adopted a conflict of interest code (the "Code") based upon the standard model adopted by the Fair Political Practices Commission as part of the California Administrative Code (2 Cal. Adm. Code Section 18730). The Code enumerates the positions within the PRC which involve the making or participation in the making of decisions which may forseeably have a material effect on any financial interest, lists the types of financial interests to be disclosed by each position, and requires the designated PRC employees and board members to file annual statements disclosing these reportable economic interests. The PRC Board of Directors last amended the Code in 1998. Since then the staffing plan for the PRC has changed. Specifically, there is no longer an Operations Manager, and the 1 fo1. DEe 1 9 2. position of Corporate PartnershipslCommunications Manager has been redesignated Marketing Manager with attendant revisions to the position's duties. At its September 6, 2000 meeting, the PRC Board voted to amend its Code to reflect revisions to the PRC designated positions and disclosure categories. The 1993 resolution adopting the Code, the 1998 resolution amending the Code, and the recently revised attachment to the 1998 resolution are all attached to this report. DISCUSSION The Political Reform Act requires various agencies to adopt conflict of interest codes, including the PRC. Government Code Section 87303 provides that a conflict of interest code must be approved by the code reviewing body, The statute further provides that the City Council, as the code reviewing body, must either approve, revise and approve, or return the code to the agency for resubmission. BUDGET/FINANCIAL IMPACT No budget or financial impact will result from approval of the Code and the amendments. RECOMMENDATION Staff recommends that the City Council approve the Conflict of Interest Code, the amendment, and revised Exhibit 2 to the amendment adopted and submitted by the PRC. When a designated employee is required to disclose interest in real property, he need only disclose real property which is located in whole or in part within or not more than two miles outside the boundaries of the jurisdiction or within two miles of any land owned or used by the local government agency. . Designated employees shall disclose their financial interest pursuant to the appropriate category as indicated in Exhibit A. WHEREAS, 2 California Code of Regulations Section 18730 authorizes incorporation by reference of its terms, along with the designation of employees and the formulation of disclosure categories, as a Conflict of Interest Code; and WHEREAS, the Pier Restoration Corporation Board of Directors has determined that Exhibits No. "1" and No. "2,. attached hereto, accurately set forth those positions which should be designated and the categories of financial interests which should be made reportable, as required by California Code of Regulations Section 18730. < NOW, TIlEREFORE, THE SANTA MONlCA PIER RESTORATION CORPORATION BOARD OF DIRECfORS DOES RESOLVE AS FOLLOWS: SECTION 1. The terms of 2 California Code of Regulations Section 18730 (attached hereto as Appendix 1) and any amendments to it have been duly adopted by the Fair Political Practices Commission, along with the accompanying Exhibits "I" and "2" in which officials and employees are designated and disclosure categories are set forth, and hereby incorporated by reference and constitute the Conflict of Interest Code of the Santa Monica Pier Restoration Corporation. SECTION 2. Future amendments to the tenns of 2 California Code of Regulatiorul Sec:tion 18730 that are duly adopted by the Fair Political Practices Commission shall automatically become part of the Corporation's Code of Ethics and Conflict oflnterest Code. SECTION 3~ The provisions of 2 Cal. Admin. Code Section 18700 through 18706, which delineate the circumstances under which a public official must refrain from participating in a decision due to a conflict of interest are also attached hereto as part of Appendix 1 for reference. The Pier Restoration Corporation recognizes that these regulations, and any duly adopted amendments thereto are appl icable to the actions of the Pier Restoration Corporation Board of Directors and its officers and employees. SECTION 4.
