SR-106-025 (3) -- CitYClerk:AMs:sm4lt Council MeetIng: October 1, 1985 Santa .nIca, CalIfornIa / ptp-t/z-5' {4 - 8 OCT 1 1985 TO: Mayor and CouncIlmembers FROM: CIty Clerk SUBJECT: DISCUSSION RESTORATION VACANCIES OF NUMBER OF DIRECTORS ON COR PORA TION AND NOMINATIONS THE TO PIER FILL IntroductIon ThIS report provIdes InformatIon for CouncIl dIScussIon of the number of members on the PIer RestoratIon CorporatIon's Board of DIrectors and for appointments to fIll vacanCIes. ~ack~rq~nd Re~ardIn~ Number of DIrectors On May 10, 1983, CouncIl approved In concept the formatIon of a nIne-member PRC Board of DI rectors. On September 13, 1983, the matter of appoIntment of members to the PRe was presented. At thIS meetIng, CouncIlmember EpsteIn made a successful motIon to Increase the number of members on the Board of DIrectors from 9 to 11. After the vote on nomInations, Mayor Edwards made a successful motion (supersedIng Councilmember EpsteIn's motIon) to increase the number of members on the Board of DIrectors from 11 to 12. Subsequently, the number of Di rectors on the PRC (12) became part of the PRe Bylaws WhICh were adopted by CouncIl at the November 15, 1983, Council meetIng. Bylaw ArtIcle III (DIrectors), SectIon 2, currently states: "The authorized number of dIrectors shall be twelve (12) untIl changed by amendment of the ArtIcles or by a Byl awn. Gall Markens, Executl v e DI rec tor of the PRC, has Ind lcated to our offIce that the matter of the number of Directors has been discussed at a recent PRC meetIng. No ObjectIons were stated to reducIng the number of DIrectors to 11. RecommendatIons Re~ardIn& Number of Dir~~tors If the Council desires to reduce the number of members on the Board of DIrectors, a motion IS requested to so amend the PRC ArtIcles and Bylaws. (Four addItIonal vacanCIes vlill occur in November 1985 caused by expIrIng terms. AppOIntment will be made at the CIty CounCIl meetIng of November 12th).
