SR-106-004 (6) -- ., e e IO-~ SEP 2 3 '9i~ 1010- 00,-/ AC:LB:mmlU Council Meeting: 9/23/86 Santa Monica, California TO: Mayor and city Council FROM: Arts Commission SUBJECT: Amendment to the By-Laws of the Arts Foundation of Santa Monica, Inc. to Increase the Number of Board Members and Appointment of Board Members Introduction This report recommends that Council amend the By-Laws of the Arts Foundation to increase the numher of board members and appoint Laddie John Dill, Fred Segal and Martin Gottlieb to the Board of Directors. Backqround According to Article V, Section 3 of the Arts Foundation's by-laws, "Directors shall be appointed by the city Council of the City of Santa Monica upon the recommendation of the Santa Monica Arts Commission." CUrrently, two vacancies exist on the Board of Directors due to the resignations of Sandy Hill and Alan Schwartz. Therefore, the following two persons are being recommended as replacement appointments: 1. Laddie John Dill, 1625 Electric Avenue, Venice, is a distinguished artist. He was recently commissioned by - 1 - lO-I\ SEP 2 3 1~g6 ~ e e the california Arts council to create an artwork for the new state building in San Jose. 2. Fred Segal, 500 Broadway, Santa Monica, is a noted designer, retailer, and civic leader. In addition, due to the recent rejuvenation of the Arts Foundation, the Commission is recommending that the by-laws be amended to increase the number of board members from 15 to 21. With that increase, the commission also recommends the appointment of Martin Gottlieb, Senior Vice President of First Federal Savings Bank to the Board of Directors. Budget/Financial Impact There is no budget or financial impact on the city resulting from these appointments to the Arts Foundation Board of Directors. Recommendation The Arts Commission recommends that Council amend the by-laws to increase the number of directors to 21 and appoint Laddie John Dill, Fred Segal and Martin Gottlieb to the Board of Directors of the Arts Foundation of Santa Monica.
