INTRODUCTIQN
At its meeting on April 1, 1998, the City Council introduced for
first reading an ordinance af the City Council of the City of Santa
Monica approving the Development Agreement between the City of
Santa Monica, a municipal corporatian, and Sisters af Charity of
Leavenworth Health services Carporatian, a Kansas non-profit
corporation, as sa~e corporate member of Saint Jahn's Health
Center, a California non-profit corporation. At its meeting on May
26, 1998, the City Council made further revisions to the
Development Agreement. The ardi~nance is now presented to the City
Council for adoption.
RECOMMENDATION
It is respectfully recommended that the accompanyzng ardinance be
adopted.

AN ORDINANCE OF THE CITY COUNCIL ~F THE CITY OF 5ANTA MONICA
APPROVING THE DEVELOPMENT AGREEMENT BETWEEN THE CITY OF
SANTA MONICA, A MUNICIPAL CaRPORATTON, AND SISTERS OF
CHARITY OF LEAVENWORTH HEALTH SERVICES CORP4RATION,
A KANSAS NON-PR~FIT CORPORATION, AS SOLE CORPORATE
MEMBER OF SAINT JOHN'S HEALTH CENTER,
A CALIFaRNIA NDN-PROFIT CORPORATION
THE CITY CDUNCIL OF THE CITY OF SANTA MONICA D~ES ORDAIN AS
FOLLOWS:
SECTION 1. The Development Agreement attached hereto as
Exhibit "1" and incorparated herein by reference between the City
of Santa Monica, a municipal corparation, and Sisters of Charity
of Leavenworth Health 5er~ices Corporation~ a Kansas non-profit
carporation, as sole corporate member of Saint John's Hea~th
Center, a California non-profit corporation, is hereby approved.
SECTI~N 2. Each and every term and condition of the
Development Agreement appro~ed in Section 1 0~ this Ordinance shal~
be and is made a part of the 5anta Monica Municipal Code and any
appendices thereto. The City Council of the City of Santa Monica
finds that public necessity, public convenience, and general
welfare require that any provisian of the Santa Monica Municipal
Code or appendic~s thereto inconsistent with the pr~visions of this
Development Agreement, to the extent of such inconsistencies and no

further, be repealed or modified to that extent necessary to make
fully effective the pzovisions of this Develapment Agreement.
SECTION 3. Any provision of the Santa Monica Municipal Code
or appendices thereto, inconsistent with the provisions of this
Ordinance, to the extent of such inconsistencies and no further,
are hereby repealed ~r modified to that extent necessary to effect
the provisions flf this Ordinance.
SECTION 4. If any section, subsaction, sentence. c~ause, or
phrase of this Ordinance is for any reason held to be invalid or
unconstitutional by a decision of any caurt af any campetent
jurisdictian, such decision sha~l not affect the va~idity af the
remaining portions af this Ordinanc~. The City Council hereby
declares that it wou~d have passed this ~rdinance, and each and
every section, subsect~on, sentence, clause, ar phrase not declared
invalid or unca~stitutional without regard to whether any portion
of the Ordinance would be subsequently declared invalid or
unconstitutional.
SECTION 5. The Mayor shall sign and the City Clerk shall
attest to the passage of this Ordinance. Th~ City Clerk shall
cause the same to be published once in the off~cial newspaper

within 15 days after its adoption. This Ordinance shall be
effective 30 days from its adoption.
