SUBJECT Recommendation to authonze the City Manager 1) To Approve
Amendments to the Bayslde District Corporation's Articles of Incorporation
and Bylaws Changing the Name of The Corporation to Santa Monica
Downtown Dlstnct, and 2) To Negotiate and Execute Amendments to the
Bayslde Dlstnct Corporation Service Agreement Changing the Name of the
Corporatron and AmendIng CertaIn Language In Section XV Regarding
Insurance Requirements and Indemnification
Introduction
This report recommends that the City CouncIl authorize the City Manager 1} to approve
amendments to the Bayslde DIstrict CorporatIon's Articles of IncorporatIon and ByLaws
changIng the name of the corporation to "Santa Momca Downtown Dlstnct," and 2} to
negotiate and execute amendments to the Bayslde District Corporatron Service Agreement
changing the name of the corporation and amendIng certain language In Section XV
regarding Insurance requirements and IndemnificatIon
DIScussion
In 1989. as construction on the Bayslde capItal Improvements were being completed, ThIrd
Street Development Corporation changed Its name to the Bayslde Dlstnct Corporation
(BDC) In order to reflect that It served more than Just the Third Street Promenade On Apnl
24, 1998 City Council approved the merger of the BDC and the Central Business DiStrict,

and once again the BDC Board of Directors began diScussions regarding a name change
to more accurately reflect the new area being served
On October 22, 1998, the BDCBoard of DIrectors voted to change the name of the Bayslde
DIstrict Corporation to the "Santa Momca Downtown District" This change Involves
amendment of the corporation's Articles of Incorporation and Bylaws, and the Service
Agreement dated June 24, 1998 between BDC and the City of Santa Momca These
amendments all require Council approval
In addition to the name change, City staff has found that amendments are needed to
Section XV of the ServIce Agreement between the City and the BDC to specify certain
levels of Insurance and to tighten the Indemmflcatlon language of the agreement The
City'S Risk Manager has detennlned that the present BOC Insurance portfolio IS suffiCient,
and that no additional Insurance or other costs should be required by the anticipated
amendments beyond the current BDC coverage, however, the Service Agreement
language should be brought Into conformance With eXisting Insurance coverage
