Indenture Agreement with southern Pacific
Transportation Company
Introduction
This report requests the City Council approve a resolution
authorizing the City Manager to execute an indenture with the
Southern Pacific Transportation Company to permit construction,
maintenance, and operation of an 8 inch water line crossing
beneath the railroad right-of-way at 17th street.
Background
Due to the increased water flow required for fire protection of
the School District-owned property in the 1600 block of 16th and
17th streets, it is necessary to replace the water line on 17th
street between Colorado Avenue and Olympic Boulevard.
As provided in Section 7216 of the Santa Monica Municipal Code,
the replacement work is being performed at the developer's
expense.
Completion of the pipeline requires crossing the
Southern Pacific Transportation Company (SPTC) right-of-way. The
SPTC land rights require that the City request an easement,
called an indenture, for the water line. Ductile iron pipe will
be installed under the railroad. Authorization to execute the
indenture must be approved by resolution of the city Council.

staff has obtained a standard indenture agreement fram SPTC and
the City Attorney has approved the form of the agreement.
BUdget/Financial Analysis
The developer has paid the City for the cost of this work.
Recommendation
staff recommends that the City council adopt the attached
resolution directing the City Manager to execute an indenture
agreement with Southern Pacific Transportation company for a
water line crossing the Southern Pacific Transportation Company
right-of-way at 17th street.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF SANTA MONICA AUTHORIZING THE CITY MANAGER
TO EXECUTE AN AGREEMENT OF INDENTURE FOR A
WATER LINE CROSSING OF THE SOUTHERN PACIFIC
TRANSPORTATION COMPANY RIGHT-OF-WAY
WHEREAS, infrastructure rehabilitation requires the
replacement of a water line on 17th street between Colorado
Avenue and Olympic Boulevard in the City of Santa Monica; and
WHEREAS, said water line will cross the land owned and
utilized as railroad right-of-way by the Southern Pacific
Transportation Company; and
WHEREAS, Southern Pacific Transportation Company
desires to enter an indenture with the City of Santa Monica for
the construction, maintenance, and operation of said water line
across said land owned and ulitized as a railroad right-of-way;
and
WHEREAS, the Southern Pacific Transportation Company
has requested the sum of $395 (three hundred ninety-five dollars)
as consideration for said indenture.
NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF SANTA
MONICA DOES RESOLVE AS FOLLOWS:

at 17th Street between Colorado Avenue and Olympic Boulevard in
the City of Santa Monica with the Southern Pacific Transportation
Company.
Section 2. That in consideration of said indenture,
the City of Santa Monica will pay to the Southern Pacific
Transportation Company, the sum of three hundred ninety-five
dollars ($395) from the Water Fund.
Section 3. The City Clerk shall certify to the
adoption of this resolution and thenceforth and thereafter the
same shall be in full force and effect.
