BACKGROUND Restaurant operators have recognized the market demand for outdoor dining areas in a beach community and have expressed interest in providing attractive, semi-enclosed outdoor dining areas for patrons using public right-of-way. However, the remodeling and construction of such areas requires a significant financial investment for which they have requested longer-term Agreements with the city. In exchange for this privilege, restaurant operators are willing to pay fair market rental fees to the City. The City currently charges restaurant operators rental rates of $0.50 per square foot per month on Third Street Promenade. DISCUSSION To ensure the establishment of appropriate rates for the two primary locales where outdoor dining is feasible - Ocean Avenue and Third street Promenade - an independent real estate appraiser was retained for a professional opinion of the fair rental rate of the publicly-owned right-of-way for such private use. The consultant's investigation consisted of the following: (1) survey and analysis of other governmental agencies for their experience with similar uses of public property; and (2) survey and analysis of sales of commercially-zoned properties located in~ the vicinity of the subject areas within the last two and one-half years. The appraisal consultant concluded that land value was the most applicable indicator upon which to determine a fair rental rate. However, the appraisal consultant recognized that both the Third street Promenade and Ocean Avenue were undergoing significant transitions in use and infrastructure and consequently recommended rental rates for outdoor dining which included the following: (a) gradual step increases in rental rates over a five year stabilization period that escalated rent rates up to $1. 50 per square foot on Ocean Avenue, (b) Consumer Price Index increases or percentage of gross receipts participation in the later years of the easement agreement, (e) revaluation of property value at the end of the easement term. - 2 - -- ... . . ~ In preparing this Easement Agreement, City staff considered all these recommendations. A summary of the outdoor dining Easement Agreement's terms and conditions is provided below: I Cugini Restaurant 1501 Ocean Avenue c/o Jeffrey M. SOper s. f. Years 6-20 - $1.50 per s.f. plus annual CPI increases 20-year Term, no options . These rates establish the benchmarks by which future Agreements will be negotiated for other outdoor dining opportunities. Tenant is not going to be provided with tenant improvements and tenant is required to restore the public right-of-way to original condition at the termination of the Agreement. In addition, a security deposit approximately equivalent to two months' rent will be collected from the tenant to ensure the faithful performance of tenant's Obligations during and at completion of the easement term. BUDGETARY/FISCAL IMPACT The security deposit from OAB Corporation totaling $2,000.00 will be held and recorded in the General Fund balance sheet. Rental income in FY 1990-91, the first year the restaurant will - 3 - . -- \ . . . operating, is estimated at $8,167.50. All revenue income is to be deposited in revenue account #01-200-263-00000-0087-10000. S- SEP 1 9 1989 GS:SES:DA - 8/29/89 Council Meeting: September 19, 1989 Santa Monica, California TO: Mayor and city Council FROM: city Staff SUBJECT: Recommendation to Approve a Resolution Authorizing the City Manager to Grant and Record an Easement for the Pico-Kenter Storm Drain Extension Introduction This report recommends that the City Council approve the attached resolution which authorizes the city Manager to grant and record an easement for the Pico-Kenter Storm Drain Extension. Background One of the elements of the pico Kenter Storm Drain Task Force Five Point Program to control pollution on the beach is the construction of a low flow pipe extension which will provide for the permanent discharge of the low flow at a point 600 feet beyond the surfline, thereby eliminating the ponding problem that occurs on the beach. The Pico-Kenter Storm Drain Extension will be a permanent extension of the existing storm drain and will eliminate the need for the temporary system which the City installs every summer. The low flow pipe extension was designed by the Los Angeles County Department of Public Works. Construction costs for this project will be shared equally by the City of Santa Monica, City of Los Angeles, and County of Los Angeles. c;-~ SfP 1 9 19S9 , . . The County of Los Angeles Department of Public Works is currently responsible for complete maintenance and operation of the existing Pi co Kenter storm Drain system. The low flow extension will become a part of that system and as such will be owned and operated by the County. The low flow pipe will lie outside the current Pico-Kenter storm Drain right of way, granted by the City as an easement to the County. Accordingly, the City must grant a second easement to the County of Los Angeles Department of Public Works for the purpose of constructing, maintaining, operating, replacing, removing, and renewing all storm drains, and other publlC facilities and appurtenant structures across the beach and the submerged lands. Budqet/Financial Impact The Engineer's estimate for the Pico-Kenter Low Flow Extension Project is $450,000. Santa Monica's portion of the cost will be one third of the project cost or approximately $150,000. Funds in the amount of $150,000 have been budgeted for this project and are available at Account Number 31-500-661-24589-8929-99127. Recommendations It is recommended that the City Council adopt the attached resolution authorizing the City Manager to grant and record an easement for the Pico-Kenter storm Drain Extension. Background On November 26, 1985 , the city Council approved Resolution No. 7119 (CCS) which designated the certain area bounded by Sunset Avenue, Marine Street, 17th Street, and Paula Drive as an undergound utility district. Such undergounding will eliminate many of the overhead distribution facilities. In order for Edison to complete the construction required for the undergrounding, the City must grant an easement to Edison. Attached is the Grant of Easement including a legal description, a Resolution authorizing the execution of the Grant of Easement, and Drawing No. 4417 on file in the Office of the City Engineer. Background In 1985, the Dominion Sea-Colony III Company ("Dominion") , a California general partnership, recei ved the city's approval of the development plans for the Sea Colony III project at 100 Ocean Park Boulevard. In granting this approval, the city requested Dominion to grant to the City a utility easement for water line purposes. Dominion is the current owner of said easement being more fully described in the attached resolution, Grant of Easement, and Drawing No. 4344 on file in the Office of the City Engineer. At the same tlme, the eXlstlng electrIcal serVlce was upgraded. 'I'he easement WIll allow lngress and egress to Southern Callfornia Edlsonls equ1pment. Slmllar easements have been granted for the new Transportatlon Faclllty and for the power upgrade for Clty Hall. In conjunction with development of real property located in the city of Santa Honica ( "ci tyll) , Santa 1-f.onica ~1unicipal Code Section 7164 requires property owners to provide certain public street and access improvements, including, but not limited to, curbs, sideVlalks, and intersection ramps, and to dedicate rights of way ln favor of city to accommodate such public improvements. S:C:CTTON 2. The required public improvements and rights of way thereto are deemed necessary to assure availability of proper access a~d to prevent congestion and other hazards related to the use ar:d development of 2600 Colorado Avenue, Santa Honica, California ("the sUbJect property") . In conjunction with development of real property located in the City of Santa Monica ("city"), Santa Honica Hunicipa1 Code section 7164 requires property owners to prov~de certain public street and access improvements, including, but not limited to, curbs, sidewalks, and intersection ramps, and to dedlcate rights of way in favor of city to accommodate such public improvements. SECTION 2 . The required public improvements and rights of way thereto are deemed necessary to assure availability of proper access and to prevent congestion and other hazards related to the use and development of 3015 Main street, Santa Monlca, Ca1lfornia (""t~e sub] ect property't). SEC'I:ON 3. The subject property must comply with the deve:opment conditions and requirements set forth in Santa Monica Munic~pal Code Section 7l6~. - 1 - . . . SECTION 4. Stan Flinkman and Ruth E. F1inkman, as the owners of the subject property have executed a grant deed granting to City an easement for sidewalk purposes over that portion of the subject property more fully described in the legal description and drawings attached to said grant deed as Exhibit "A." Background One of the Cap1ta1 Improvement Projects 10 the Parking Authority's 1982-83 Flsca1 Year Budget was the improvement of Park10g Lot 11. The lmprovements included the lnsta11at1on of parklng meters, landscaping and a sidewalk adjacent to the lot along Neilson Way. Presently the only access to park1ng lot 11 1S V1a Hollister Avenue. Hollister Avenue is one way eastbound. Thus the only way to get to the lot is by Nellson Way to Hol11ster Avenue. There 1$ no lngreS$ or egress directly to Main Street where most of the lot users' destinatlons are orlented. The City Counc1l has prevlously authorlzed the City Manager to negotiate and execute an agreement w1th Perloff-Webste~ for Main Street ingress and egress. Part of the negotlated agreement 1S to provide Perl off-Webster the number of spaces equivalent to the value of the property In Parking Authorlty Lot ll. Th1S property w1ll be used for the lngress and egress to Main Street. The proposed agreement w1l1 prov1de for a 24 foot driveway wlth a four foot sidewalk along the southerly edge of the drlveway. EASEMENT AGREEMENT - THIS EASEMENT AGREEMENT, entered into this day of , 1983, by and between the PARKING AUTHORITY OF THE CITY OF SANTA MONICA (here1nafter referred to as "Parking Authority"), the CITY OF SANTA MONICA, a municipal corporation (hereinafter referred to as "City"), and BERNARD PERLOFF and ROGER WEBSTER (hereinafter collectively referred to as "Perloff-Webster"), is made with reference to the following: R E C I TAL S: -------- A. The Parking Authority is duly organized and validly eX1sting under the Parking Law of 1949 with the power to carry on its bUS1ness as it is now be1ng conducted under the Statutes of the State of California and the Charter of the City. B. The City is duly organ1zed and validly existing under the laws of the State of California with the power to carryon its business as it is now being conducted under the Statutes of the State of Californ1a and the Charter of the City. C. The Park1ng Authority owns a parcel of real property whl.ch is more particularly described in Exhibit A which is attached hereto and 1ncorporated here1n by this reference 1 . . (here:Lnafter "Parking Lot 11" ) . Parking Lot 11 is presently used for publ~c parking and is located within the City. 0.. Perloff-Webster owns a parcel of real property . adjacent to Parking Lot 11. This real property is more particularly described in Exhibit B which is attached hereto and ~ncorporated herein by this reference (hereinafter "Perloff-Webster property"). E. The Par}cang Authority and City wish to procure an easement for ingress and egress over a portion of the Perloff-Webster property. Perloff-Webster w~shes to procure easements for parking and for ingress and egress to that parking on a port~on of Parking Lot 11. The parties have agreed to grant each other easements for those purpose s , all on terms and conditions as set forth in this Agreement. NOW, THEREFORE, it is mutually agreed by and between the unders~gned part~es as follows: L TERM. - The term of th~s Agreement shall commence on the 11th day of July, 1983 and shall continue until the 10th day of July, 2008, unless terminated earl~er as set forth herein. 2. GRANT TO PARKING AUTHORITY AND CITY. Perloff-Webster hereby grants to the Parking Author~ty and City a nonexclus~ve easement for ingress and egress by the Parking Authority, C~ty and members of the publ1c to Parking Lot 1I. The locat~on of the easement is more particularly descr~bed ~n Exhibit C wh i ch is attached hereto and 2 . . incorporated herein by th~s reference (hereinafter "ingress and egress easement"). The ingress and egress easement shall extend -10 feet above ground level. Perloff-Webster reserves . all rights above 10 feet provided that the use of the reserved area does not interfere w~th the ingress- and egress easement. The purpose of the ~ngress and egress easement described in thlS Paragraph 1 is for ingress and egress by the Parking Authority, City and members of the public to Parking Lot 11. 3. MAINTENANCE OF THE INGRESS AND EGRESS EASEMENT. The Parking Authority shall, at its sole expense, ~nstall a catch basln and provide for good drainage of the lngress and egress easement, install a four-foot sidewalk for pedestrian traffic over the southerly four feet of the easement, and pave the ingress and egress easement. The Parklng Authority shall, at its sole expense, maintain the ingress and egress easement, including sidewalk, drainage system, and utllities in good condlt~on. 4. IMPROVEMENT OF PERLOFF-WEBSTER PROPERTY. The Parking Authority and City recognize that Perloff-Webster intends to construct a building adjacent to and over the ingress and egress easement. The Parking Authorl.ty and Cl.ty agree that during the construction period, the ingress and egress easement shall be closed to public access to facilitate the construct~on. When Perloff-Webster completes their construction, they shall, at their expense, install a sign on their buildlng indicating access to the 3 . . Park~ng Lot 11 and install lighting over the ingress and egress easement and pay the cost of electricity to illuminate the ingress and egress easement. . Perloff-Webster shall obtain and maintain all appropr~ate licenses, permits and certi.ficates that may be requ~red in connection with any grant of easement or construction adJacent to or over the ingress and egress easement. Noth~ng contained herein is to be construed as a waiver of any requirement of the Cityts building, planning, or development process or any obligation of Perloff-Webster pertaining thereto. 5. GRANT TO PERLOFF-WEBSTER. The Parking Authority hereby grants to Per10ff-Webster an easement for parking over that portion of Parking Lot 11 described ~n Exhibit D which is attached hereto and incorporated herein by this reference (hereinafter "parking ea semen t" ) . Upon 60 days written notice to Per1off-Webster, the Parking Authority may relocate the parking easement w~th the exception of parking spaces designated for loading and handicap and the pedestr~an walkway, provided that the location is reasonable, within Park~ng Lot 11 and compl ies: wlth the bUl1ding, planning and zon1ng requirements of the City. The Parking Author~ty will str~pe the parking easement so as to provide for 22 standard parking spaces, one load~ng s pac e , and one handicap parking space and a pedestrian walkway 4 . . from Parking Lot 11 to Lot 9 in the adJacent tract 7425, Block 1, as per map recorded in Book 86, pages 63-66 of Maps. The location of the loading and handicap park~ng shall be as . designated by mutual Agreement of Perloff-Webster and Parking Authority from time to time and shall be initially determined at the t1me the Parking Authority stripes the parking easement. Perloff-Webster shall have the exclusive use of the parking easement from 8:00 A.M. to 6:00 P.M. daily subject to Perloff-Webster's right to extend their exclusive use to midn1ght upon 30 days written notice to the Parking Authority. The Parking Authority and C1 ty will appropriately post all spaces on the park1ng easement and City will issue, consistent wi th applicable laws, citations to any violators, except for users author1zed by Perloff-Webster, who shall be indicated by appropriate permits. The cost of the parking signs shall be borne by Perloff-Webster. 6. MAINTENANCE OF PARKING EASEMENT. The Parking Authority shall maintain the parking easement at its sole expense, in::luding paving, striping, landscape, irrigation and utilities in good condition. Perloff-Webster shall not be ass.:!ssed for any maintenance charges in connection with maintenance of the parking easement. The parki ng Authority shall at all times provide easy 1ngress and egress to the parxing easement. 5 . . 7. INDEPENDENT PARTIES. The parties hereto in the performance of this Agreement will be. acting in an independent capacity and not as agents. . employees, partners, or joint venturers of one another. Neither the Parking Authority nor ~ity nor its officers or employees shall have any control over the conduc t of Perloff-Webster or any of Perloff-Webster's employees, except as herein set forth. 8. INTEGRATED AGREEMENT. This Agreement represents the full and complete understandl.ng of every kl.nd or nature whatsoever between the parties hereto and all preliminary negotiations and agreements of whatsoever kind or nature are merged herein. No verbal Agreement or implied covenant shall be held to vary the provisl.ons hereof. Any modification of this Agreement will be effective only by written execution signed by both Parking Authority and Perloff-Webster. . 9. HOLD HARMLESS. Each party shall indemnify and hold harmless the other party, i t~; Councl.l, servants, boards and commissl.ons, officers, ,lgents, and employees from and against any and all loss, dama'3es, liability, claims, suits, costs and expense s , whatsoever, including reasonable attorneys' fees, regardless of the merl.t or outcome of any such claim or suit, arl.sl.ng from or in any manner connected to its negligent act or omission pursuant to this Agreement. 6 . . Each party shall indemnify, defend and save harmless the other party, its Council, servants, boards and corruniss ions, officers, agents and employees from and against any and all . claJ.I1ls and losses whatsoever, including reasonable attorneys' fees, accruing or resulting to any and all persons, firms or corporat1.ons furnishing or supplying work, services, mater1.als, equipment or supplies in connection wl.th services or work conducted or performed by it or at its direction pursuant to this Agreement and arising out of such activ1ties or work, and from any and all claims and losses whatsoever. including reasonable attorneys. fees, accruing or resulting to any person, fl.rm or corporation for damage, inJury or death arising out of its operations. 10. PROHIBITION AGAINST TRANSFERS. This Agreement shall not be severable from Perloff-Webster property which is particularly described in Exhl.bit B which is attached hereto and incorporated herein by this reference. The parkl.ng easement described in paragraph 5 hereof may only be used to serve the Perloff-Webster property. Th.lS Agreement, or any interest therein, shall not be assigned, subleased, hypothecated, or transferred directly or indirectly, by operation of law or otherwise without the transfer of the Perleff-Webster property. 7 . . . 11- ATTORNEY'S FEES AND COSTS. If legal action by e1ther party is brought because of breach .of this Agreement or to en fo rce a provision of thl.s . Agreement, the prevailing party is entitled to reasonable attorneys' fees and court costs. Such fees and costs shall be payable regardless of whether said action is prosecuted to final judgment. 12. NOTICES. All written notices and demands of any kind which either party may be requl.red or may desl.re to serve on the other in connection with the Agreement may be served as an alternative to personal service by reg1stered or certified mail. Perloff-Webster may term1.nate this Agreement on one hundred eighty (180) days written notice in the event that it does not recel.ve the consent of el.ther the C1.ty or the California Coastal Comm1ssion for the inclusion of the parking spaces contal.ned 1.n the parking easement in the computation of the rn1.n1.rnum number of off-street parkl.ng spaces required to satisfy its parking requl.rements for the Perloff-Webster property. 9 . . 15. WAIVER. A waiver by any party of any breach of any term, covenaoc, or condition contained herein shall not be deemed to . be a waiver of any subsequent breach of the same or any other term , covenant, or condition contained herein whether of the same or a different character. 16. GOVERNING LAW. This Agreement shall be governed by and construed in accordance with the laws of the State of California. 17. TAXES. This Agreement may create a possessory interest in pub 1 i c property whl.ch is subJect to taxation. In the event such interest is created, Perloff-Webster shall pay any and all taxes levied on such l.nterest. 18. RECORDING OF EASEMENT. Background As a requirement of the permit to make improvements to the single family residence at 514 Palisades Beach Road, the property owner was required to provide the City with a five foot easement for sidewalk purposes. Section 7167 of the Santa Monica Municipal Code authorizes the City Engineer to require such improvements due to development on p r i v ate property. The attached resolution authorizes the City Manager to accept the easement. Recommendation It is recommended that the Ci ty Council adopt the attached Resolution authorizlng the City Manager to accept an easement from the property owner at 514 Palisades Beach Road.
