SUBJECT: Resolution Authorizing the City Manager to
Quitclaim an Abandoned Easement at
3201 Wilshire Boulevard
INTRODUCTION
This report requests the City Council adopt the attached
resolution authorizing the City Manager to quitclaim an abandoned
utility easement at 3201 Wilshire Boulevard.
BACKGROUND
Brentwood Properties, Inc. is the developer of a 29,980 square
foot, three story office building with a two level subterranean
garage, The development has been approved by the City Planning
Department and the Architectural Review Board (Planning Case No.
AA89-045, 3201 Wilshire Blvd.). The Developer proposes to build
a subterranean garage extending to the rear property line and has
requested that the City waive its rights to the abandoned utility
easement located at the rear of the property.
The easement is recorded over the rear 5 feet of the property
" for the right to erect poles thereon for the carriage of

light, heat, power, telephone wires and the right of the city of
Santa Monica and others to lay therein and maintain sewer, water,
gas and electric conduits " (See attached drawing.) Staff

and has confirmed that the easement has been abandoned and there
are no objections to the quitclaim.
BUDGET/FINANCIAL IMPACT
There is no budget/financial impact from the recommended action.
RECOMMENDATION
It is recommended that the City Council adopt the attached
resolution authorizing the City Manager to quitclaim the
abandoned easement at 3201 Wilshire Boulevard.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF SANTA MONICA AUTHORIZING ACCEPTANCE AND
RECORDATION OF A QUITCLAIM DEED AT 3201 WILSHIRE
BOULEVARD, IN THE CITY OF SANTA MONICA, CALIFORNIA
Whereas, in conjunction with development of real property
located in the City of Santa Monica ("Cityll), a request has been
made to quitclaim the City's use of a five (5) foot wide utility
easement at the property located at 3201 Wilshire Boulevard; and
Whereas, the existing utility easement has been abandoned
and is therefore deemed unnecessary for use as such; and
Whereas, said utility easement is described as the North-
easterly five (5) feet of Lots 149 and 150 of Tract No. 2385, in
the city of Santa Monica, County of Los Angeles, state of Cali-
fornia, as shown on Pages 110 and III of Maps, Book 23, on file
in the Office of the County Recorder of said County, and as shown
in Drawing No. 4439 on file in the City Engineer's Office, City
Hall, Santa Monica, California,
NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF SANTA MONICA
DOES RESOLVE AS FOLLOWS:
SECTION 1.. The attached quitclaim over the subject easement
is hereby approved and the city Manager is authorized to accept
such and record the quitclaim with the Los Angeles County
Recorder's Office.

Subject: Resolution Authorizing Execution of a Grant of Easement
to the Southern California Edison Company
Introduction:
This report requests the adoption of the attached Resolution
authoriz ing the City Manager to execute a Grant of Easement to
the Southern California Edison Company for the installation and
maintenance of underground electrical facilities at the Santa
Monica Municipal Airport.
Background
The new Administration Building and Hangar at the Santa Monica
Municipal Airport will require the construction of underground
electrical utilities and a transformer pad. In order for Edison
to complete the construction, the city must grant an easement to
Edison. Attached is the Grant of Easement including a legal
description, a resolution authorizing the execution of the Grant
of Easement, and Drawing No, 4420 on file in the Office of the
City Engineer,

CONSTRUCTION AND MAINTENANCE OF ELECTRICAL EQUIPMENT
LOCATED AT THE SANTA MONICA MUNICIPAL AIRPORT
WHEREAS, the Southern California Edison Company
requires a Grant of Easement for construction and maintenance of
electrical equipment to provide continued service to the City of
Santa Monica; and
WHEREAS, in order to provlde the required service
the use of publ1C property is required; and
WHEREAS, Southern California Edison company desires
that the City grant an easement for the use of the public
property; and
WHEREAS, the City Council finds that an easement is of
direct benefit to the city of Santa Monica,
NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF SANTA

SUBJECT: Resolution Authorizing Executlon of Grant of
Easement to Southern CalIfornIa EdIson Company
Introduction
ThIS report requests the adoptIon of the attached resolutlon
authorizIng the City Manager to execute a Grant of Easement to
Southern CalIfornia Edison Company for electrical transformer and
appurtenant equIpment WhIch provIdes electrIcal service to the
AIrport control tower.
Background
Recently the transformer providing electrIcal serVIce to the
Airport control tower became InoperatIve and Southern CalifornIa
Edison Company Installed a new transformer and appurtenant
equIpment. The easement will allow Ingress and egress to
Southern CalIfornIa Edison's equIpment. SImilar easements have
been granted by the CIty to Southern CalIfornIa EdIson for the
new TransportatIon facIlIty, Ocean Park LIbrary and the power
upgrade for CIty Hall.
Budget/Financial Impact
There wIll be no budget or fInancIal Impact.

Callfornla Department of TransportatIon
IntroductIon
Th1S report recommends the acceptance of a DIrector's Deed for
a utIlIty easement along the southerly rlght-of-way of the Santa
Monlca Freeway between High Place and Frank Street. A DIrector's
Deed 1S a legal conveyance of State property, sIgned by the
DIrector of TransportatIon ot the State of Californ1a as lts
agent.
~ackground
In 1974, the Department of Transportation (Caltrans) sent the
Deed for the utlllty easement for the CIty of Santa Monlca's
reVlew. Correct1ons were made and the Deed returned to Caltrans
1n 1974. When the State sent up the amended and executed Deed
for tne C1.ty of Santa Mon1ca1s formal acceptance 1n August of
1974, the letter and Deed were never recorded as beIng rece1ved
by the C~ty. Eleven years later, 1n March 1985, Caltrans sent
the C1.ty of Santa Mon1.ca a letter saYlng that the reviewed Deed
had never been formally accepted by the Cl.ty nor recorded by the
State. It has not been clearly explalned why the Deed was not
recorded, however, lt has once ag aln been located and the proper
transffi1ttal process 1S now be1ng completed. we are now
requestlng that a Resolutl.on be adopted accepting the easement

SUBJECT. Shell 011 Company's Request That The CIty Grant
A Renewed Easement For The Crude 011 PIpelIne
WhICh Runs Beneath The CIty'S Streets.
ThIS report provIdes InformatIon relatIng to Shell 011
Company's request that the CIty grant a franchIse for Its
crude 011 pIpelIne whIch runs beneath the CIty'S streets. The
report also transmIts for adoptIon a resolutIon InItIatIng
proceedIngs to determIne whether or not a franchIse should be
granted
Pescrlptlon Of The PIpelIne
At present a 3_9 mIle segment of Shell's Ventura
PIpelIne runs beneath the CIty'S streets, transportIng crude
011 from the Ventura area to Shell's WIlmIngton RefInery and
to other refInerIes south of the CIty. The Ventura PIpelIne
was laId In 1942 It measures 89 mIles In length and 10
Inches In dIameter and conSIsts of seamless, steel pipe
The Santa MonIca segment enters the CIty from the north
beneath 26th Street It t~~avels downhIll through the CIty,
attaIning a lllgh elevatIon of 1800 feet, fIve miles to the

north and eXItIng from the CIty at an elevatIon of about 100
feet. TravellIng southwest beneath 26th Street, It runs
wIthIn 47 feet of the reserVOIr located at 25th and San
VIncente and wIthIn 50 feet of Santa MonIca Well Number 6.
Just south of Montana there IS a manually operated valve. At
26th and Broadway, the pIpelIne Intersects a storm draIn whIch
emptIes Into the ocean at the foot of PICO Boulevard At
Colorado, the pIpelIne comes -"nthln a few feet of another
storm draIn WhICh ultImately emptIes at the back.
From 26t.h Street, the pIpelIne travels west beneath
Colorado then south beneath Cloverfleld. It crosses over the
Santa MonIca Freeway on the Cloverfleld overpass. At Ocean
Park Boulevard, the pIpelIne travels westward for one block
and then runs south beneath 23rd Street and Into Los Angeles.

HIstory Of The RIght Of Way
In 1941, the CIty granted to Shell 011 Co a forty-year
franchIse to lay, maIntaIn, operate and repaIr a segment of
pIpelIne beneath the CIty streets. OrdInance Number 807
(CCS 1. The franchIse agl"eement set Shell's fee at a sum
dependent upon the pIpelIne's profItabIlIty. That sum was
calculated by determInIng a fIgure equal to 2% of the gross
profIts realIzed from the pIpelIne multIplIed by the ratIO of
the length of the Santa MonIca segment to the whole pIpelIne

The francluse agreement also establIshed a mInImum fee of
S40.00 per mIle.
In 1965, the CalIfornIa legIslature adopted a standard
franchIse fee for 011 pIpelInes through amendment to PublIC
UtIlItIes Code SectIon 6231 That sectIon establIshes
franchIse fee formulas for general law cItIes For 011
pIpelInes, the annual fee IS to be computed by:
[M]ultIplYlng the sum of one-half cent
(SO.005) tImes the nomInal Internal
dIameter of the pIpe, expressed In Inches,
tImes the number of lIneal feet of such
pIpe WIthIn the publIC streets, ways,
alleys or other publIC places WIthIn the
munIcIpalIty PublIC UtIlItIes Code
SectIon 6231
ThIS standard fee fOrmula does not apply to charter CItIes.
PublIC UtIlItIes Code SectIon 6205
Nevertheless, In the early 70's, Shell began paYIng
Santa MonIca accordIng to the PublIC UtIlItIes Code formula
The franchIse agreements terms were never modIfIed to reflect
thIS change In practIce. The CIty probably accepted the
change because, at the tIme, It resulted In a hIgher payment
to the CIty, YIeldIng an annual fee to the CIty of $1,029 60
In early 1981, WI th the franchIse eXpIratIon
approachIng, the CIty Informed She 11 that It would have to
make safety Improvements and pay a substantIally Increased fee
In order to obtaIn renewal Shell offered an annual fee of

$0 145 per lineal foot or S8,514.51. The City reJected thIS
offer out of hand. The orIgInal franchIse expIred on May 28,
1981
Unable to reach agreement on a renewal fee and upon
safety condItIons, Shell and the CIty entered Into an InterIm
agreement on June 16, 1981. Contract 3654. That agreement
set the InterIm fee at $5,000,00 for SIX months, and It
requIred Shell to pay $35,000.00 as advanced reImbursement for
the CIty'S studIes} analyses and other actIvIties relatIng to
negotIatIon of the proposed, new franchIse. The InterIm
agreement has been extended, and pursuant to Its terms, Shell
pays the CIty $10,000.00 each year pendIng resolutIon of the
partIes' dIspute.
R~ght Of Way ValuatIon
DurIng renewal negotIatIons the partIes agreed that
She 11 would prOVIde funds for the CIty to commISSIon an
appraIsal and a safety study. Shell and the CIty each
obtaIned an appraIsal of the value of the rIght of way and a
safety study.
The CIty'S appraIsal was prOVIded by Donahue and Co., a
real estate appraIsal f Il'm, In December, 1981 Donahue valued
the easement at $474,000 00 per year, Donahue applIed a
valuatIon formulatIon based upon surface land value, assumIng
a ten-foot WIde subsurface right of way at half of the
abuttIng surface land value, capItalIzed at 12 5%. Shell
commISSIoned Its own appraIsal by Gallagher and ASSOCIates,

Gallagher's valuatIon method dIsregarded surface land value on
the theory that the present use of the surface land as publ1 c
streets IS unlIkely to change and that the subsurface pIpelIne
does not Interfere WI th the use of the surface land for
streets. Instead of lookIng to land value, Gallagher looked
at fees charged by other CItIes for all pIpelIne rIghts of
way. USIng thIS method, Gallagher concluded that the value of
the Santa Monica easement IS between $10,000.00 and $12,000,00
annually.
The stark contrast In the two appraIsers' conclUSIons
reflects theIr use of entIrely dIfferent valuatIon methods.
The Issue of the approprIate valuatIon method for all pIpelIne
rIghts of way IS a controversIal one In the state at thIS
tIme The State Board of EqualIzatIon began asseSSIng
Intercounty pIpelIne rIghts of way WI tlll n the last two years.
In the Caslstas Plpelln~ case, ten companIes) IncludIng Shell,
appealed assessments based upon fees paId by all companIes for
rIghts of way across prIvately owned lands USIng thIS
method, the Board's staff concluded that the worth of the
franchIses was $65,000 00 per mIle ApplYIng the
capItalIzatIon rate of 11-1/2 percent used by the staff) thIS
works out to an annual rate of about $7,650 00 per mIle
At a hearIng on November 14, 1984, the 011 companIes
contended that the proper valuatIon could only be based upon
rates charged by munICIpalItIes and that thIS method would
lead to a worth of about $26,000,00 per mIle or a rate of
about $3J050 00 per mIle per year Staff testIfIed that l'ates

charged by munICIpalItIes were subeconomlC and cIted rates
paId to l-a 11 roads In Long Beach as h1gh as $60.00 per Ilnear
foot or $316,800,00 per nnle. The Board upheld the staff's
deCISIon.
A valId and relIable valuatIon of the pIpelIne nght of
way 1 S essentIal to a realIstIc assessment of the potentIal
benefIt of renewal. GIven the d1sparIty 1n the present
appra1sals, the fact that the CIty'S appraIsal was done by a
fIrm speCIalIzIng 1n real estate appraisal, and the
developments occurrIng In the area of pIpelIne easement
assessment, We belIeve that the CIty should obtaIn an
addItIonal appraIsal from an appraIser speCIalIzIng In
pIpelIne rights of way.
Safety Of The Santa MonIca Segment
The pIpe IS protected from external corrOSIon by a
cathodIC protectIon system and by a factory-applIed coatIng.
PIpelIne IntegrIty IS checked by a hydrostatIC pressure test
every SIX months. AddItIonally, the lIne route 15 VIsually
Inspected on a regular baSIS.
A computer monItorIng system balances Input WIth output
and measures pressure at pOInts along the 89-mile lIne to
determIne If there 1 s a leak. If setpolnts are exceeded an
alarm actIvates, notIfYIng a movement controller who then
ascertaIns the val1dIty of the a 1 a l~m If the controller
determlnes that there may be a leak or spIll, he Or she can

LIke the a p p k' a I S e r s , the safety experts used dIfferent
methods, and reached predIctably dIfferent conclUSIons
However, theIr fInd I r!g s were remarkably conSIstent. The
CIty'S consultIng fIrm, NDE Technology, Inc , predIcted spIll
rIsk by USIng a reference model constructed from Industry
statIstICS and adJusted for the partIcular features of the
Santa MonIca segment
NDE concluded that a spIll WIthIn the CIty should be
expected at least onCe In the next thIrty years. It CIted,
as prImary concerns, the age of the pIpelIne, ItS elevatIon,
valve spaCIng and operatIon, the InabIlIty of Shell's eXIstIng
monItorIng system to detect a leak durIng long tIme perIods
each day, and the InabIlIty of the monItorIng system to detect
leaks slower than twenty-four barrels per hour NDE
recommended Increased VIsual InspectIon, regular hydrostatIC
pressure tests, contInuous surveys for pIpelIne defects by
InspectIon pIg or magnetIC flux, InstallatIon of addItIonal
valves and Improvement of valve controls, regular sampling of
the reserVOIr water, ongOIng spIll predIctIon through computer
modelIng, and pIpelIne thIckness monItorIng.
Shell's safety report, done by Bechtel Petroleum, I nc . ,
concluded that the pIpelIne Itself was "very safe" based upon
Its hIstorlcal record and Its construction features. However,
Bechtel acknowledged that though the prObabIlIty of a spIll IS
minor, one could occur

Though It concluded that the pIpelIne) Itself) was
sound! Bechtel also concluded that the CIty'S densIty and
partIcular features of the segment posed partIcular hazards If
a spIll should occur. Bechtel therefore recommended ImprOVIng
the segment's safety features. For example) Bechtel agreed
wIth NDE that the pIpelIne's monItoring system was Inadequate.
Bechtel recommended a wall thIckne:;;s evaluatIon by an
InspectIon pIg. InterlockIng valves WI th pumps and resettIng
safety valves to control Internal pressure at the normal
operatIng level, addItIon of valves to control the amount of
lIne draInage In the event of a spIll) InstallatIon of an
addItIonal sensor for flow rate and pressure WhICh would help
detect leaks WIthIn the CIty! use of a dynamIC model computer
program to detect spIlls and pInpOInt theIr locatIon) and
Improved emergency preparedness measures
NDE noted a number of partIcular CIrcumstance,,:; WhIch
would Increase the lIkelihood of a spIll. These Included the
age of the pIpelIne, Its prOXImIty to gas and water lInes and
to the reserVOIr and the well WhICh could Increase the chance
of corrOSIon, the pOSSIbIlIty of earth movement resultIng from
landslIde or earthquake WhICh would stress the pIpe. On the
POSItIve SIde, NDE stated that certaIn speCIal condItIons also
mIght decrease the rIsk slIghtly' the pIpelIne's locatIon
under the center of the street and Its caSIng protect It from
external damage Bechtel also noted speCIal CIrcumstances
WhIch could make a spIll or leak more lIkely, Notably) the
lIne was exposed to DC cun:ent from the PaCIfIC ElectrIC

In addItIon to the usual consequences of any spIll--fIre

reserVOIr and well could occur. However, Bechtel stated that
contamInatIon 1 s unlIkely, even In the event of a spIll or
leak, because the reserVOIr IS a reInforced concrete tank WIth
one-foot thIck walls Leaks In those walls would result In an
outward pressure caused by the confIned water The well IS
cased to a depth of 145 feet and sealed by groutIng to a depth
of fIfty feet. Bechtel says It IS "InconceIvable" that crude
would seep thIS deep and would, Instead, run horIzontally.
Both reports also say that If the freeway overpass at
CloverfIeld Boulevard were damaged, so that the pIpelIne
spIlled onto the freeway, se.lOUS aCCIdents could occur. Both
state that traffIc would supply an IgnItIon source and that
fIre could result. Both reports note that collapse of the
overpass could result from an earthquake would pose serIOUS
spIll hazards.
Both reports state that s1gnIfIcant envIronmental damage
to the ocean and beach would OCCur 1n the event of a maJor
spIll because crude would .un through storm drain passages
AddItIonally, both note that, 1n rhe event of a spill, the

However, She 11 concedes that numerous other safety

In May, 1982, Shell flIed SUIt In federal court for
declaratory and 1nJunctlve relIef. Its compla1nt does not

Shell relIes heavIly upon the NInth CIrcuIt Court of
Appeal's deCISIon In Western all and Gas Assoc. v. Cory, 726
F. 2d 1340 (1984l. In cory all companIes sued to InvalIdate
state regulatIons basing rent for fIghts of way from offshore
sources over state tIdelands on the volume of 011 traversIng
the fIght of way. The state contended that Its actIvItIes
were exempt from the Commerce Clause because It acted In a
proprIetary, rather than a regulatory, capacIty.
The NInth CIrcuIt concluded that the state occupIed a
monopoly pOSItIon becau'3e the all companIes had no alternatIve
but to pump theIr crude across the tIdelands. 726 F.2d at
1343, RelYIng upon thIS determInatIon, the Court concluded
that the state was not exempt from Commerce Clause scrutIny as
a market partIcIpant and that the Commerce Clause applIed.
AnalogIzIng the case to Supreme Court cases on "user fees",
the NInth CIrCUIt InvalIdated the regulations because there
was no suffICIent relatIon between the volumetrIC fee and the
all companIes' use of the state land Shell argues that the
Cory deCISIon means that the CIty cannot charge more than Its
own costs for serVIces relatIng to the pIpelIne plus the
reasonable value of rIghts surrendered.
The UnIted States Supreme Court accepted Cory for
reVIew, and the CIty fIled an amICUS brIef argUIng that the
NInth CIrCUIt's deCISIon was Incorrect In late March, the
Court affIrmed the NInth CIrCUIt deCISIon by a vote of four to
foul- WIth one JustIce not votIng. The equally-dIvIded Court
Issued no wrItten opInion.

The CIty contends that the Commerce Clause does not
apply because, In franchIsIng, the CIty acts In a proprIetary
capaCIty, as "market partIcIpant", rather than as a regulatIng
entIty subject to Commerce Clause lImItatIons. AddItIonally,
the Cn.y contends that the Commerce Clause does not apply
because the pIpelIne IS Intrastate and because the Commerce
Clause does not reach matters of local concern.
Alternately, If the Commerce Clause does apply, the CIty
contends that neIther a refusal to renew nor a fee exceedIng
the CIty's costs would ImpermIssIbly burden commerce and that
~ory does not apply because the CIty IS not a monopolIst.
FInally, the CIty contends that It IS not preempted from
reqUIrIng safety condItIons, that the case does not Involve
equal protectIon and that the Tenth Amendment ensures the
CIty'S nght to control use of Its public streets.
On February 11, 1985, Judge Robert Kelleher heard
Shell's motIon for partIal summary Judgment He Issued a
tentatIve rulIng, favorable to the CIty, heard argument, and
took the motIon under submISSIon. The matter remaIns
SUbmItted, and the CIty 1 S proceedIng WIth dIscovery.
Shell appears to have lIttle, If any, Incllnat.lon to
settle the case It presents Issues of natIonal Importance.
Should the CIty prevaIl, other CItIes would certaInly demand
substantIal Increases In fees and mIght also InSist upon
safety condItIons If Shell prevaIls, CItIes could be
compelled to grant nghts of way to 011 companIes, would be

foreclosed from makIng any profIt on the rIghts of way, and
would lose control of theIr streets.
The Cltv CouncIl's AuthorIty To Grant A RIght Of Wav
CIty Charter SectIon 1600 empowers the CIty to authorIze
the use of CIty streets for partIcular " t ran s po t~ tat Ion" uses.
These Include franchIses for utIlItIes and other serVIces. In
addItIon, the CIty CouncIl possesses the general power to
grant rIghts of way and easements.
CEQA Requlrement~
The requIrements of the CalIfornIa EnvIronmental QualIty
Act ( CEQA) , apply to the grantIng of a pIpelIne franchIse
because It IS a "proJect" whIch IS neIther statutorIly nor
categorIcally exempt, and grantIng the franchIse may have a
substantIal Impact upon the enVIronment. Because an
assessment of pIpelIne safety would be central to determInIng
envIronmental Impact and because such an assessment requIres
technIcal expertIse, we belIeve that the necessary
EnVIronmental Impact Report should be prepared by General
SerVIces In consultatIon wIth the CIty Attorney's offIce, Of
course, General SerVIces may utIlIze the two safety reports
whIch have already been obtaIned and WhICh are summarIzed
above.

franchIse should be renewed and upon what terms The reports
IndIcate that the pIpelIne needs safety Improvements and that
contInued operatIon WIthout Improvements poses hazards. Any
eXIstIng or future hazard would have partIcular Impact upon
the neIghborhoods through WhICh the pIpelIne runs and upon
those bUSInesses OccupYIng commerCIal property near the
pIpelIne. Therefore, we belIeve that the CouncIl should
receIve publIC comment and should adopt the accompanYIng
resolutIon settIng the matter for hearIng
RECOMMENDATION
It 15 respectfully recommended that the CIty CouncIl:
1 . AuthorIze a new valuatIon of the pIpelIne easement
to be obtaIned and dIrect that an EnVIronmental Impact Report
be prepared.

CITY OF SANTA MONICA INITIATING PROCEEDINGS
TO DETERMINE WHETHER OR NOT AND UPON WHAT

OIL BENEATH CITY STREETS
WHEREAS, the CIty of Santa MonIca granted to Shell Oil
Company in 1941 a forty-year franchise to lay, operate and
maintaIn a crude all pipeline beneath the City streets; and
WHEREAS, that franchise has now expIred and Shell 011
Company now operates Its crude all pipelIne beneath the City
streets pursuant to an Interlm agreement; and
WHEREAS, Shell 011 Company has requested that the City
enter into a new franchise agreement for operation of Its
eXisting pIpeline beneath the City streets; and
WHEREAS, the CIty and Shell 011 Company have each
obtained separate safety studIes of the pIpeline which suggest
that safety Improvements should be made; and
WHEREAS, the CIty and Shell 011 Company have each
obtaIned separate valuation studIes of the pipeline easement
which reached dIsparate conclUSIons as to the value of the
easement;

WHEREAS, the Callforn1a Envlronmental Quallty Act of
1970 requ1res that an Envlronmental Impact Report be prepared
on the proposed franchlse; and
WHEREAS, the C1ty Councll of the Clty of Santa Monlca
deslres publlc lnput on the lssues of whether a new franchIse
should be granted to Shell Oil Company and upon what terms,
NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF SANTA
MONICA RESOLVES AS FOLLOWS:
SECTION 1. The C1ty Counc1l sha 11 conduct a publlc
hearIng on the lssue of whether or not, and upon what terms, a
franchIse should be granted to Shell 011 Company for the
transportat1on of crude 011 beneath the Clty'S streets. The
hear1ng shall take place, pursuant to publlC not1ce, as soon
as the CIty has completed a Draft Envlronmental Impact Report
upon the grant1ng of the proposed franchise.
SECTION 2. The CIty Clerk shall certIfy to the adopt1on
of thlS Resolut1on, and thenceforth and thereafter the same
shall be 1n full force and effect.

This r e po r t requests the adoption of the attached Resolutlon authorizing
the Clty Manager to execute a Grant of Easement to the Southern Callfornia
Edison Company for the installation and maintenance of electrical trans-
former equipment at the Transportatlon Yards.

As part of the construction of the new Administratlon and Maintenance
Building at the Transportation BUlldlng, Southern California Edison
Company is required to install electrical transformer equipment to be
placed in an underground power vault. Edlson Company desires a Grant of
Easement from the City to construct and maintain the transformer and
appurtenant equipment.
Recommendatlon
It 1 S respectfully recommended that the attached resolutlon be adopted
authorizlng the C i t y r1 a nag e r t 0 execute a Grant of Easement to the
Southern Callfornla Edison Company.

COMPANY, a corporation, its successors and assigns (heremafter referred to as "Grantee"), an easement
and right of way to construct, use, maintain, operate, alter, add to, repair, replace, reconstruct, Inspect and
remove at any time and from time to time underground electrical supply systems and communication
systems (hereinafter referred to as "systems"), conslstrng of WIres, underground conduits, cables, vaults,
manholes, handholes, and including above-ground enclosures, markers and concrete pads and other appur-
tenant fixtures and equipment necessary or useful for dlstributmg electrical energy and for transmItting
inteUigence by electrical means, in. on, over, under, across and along that certain real property in the
