,.lHEREAS, the Agency 2nd HFH 8!ltered into a Land Dlsposi-
clon AgreeMent on or about August 8, 1972[ which provlced for
the sale to HFH of Parcels 2[ 3[ 4 and 5 of the Ocean Park
Redevelopwent ProJects lea) and l(b) located withln the City
of Santa Monlca[ and further provlded for the develop~ent of
such real property by tiPH pursuant to the Redevelopment Plans
adopted for sald ProJects and the scope of developwent set
fort~ In the Land DlSposltlon Agrce~enti and
WHEREAS [ such dlspos~tlon and development of sald Parcels
2, 3, 4 and 5 has been stymled by the uncertalnties surround-
lng the enactpent of the Callfornla Coastal Zone Conservation
Act of 1972 and its a?pllcation, If any, to the above-described
cevelop~ent; by the ref~sal of the California Coastal Zone
Conservatlon COmffilSS10n to grant to the Agency a~d HFH elther
a~ exerrptlon iron t~e permlt requlrenents of such Coastal Act
or a permlt for all or a part of L~e above-descrlbed cevelop-
~ent; and by l~tlsatlon arising from such refusals of sald
Coastal Corr~lSSlG~; a~d

t~er lltlgation and ~isputes resarclng their respective rlghts

and dlsputes on an equ~table basis and to free the real property

!\Jm", THEREFORE, TIE Ri:DZVELOP:IENT AGENCY OF THE CITY OF
SANTi:;' l"O!'JICA[ DOES HE?E3Y RSSOLVE as follm/s:
1. The? Agree::-ent between the Agency, the Clty and liFH
settllng var~ous legal actlons and disputes involving the Ocean
Park Redevelop~ent PrOJects lea) and l(b) and the Land Disposi-
tion Agre~~ent entered lnto between the Agency and BFA on
August 8, 1972, a copy of wh~ch lS on flle in the office of the
Secretary of the Agency, IS hereby approved and the Chalrnan
ar,d Executlve Dlrector are hereby authorlzed to execute the
followlng coc~~ents on behalf of the Agency;
a. The Agreenent.
b. The Pro~~ssory Note attached to the
Agreer:1ent as Exhlbit "G" thereto.
