SUBJECT: Council Approval for the Arts Comm~sSlon to Establish
a California Non-Profit Corporation
Introduction
In the ord~nance establlshing the Arts Commisslon under the
Powers and Dutles Section, the Corrnnlss~on shall have the "power
and the duty to...d)Sol~cit prlvate funds and grants earmarked
for art activities in the Clty and e) encourage pUblic and
private partnershlps to ensure the survival of art and art~sts in
the Clty." The Arts Commission, in its meeting of May 16, 1983,
voted to request permiss10n of the Clty Council to establlsh a
Callfornia non-profit corporation to fac11itate the ra~s~ng of
funds for Commission programs. This corporat1on would be called
the Santa Monlca Arts Foundatlon. This report requests such
approval from the Council.
Background
The Arts Comm1ss~on of the City of Santa Monica is requesting
Clty Council approval to establish a California non-profit
corporation deslgned to support fundlng of Commiss1on programs,
and to augment the funds ava1lable to the Commiss1on from City
budget. Such a corporation lS a common marketing and fundrais1ng
tool of publically supported arts programs around the United
States, and has been used with considerable success 1n raislng

funds for proJects. The art1cles and bylaws of the Foundat1on
will be submitted to the City Council for approval and w111
neither augment nor dlminish the powers presently granted to the
Arts Commlssion by C1ty ordinance.
The sole role of the Foundation is to ra1se monies to fund the
programs of the Arts Comm1ssion. ThlS will assist the Arts
Commission in fulfilling 1tS Council-mandated goal of raising
matching funds for all City funds w1thin 3 years. All Arts
Commission programing will continue to be conducted under the
stipulatlons set forth by the Councl1 in the Commission's bylaws
and Art1cles of Incorporation. To ensure continuity of Counc1l
representation, three members of the Commission shall be part of
the nlne member board. The other six members shall be community
leaders who Jointly have experience in fundraising, f1nance and
business.
There 1S a fillng fee of approximately $250.00, the bulk of which
is refundable once non-profit status has been granted by the
Internal Revenue Service. At a meetlng of June 6, the Arts
Commission voted that the name of the corporat10n be the Santa
Monica Arts Foundation.
The legal descrlption of the purpose of the corporation in filing
will be to support the programs of the Arts Commission of the
City of Santa Mon1ca. Under Section 2936 of the ordinance, the
Cornmisslon w111 include in its report activlties of the Santa
Monica Arts Foundation. The Arts Comm1ss1on will establish, on

an annual basis, the programs for which 1t will seek fund1ng
during that year, those both short (one year) and long-term
(development and ongoing). These program plans w1l1 be presented
to the C1ty Council prior to the beg1nning of each f1scal year.
The Commiss1on's budget allocation from the C~ty shall be
cont1nued to be used for administrative serV1ces; as seed money
for new proJects: and as matching funds to attract private
donors.
The corporation accountant shall keep records of the
corporate finances, and these shall be ava1lable to the C1ty.
The corporation shall also submLt an annual f1nancial report to
the City, at the same time the annual report is submitted to IRS
and the State.
Recommendation
It is respectfully requested that the C1ty Counc11 direct the
Arts COmffi1ssion to develop By-Laws, Articles of Incorporation and
other agreements as may be necessary to create the Santa Mon1ca
Arts Foundat1on, and submit these documents to the C~ty Council
for approval.
